The Dade County Property Assessor's Folio Number for the Property is 01-3135-062-0010 OPINION OF TITLE To: CITY OF MIAMI, municipal corporation With the understanding that this Opinion of Title is furnished to the CITY OF MIAMI, FLORIDA, in compliance with Section 55-8 of the Miami City Code and as an inducement for acceptance of a proposed final subdivision plat covering the real property hereinafter described (the "Replat") it is hereby certified that we have examined a Commitment for Title Insurance issued by First American Title Insurance Company covering the period from the Beginning to September 11, 2003, at 6:00 a.m., inclusive, for the property described in Exhibit "A" attached hereto and made a part hereof (the "Real Property"). Basing my opinion on said examination, I am of the opinion that on the last mentioned date the fee simple title to the Real Property was vested in: UNIVERSITY OF MIAMI, a Florida not -for -profit corporation. Subject to the following encumbrances, liens and other exceptions: 1. RECORDED MORTGAGES: None. 2. RECORDED MECHANICS LIENS, CONTRACT LIENS & JUDGMENTS: None. 3. GENERAL EXCEPTIONS: A. All taxes for the year in which this opinion is rendered and subsequent years unless noted below that such taxes have been paid. B. Rights of parties in possession under unrecorded leases. C. Matters which would be disclosed by an accurate survey of the Real Property. D. Any unrecorded labor, mechanics' materialmen' or municipal liens. E. Zoning and other restrictions imposed by governmental authority. 4. SPECIAL EXCEPTIONS: 1, Restrictions, dedications and easements contained in Plat of SECOND ADDITION TO MEDICAL CENTER, recorded in Plat Book 123, at Page 28, Public Records, Miami -Dade County, Florida. 2. Grant of Easement to Lay and Maintain a Storm Sewer from Miami -Dade County, a political subdivision of the State of Florida to the City of Miami, a municipal corporation of the State of Florida, filed March 31, 1961 in Official Records Book 2558, Page 1, Public Records, Miami -Dade County, Florida. The proposed Replat would result in the abandonment of the: Second Addition to Medical Center Replat/Clinical Research Facility (a) utility easement depicted upon the "Sketch to Accompany Legal Description Utility Easement" attached hereto as Exhibit "B" (the "Utility Easement"); and (b) Florida Power & Light Co. ("FP&L") easement depicted upon the "Sketch to Accompany Legal Description F.P.& L. Easement" attached hereto as Exhibit "C" (the "FP&L Easement"). The University of Miami is the only owner of property abutting the Utility Easement and the FP&L Easement (the "Abutting Properties") therefore no other person or entity holds any reversionary rights to the Abutting Properties. Therefore, it is our opinion that, with the exception of FP&L and any public utility which has constructed and/or is operating any utility services within any portion of the Utility Easement, no other person or entity must join in the platting of the Real Property in order to grant the CITY OF MIAMI, Florida and the public, a good and proper title to the dedicated areas shown on the final plat of the Real Property, the subdivision thereof to be known as SECOND ADDITION TO MEDICAL CENTER REPLAT. I, the undersigned, further certify that I am an attorney -at -law duly admitted to practice in the State of Florida, and am a member of the Florida Bar.
