THIS AGREEMENT, is made and entered into this day of , 2004,
by and between the CITY OF MIAMI, FLORIDA, a municipal corporation organized and
existing under the laws of Florida ("City") and WASTE MANAGEMENT INC. OF FLORIDA,
(hereinafter called "WMIF"), a Florida corporation, with offices at 2700 N.W. 48th Street,
Pompano Beach, FL 33073.
WITNESSETH
WHEREAS, WMIF has secured by competitive bidding a Solid Waste and Recycling
Collection Services Contract (the "Contract") from the City of Coral Gables; and
WHEREAS, WMIF is able and willing to contract with the City,

WHEREAS, the. City's Purchasing Director is satisfied that the Contract was entered
into pursuant to a competitive process, which complied with the City's laws and regulations.
NOW, THEREFORE, in consideration of these premises and mutual undertakings
hereinafter stated, and for other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties hereto agree as follows:

. WMIF was awarded the Contract as a result of competitive
bidding solicited by the City of Coral Gables. As part of the Contract, WMIF agreed to
separately provide yard waste disposal services. These services are set forth in Exhibit X to the
Contract.A copy of the Contract and its Exhibits in attached hereto and inco . orated herein.

parties agree that the modifications set forth herein are not substantive and do not materially alter
the Contract. The parties agree to be bound by the Contract as modified herein. Capitalized terms
used herein have the meanings set forth in the Contract unless the context requires otherwise.

$43.00 per ton. The rate is subject to adjustment pursuant to Section fiB(2) of the Contract.
3. Term: The term of this Agreement shall expire on September 30, 2005. The term
is subject to renewal pursuant to Section 2 of the Contract.
2. Current Rates: The current rate for processing and disposal of

4. Hauling: The parties acknowledge that the provisions in the Contract
regarding collection of solid waste and recyclables are inapplicable to the City. '
5. Bulk Trash: The City will deliver all of the Bulk Trash collected by it or by its
haulers to the Facility. The initial disposal rate for Bulk Trash is $43.00 per ton. The rate
subject to adjustment pursuant to Section 6B(2) of the Contract.
6. Recycling: WMIF shall recycle Yard Waste delivered to the Facility by the
City or its haulers or to an alternate recycling facility plant facilit . WMIF will i nd and mulch

7. Drop -Off Facilities: At no charge to the City, WMIF will:
a.) Build and operate a permanent Drop -Off facility at the City's yard at 1920 N.W.
20th Street for acceptance of Bulk Trash. The design and construction of the
facility shall be determined by WMIF, but shall comply with all applicable state
and local laws and shall be acceptable to the City. Operating hours shall be
Monday — Sunday from 7:00 a.m. to 5:30 p.m. year round, except for those
holidays observed by the City of Miami.
b.) . Build and operate a permanent Drop -Off facility at the Waste Management's
Hialeah Facility for Bulk Trash acceptance. The design and construction of the
facilit shall be determined by WMIF. Operating hours shall be Monday
from 7:00 a.m. to 5:30 p.m. year round, except for those holidays
observed by the City of Miami.
c.) Provide Roll -Off Containers for use as temporary Drop -Off sites at locations to be
determined by the City. Said locations will be distributed esuall among the five
commission districts and will occur six times per year "e L`Uk',i,t in
each district. Advanced advertising of each event will be coordinated with the
City. WMIF shall provide personnel to monitor the site during hours for which
Bulk Trash may be accepted. Operating hours shall be determined by mutual
agreement of the parties.

IN WITNESS THEREOF, the parties hereto have caused this Agreement to be executed by
their officers thereunto duly authorized or have hereunto set their hands and seals in duplicate as
of the day and year first above written.
