HomeMy WebLinkAboutexhibitAMENDMENT THIS AMENDMENT, entered into , 2003, shall serve to amend the Revocable License Agreement ("Agreement") dated November 26, 2002, between Bayfront Park Management Trust, a limited agency and instrumentality of the City of Miami, a municipal corporation of the State of Florida ("TRUST") and Unipro Group, a Florida Corporation ("LICENSEE"). RECITALS WHEREAS, the parties entered into the Agreement for Licensee's entry into Bayfront Park ("PARK") for the purposes of conducting a holiday village theme park; and WHEREAS, Section 5 of the Agreement states that LICENSEE shall use a portion of Bicentennial Park for its production coordination; and WHEREAS, the parties agree to amend the Agreement so that the TRUST's Executive Director shall designate and change the location of the production coordination area currently identified in the agreement, if such area is to be used by LICENSEE; and WHEREAS, the TRUST, by Resolution No. , adopted on , authorized the Executive Director to execute this Agreement; and WHEREAS, the Commission of the City of Miami, by Resolution No. 03- , adopted on , 2003, approved and authorized the TRUST, through its Executive Director, to execute this Agreement, under the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the TRUST and LICENSEE agree as follows: TERMS: 1. RECITALS: The recitals herein are true and correct and are hereby incorporated into and made a part of this Amendment. 2. PREMISES: The parties agree to delete the second paragraph of Section 5 of the Agreement, entitled "Premises", and insert the following paragraph: In the event that the LICENSEE requests an area inside the Park or Bicentennial Park to coordinate its production of the EVENT, then the TRUST's Executive Director shall be authorized to designate, by letter to the Licensee, an area for LICENSEE to temporarily use ("Production Coordination Area"). Said letter from the Executive Director shall include as an Exhibit B a diagram of the area to be used. The Production Coordination Area shall be fenced and draped. Collectively the areas K#03- 1 depicted in Exhibit A, attached to the Agreement and Exhibit B, attached to the Executive Director's Letter, shall be referred to as the "PREMISES". 3. GOVERNING CONDITIONS: All remaining terms of the Agreement, not specifically changed herein, shall remain in full force and effect through the extended term.
