This Agreement is for twenty-four (24) months with three (3) one year renewable options. Subscriber acknowledges that Subscriber has read and understands this Agreement and agrees to be bound by its terms and conditions. If the Subscriber disconnects early, two payment options are available: 1. Continue paying the monthly rates for the remainder of the Agreement term, or 2. Make a lump sum payment discounted by the current prime interest rate plus two percentage points. All rules and regulations found in the NMLI tariff are applicable to this CSA. If facilities do not exist, special construction charges may apply. All applicable rates and regulations for this service as set forth in the Private Line Services Tariff and the General Subscriber Service Tariff are in addition to the rates and regulations contained in this CSA. The following nonrecurring charges will not apply upon initial installation. This Agreement is contingent upon Subscriber maintaining a quantity of thirty-five (35) BellSouth Frame Relay Broadband Exchange Lines throughout the term of this Agreement. Company agrees to waive the nonrecurring charges and provide services at the rates stated herein, providing the MINIMUM INSTALLED QUANTITY requirements are maintained. The Subscriber may disconnect up to 10% of the existing circuits per year without incurring termination liability as long as the minimum quantity requirements listed above are met and maintained throughout the term of this agreement. However, the circuits that are installed after execution of this Agreement must remain in service for twelve months before they can be included in the 10% eligible for disconnection as described above. Thereafter, up to 10% of the total elements: for each of the services identified above which are in use may be disconnected without the Customer incurring termination liability. The Customer's installed service will be reviewed by the Company periodically, or no less than annually on the anniversary date of the signing of this Agreement to determine if the minimum installed quantity is being maintained and to make any necessary billing adjustments. Failure on the part of the Company to perform this review shall not be considered a waiver of this provision. lithe above quantities are not attained within the time period specified, then the customer will be billed the recurring monthly charges for each circuit that falls below the minimum quantity of circuits prescribed above for the previous twelve (12) months and the remaining months of the term. Should the audit reveal that more than IO% of the service elements were disconnected, then termination liability applies as specified in tariffsections for Frame Relay service in addition to the full tariff nonrecurring charges as listed below.
