Resolution R-03-1204 and substituting a Resolution Authorizing the Execution of REFERENCES Amendment No. 2, to tbt Tri- Party Agreement regarding the ENCLOSURES: Pedestrian bridge at the American Airlines Arena DEC 15 2003 FILE: It.ECOMMENDATIQN It is respectfully recommended that the City Commission adopt the attached Resolution rescinding Resolution R-03-1204 and substituting the herein resolution authorizing the City Manager to execute, in the form attached, Amendment No. 2 to the Tri-Party Agreement dated July 19, 1988, as amended, in substantially the attached form, between Miami -Dade County, ("County") the City of Miami and Bayside Center Limited Partnership- BACKGROi The Tri-Party Agreement was executed in support of the American Airlines Arena Agreements by providing certain rights and responsibilities for the construction of the facility and appendage thereto. The Tri-Party Agreement requires the County to cause the construction of a pedestrian bridge over Port Boulevard in order to connect the American Airlines Arena (Arena) and Bayside Marketplace. The usefulness of the Pedestrian Bridge has been called into question and it is strongly believed that a properly constructed bayvwalk along Parcel B, the vacant property owned by Miami -Dade County east of the American Airlines Arena, would be more effective in providing the connectivity. The Second Amendment shall release all parties of any liability or responsibility for the planning, design,, construction and operation of and the funding for the Pedestrian Bridge. The County Manager will recommend to the Board of County Commissioners that the County°s S1.5 million of funds allocated for construction of the Pedestrian Bridge be reallocated for development of Parcel B, specifically funding the baywalk. The Second Amendment also states that the City and County will jointly plan the development of Parcel B. In addition, the County Manager has submitted a letter stating that he will release, within 60 days, the balance of the funds held in reserve for the envixnnmental remediation of the DEC-15-2003 09:11 CITY MiNAGERS OFFICE 305 416 1019 P.03 Arena property and Parcel B (Approximately $2.2 million less the cost of remediation on Parcel B).
