between Miami -Dade County,
the City of Miami and Bayside
Center Ltd dated July 19, 1988

RECOMMENDATION
It is respectfully recommended that the City Commission adopt the attached Resolution
authorizing the City Manager to execute, in the form attached, Amendment No. 2 to the
Tri-Party Agreement dated July 19, 1988, as amended, in substantially the attached form,
between Miami -Dade County, ("County") the City of Miami and Bayside Center Limited
Partnership.
BACKGROUND
The Tri-Party Agreement was executed in support of the American Airlines Arena
Agreements by providing certain rights and responsibilities for the construction of the
facility and appendage thereto. The Tri-Party Agreement requires the County to cause
the construction of a pedestrian bridge over Port Boulevard in order to connect the
American Airlines Arena (Arena) and Bayside Marketplace. The usefulness of the
Pedestrian Bridge has been called into question and it is strongly believed that a properly
constructed baywalk along Parcel B, the vacant property owned by Miami -Dade County
east of the American Airlines Arena, would be more effective in providing the
connectivity.
The Second Amendment shall release all parties of any liability or responsibility for the
planning, design, construction and operation of and the funding for the Pedestrian Bridge.
The County Manager will recommend to the Board of County Commissioners that the
County's $1.5 million of funds allocated for construction of the Pedestrian Bridge be
reallocated for development of Parcel B, specifically funding the baywalk. In addition,
the County Manager has agreed to release the funds held in reserve (Approximately $2.2
million) for the environmental remediation of the Arena property and Parcel B.
