The next item of business was to consider proposed financings on behalf of Mercy
Hospital in Miami and Holy Cross Hospital in Fort Lauderdale, Florida (the latter being done
pursuant to an Interlocal Agreement). A public hearing was held on these financings on this date
immediately prior to this meeting, in accordance with the requirements of the Federal Tax Equity
and Fiscal Responsibility act of 1982, as amended, commonly known as "TEFRA." The records
of the Authority include the transcript of said TEFR1 public hearing. Counsel then read to the

This Tearing is being conducted ., and on behalf of the Ci:_ Miami,
Florida Health Facilities Authority. Attending the hearing on behalf of the
Authority were the following persons:

We are now conducting the public hearing on the proposed financing for
two projects, one located in the City of Miami, Miami -Dade County,
Florida, on behalf of Mercy Hospital, Inc., and the other. Holy Cross
Host),Lai, Inc. of Fort Lauderdale; Lorida. The hearing on bci<<zit of Holy
Cross Hospital, Inc. is being conducted under the authority of an Interlocal
Agreement between the City of Fort Lauderdale and the Authority.
This public hearing is being conducted pursuant to the requirements of the
Federal Tax Equity and Fiscal Rcsnonsibility Act of 1982, as :mended by
the Tax Reform Act of 1986, together referred to for purposes. of this hearing
as TEFRA and c. mhodied in Section 147(0 of he Internal Revenue Code of
1986, as amended LLiie "Code"). TEFRA req ,,yes that in order for the
interest on 501(c)(3) hospital revenue bonds to be exempt from federal
income tax, the bonds and the projects which they will finance must be
approved by either a voter referendum or by an applicable elected body or
person, after a public hearing following reasonable public notice.
A transcript of this hearing will be provided to the City Commission of the
City of Miami at a regular meeting of the Commission, at which time the
Commission will, for purposes of Section I47(f) of the Code, approve or
disapprove the financings to be undertaken by the Authority for the benefit
and on behalf of Mercy Hospital, Inc. and Holy Cross Hospital, Inc.
It should be noted that the proceedings of this public hearing are being
recorded and will be maintained as a permanent record.
The Notice of' Public Hearing was published in The Miami Herald on
September 21, 2003, and by the Sun Sentinel on September 22, 2003,
advising that the Authority would hold this public hearing on October 8,
2003, at 6:00 p.m., at the City of Miami Administration Building, on the
proposed financings to be undertaken by the Authority for the benefit and on
hehalf of Mercy Host), .. 1 ; ' d Holy Cross Hospital.
The affidavits showing Proof of Publication in the Miami Herald and the
Sun Sentinel will be part of the records of these financings.
Anyone wishing to speak or submit written testimony should give his or her
name and address for the record.

LONTINUING: Authority will be used to finance a project for Holy Cross Hospital, Inc. in
Fort Lauderdale, Florida. The Holy Cross Project consists of
improvements, construction and renovations with respect to Holy Cross'
emergency department, heart center, operating rooms, and the Holy Cross
MR/CT Center, retrofitting of the incinerator, routine and miscellaneous
renovations and replacements to various facilities, including the vascular
lab, the acquisition of bariatric operating room equipment, two new cardiac
cath labs on the third floor of the heart center, improvements to elevators,
the acquisition of a hi gar accelerator, telemetry m, .dots, and critical care
beds, renovations to the ambulatory care areas, parking garage expansion,
and other miscellaneous capital expenditures, with the expected borrowing
to be approximately $38,000,000.

The proceeds of the Series 2003C Bonds proposed to be issued by the
Authority will be used to finance a, project for Mercy Hospital, Inc. in
Miami, Florida. The Mercy Hospital Project consists of the expansion of
the M.Hospital Emergency I_-.,.)urtrnent, and other mist..:i.Lncous
capital expenditures, with the expected borrowing to be approximately
$20,000,000.
These two series of bonds are referred to together as the "Series 2003
Bonds,"

In addition, proceeds of the Series 2003 Bonds will be applied to (a) fund
a debt service reserve fund, if any, with respect to each series of the Series
2003 Bonds; and (b) pay costs of issuance with respect to each series of
the Series 2003 Bonds. Proceeds of the Series 2003 Bonds will be loaned
by the Authority to Catholic Health East, and will be made available by
Catholic Health East to its affiliates Holy Cross Hospital and Mercy
Hospital for the above -described financing purposes with respect to their
facilities and the projects described above. The Holy Cross Hospital
Projects described above are owned and operated by Holy Cross Hospital
and are located on or contiguous to the Holy Cross Hospital facilities at
4725 North Federal Highway, Fort Lauderdale, Florida 33308. The Mercy
Hospital Projects described above are owned and operated by Mercy
Hospital and are le '. ! on or contiguous to tli. Mercy Hospital facilities
at 3663 South Miami Avenue, Miami, Florida 33133.
Any final approval of the Authority is conditioned upon the Authority's
approval of the plans of financing and approval of the financing documents.
