UNITY OF TITLE
WHEREAS, the undersigned, City of Miami ( hereinafter the "Owner' ) is the owner of the real
property lying in Miami -Dade County, Florida and more particularly described in Exhibit A,
attached hereto, and made part hereof, known as Gibson Park (hereinafter the "Property").
located at 404 NW 14th Street; 411 NW 13th Street; 1360 NW 3`d Avenue; 308 NW 14' Street;
450 NW 14th Street; 380 NW 14th Street; 339 New' 13`h Street; 1208 NW 3`a Avenue; 1200 NW
.3 Avenue; 1240 NW ) Avenue; 350 NW 13th Street; and 1338 NW 3rd Avenue, Miami,
Florida, and currently having folio numbers:

WHEREAS, the Owner recognizes and acknowledges that this Unity of Title, (hereinafter the
"Unity") must be executed for the public health, safety, welfare, and/or morals, so that the
described Property should not be divided into separate parcels, and it should be kept as one plot
or lot, so long as the same is put to the hereinafter use or as long as the Unity remains in effect;
and

WHEREAS, in consideration for certain improvements that need to be made on the Property and
for the issuance of the building permits necessary to construct such improvements, a Unity is
required; and
WHEREAS, such improvements on the Property include that which is described in Project No.
B -30305B, entitled "Gibson Park New Construction," and will include: a multi-purpose bail
field incorporating dugouts, fencing, scoreboard, sports lighting system, shaded stadium bleacher
seating, a two-story press box; a 2,500 square foot toddler playground with play structures; open
play area with play elements; a Health Beat Vita Course System with fitness equipment; a 25 -
yard ADA accessible community pool with a learn -to -swim area; a new 6,491 square foot
community building which includes a park administrative office, lifeguard room, ticket booth
office, health room; kitchenette, restrooms/lockers, exercise room, weight room; laundry area,
storage rooms, reception area and open lobby area; and a library to be renovated by adding a 600
square foot building extension; and
WHEREAS, the City of Miami intends to issue a building permit for this Property, subject to the
provisions of this Unity.
Therefore, and for other good and valuable consideration, and subject to the foregoing recitals;
the undersigned herby agrees to restrict the use of the subject Property in the following manner:
1. That said Property (all of the lots and/or parcels of land encompassing the site ) shall be
considered and held together as one plot and parcel of land and that no portion of said
plot and parcel of land shall be sold, transferred, leased, encumbered, divided or assigned
separately, except in its entirety as one plot or parcel of land.
2. The undersigned further agrees that these condition(s), restriction(s) and limitation(s)
shall be deemed a covenant running with land, which shall be recorded in the public
records of Miami -Dade County, Florida, at the undersigned's cost and expense, and shall
remain in full force and effect and be binding upon the undersigned, their heirs,
successors, and assigns, until such time as the same may be released in writing by the
Director of the Planning Department and/or the Zoning Administrator or his / her
designated representative.
3. That this Unity may only be released in writing by the Director of the Planning
Department and /or the Zoning Administrator or his / her designated representative, after
approval of a site plan or a re -plat which meets all applicable City, county and state
regulations or only upon the removal of all improvements for which this Unity was
requested.
4. The undersigned shall promptly record this instrument within thirty (30) days of its
recordation.
5. The Unity and any subsequent release shall be approved as to legal form and correctness
by the City Attorney.
