A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A REVOCABLE LICENSE
AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM,
BETWEEN THE CITY OF MIAMI AND MIAMI BRIDGE YOUTH AND FAMILY
SERVICES, INC., A NON-PROFIT CORPORATION ("LICENSEE"), FOR THE USE
OF PROPERTIES LOCATED AT 2916, 2810 AND 2910 NORTHWEST SOUTH
RIVER DRIVE, MIAMI, FLORIDA, COMMENCING ON THE EFFECTIVE DATE, FOR
USE AS A 24/7 EMERGENCY RESIDENTIAL SHELTER FOR RUNAWAYS AND
FOR CRISIS COUNSELING, FOR AN INITIAL TERM OF SEVEN (7) YEARS, WITH
THE OPTION TO RENEW FOR TWO (2) ADDITIONAL FIVE-YEAR TERMS;
PROVIDING FORA MONTHLY USE FEE OF FIVE HUNDRED DOLLARS ($500), AS
ADJUSTED BY FIVE PERCENT (5%) EVERY SUBSEQUENT FIVE (5) YEAR TERM;
PROVIDING FOR LICENSEE'S PAYMENT OF ANY ANNUAL STATE FEES
IMPOSED BY THE STATE FOR THE USE OF THE STATE-OWNED UPLAND
PARCELS; PROVIDING FOR THE TERMINATION OF THE EXISTING REVOCABLE
PERMIT UPON EXECUTION OF THIS AGREEMENT; FURTHER AUTHORIZING
THE CITY MANAGER TO MAKE NON -SUBSTANTIVE AMENDMENTS TO SUCH
AGREEMENT AS NEEDED, WITH TERMS AND CONDITIONS MORE
PARTICULARLY SET FORTH IN THE AGREEMENT, SUBJECT TO CITY
ATTORNEY APPROVAL.
WHEREAS, the City of Miami ("City") owns the property located at 2916 Northwest South
River Drive, Miami, Florida, and the State of Florida Board of Trustees for Internal Improvement Trust
Fund ("the State") owns 2810 and 2910 Northwest South River Drive, Miami, Florida,( collectively the
"Properties"); and
WHEREAS, the City and the Miami Bridge Youth and Family Services, Inc., a non-profit
corporation ("Licensee") now desire to enter into a Revocable License Agreement ("Agreement") for
the purpose of allowing the Licensee to continue providing 24/7 emergency residential shelter
services for runaways; and
WHEREAS, the City acknowledges that Licensee is providing valuable services to troubled
runaways in Miami -Dade County; and
WHEREAS, the City shall require the Licensee to pay any annual State fees imposed for the
use of the State-owned Properties;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby

adopted by reference thereto and incorporated herein as if fully set forth in this Section.
Section 2. The City Manager is authorized {1} to execute an Agreement, in substantially the
attached form, between the City and the Licensee, for the use of the Properties, to provide for the
following, commencing on the Effective Date: 1) use as a 24/7 emergency residential shelter for
runaways and for crisis counseling, 2) an initial term of seven (7) years, with the option to renew for
two (2) additional five-year terms, 3) a monthly use fee of Five Hundred Dollars ($500), as adjusted
by a five percent (5%) increase in each additional five-year term; 4) Licensee's payment of any State
annual fees imposed by the State for the use of State-owned properties; and 5) the termination of the
existing Revocable Permit upon execution of this Agreement; with terms and conditions more
particularly set forth in the Agreement.
Section 3. The City Manager is further authorized {1} to make non -substantive amendments
to such Agreement as needed, subject to City Attorney approval.
Section 4. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor. {2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
