Thank you. I just got a call from Commissioner Dunn's office, and they should be sending me contact info for
the two ladies.
I hope we can close this matter at the first May Commission meeting. That would give us time to make a
recommendation and for our full Board to act on it before submitting it for Commission approval.

As I explained in an earlier email and which is supported in the backup documents for tomorrow's meeting, I will advise
the Commission that the VKBPT will need to recommend a name for appointment. I will advise them that we have not
received a name for recommendation.
Additionally, I will request the 4/5 residency waiver for Member Pinkney.

Nominating Committee has proffered a few names that we want to give full consideration, and we would wish
to include Ms. Belle Gray among them. Can this item be deferred to the second Commission meeting this
month? We would prefer not to address it as a "problem" only; we would want to offer a "solution" at the same
time, in the form of recommending a person for the vacant slot.
As a point of information, neither of these new appointees was present at the Board Meeting last night, and I
may have copied you my Memo to Commissioner Dunn requesting contact information for the two ladies. We
would want to apprise them of the current state of things with the Trust, of course, but also of the obligations
which Trustees have, such as fundraising.

MEMORANDUM
Greetings to you, Commissioner Dunn. This Memo comes to address a number of questions and issues which
have arisen in relation to the recent Board appointments to the Virginia Key Beach Park Trust (VKBPT), which
were approved by the Miami City Commission at its meeting of March 11. You might already have been
apprised of some of these by the City Clerk's office, and/or by Mr. Guy Forchion of our Trust staff
To begin with the simplest first, I know I speak for all of my fellow Trustees in being most appreciative of the
Commission's re -appointment of Mrs. Enid C. Pinkney to the Trust in an at -large capacity, at the Trust's
recommendation, not only for her to continue to bring her experience and expertise to the table in this time of
transition, but also by the unanimous vote that was required to fulfill the technical requirement of waiving the
term limit on her service. However, just to ensure that all matters are correct and duly transparent, there is
another vote which will be required, which is the 4/5 minimum to waive the property ownership prerequisite,
since Mrs. Pinkney has sold the property that she once owned within the City limits. We will draft a formal
communication to the City Clerk for this matter to be brought before the Commission for a formal vote.
Two other members, both new, were also approved by the Commission on March 11: Ms. Lillie Williams,
appointed by your office for District 5, and Ms. Bell Gray, appointed at -large, also by way of your nomination.
Of course, we wish to welcome all new members of the Trust as soon as possible after their appointment, and
we recognize the need both for us to get them "up to speed" with the current status, issues, challenges, and
opportunities facing the Trust, and to learn from them what their own interests, skills, capabilities and
preferences are in how they might best serve the Mission.
As a vital point of information, for example, all new Trustees should be apprised of the obligation which the
Trust has voted in place for each Trustee to raise or contribute a minimum of $1,000 per year. This represents a
token of our own commitment, even as we ask others to participate in fundraising and financial support, which
now becomes an even more urgent part of our work in the light of the City's financial condition. For all of
these matters, we would appreciate receiving the contact information for the newly appointed Trustees, or your
providing them with our contact information, so that we might have the benefit of conversing with them prior to
our next Board meeting (first Monday of each month, except August), on April 5.
In addition to this need, a second issue arises in the appointment of Ms. Belle Gray as an at -large Trustee, filling
the slot formerly held by Mr. Bruce Matheson. (I regret that I was unable to be in the Commission Chamber at
the time, whereby I might have been able to address this, but the technicality also escaped the Clerk at the time,
as a very rare oversight.) The technicality is that, in accordance with the Ordinance and By-laws by which the
Trust was created, at -large members are to be voted upon by the Trustees, and their names brought to the
Commission for a vote of approval. The appointment of Ms. Gray did not follow this procedure, and therefore
becomes questionable.
Under these circumstances, it would seem to me that our most prudent course of action going forward might be
twofold: On the one hand, the Trust will need to ascertain from our Nominating Committee whether it has
identified the names of persons to be considered and voted upon to be recommended for Commission approval.
On the other hand, it would behoove us to have a conversation with Ms. Gray as soon s possible so as to
ascertain her interests, willingness to serve, etc., so that she, too, may be considered for such a
recommendation. We would hope to do this before our April 5 Board Meeting, if possible, and make our final
recommendation known to the City Clerk thereafter for appropriate inclusion in the Commission Meeting
Agenda.
