HomeMy WebLinkAboutR-10-0275Vop City of Miami '"* Legislation < U R �O Resolution: R-10-0275 File Number: 10-00722 City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com Final Action Date: 6/24/2010 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), PURSUANT TO RESOLUTION NO. 08-0367, ADOPTED JUNE 26, 2008, AND REQUEST FOR PROPOSALS NO. 23019, ACCEPTING THE ASSIGNMENT OF THE AGREEMENT FROM SOLID RESOURCE, INC. TO O'BRIEN'S RESPONSE MANAGEMENT, INC TO PROVIDE EMERGENCY DEBRIS CONTRACT MONITORING; AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, TO EFFECTUATE THE ASSIGNMENT, UNDER THE ORIGINAL SAME TERMS AND CONDITIONS OF SAID AGREEMENT WITH SOLID RESOURCE, INC. FOR SAID PURPOSE. WHEREAS, on June 26, 2008, the Miami City Commission adopted Resolution No. 08-0367, accepting the recommendation of the City Manager approving the findings of the Evaluation Committee, pursuant to Request for Proposal ("RFP") No. 23019, that the firm(s) most qualified to provide Emergency Debris Contract Monitoring Services are Solid Resources, Inc., the top-ranked firm, as the primary contractor, and Beck Disaster Recovery, Inc., the second-highest ranked firm, as the secondary contractor, only in the event the primary contractor is unable to perform said services, for a period of one (1) year period, with the option to renew for three (3) additional one-year periods, with funds allocated from the various sources of funds, subject to the availability of funds and budgetary approval at the time of need; and WHEREAS, O'Brien's Response Management, Inc. ("O'Brien's") has sent written notice that effective January 1, 2010 Solid Resources, Inc. ("Solid") merged by operation of law into its parent company, O'Brien's; and WHEREAS, as of the effective date, O'Brien's assumed all of the rights, obligations and duties of Solid and is the successor in interest of Solid; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The assignment of the Agreement from Solid to O'Brien's to provide Emergency Debris Contract Monitoring Services, pursuant to Resolution No. 08-0367, adopted June 26, 2008, and RFP No. 23019, is accepted. Section 3. The City Manager is authorized {1} to execute an Agreement, in substantially the attached form, to effectuate the assignment, under the original same terms and conditions of said Agreement with Solid, for said purpose. This Resolution shall become effective immediately upon its adoption and signature of the Mayor. { 21 Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
