HomeMy WebLinkAboutAmended ContractAMENDED REAL ESTATE PURCHASE AND SALE CONTRACT THIS AMENDED PURCHASE AND SALE CONTRACT (the "Amended Contract") is made and entered into as of this A9 day of Z�o k Si , 2009, by and between the Maureen Allon (hereinafter referred to as the "Buyer") and the City of Miami, a municipal corporation of the State of Florida (hereinafter referred to as the "Seller"). Recitals WHEREAS, the Seller has agreed to convey the Property (as herein described) to the Buyer, pursuant to Resolution No. R-08-0497 (a copy of which is attached hereto as Attachment 1), duly adopted by the Miami City Commission on September 11, 2008; and WHEREAS, on November 19, 2008, the Buyer and Seller entered into that certain Real Estate Purchase and Sale Contract, (the "Contract"), wherein the Buyer agreed to purchase the Property from the Seller for One Hundred Forty Thousand Dollars and 00/100 ($140,000.00) and in accordance with the terms and condition of the Contract; and WHEREAS, the Effective Date of the Contract is November 20, 2008; and WHEREAS, pursuant to the Contract, the Closing on the Property "shall take place on or before one hundred -eighty (180) days after the Effective Sate, in the office of the Escrow Agent." WHEREAS, the parties hereto intend to modify, amend and confirm certain terms of the Contract. NOW, THEREFORE, in consideration for the covenants set forth herein and for good and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. Each and every one of the above recitals is true and correct. 2. The Contract is hereby amended to provide as follows: Section 10. Closing: Subject to the provisions of this Amended Contract, the Closing shall take place on or before one hundred eighty (180) days after this Amended Contract is signed by the City Manager and the City Clerk attests to the City Manager's _-___signature,--which- shall -be-deemed the-Effective-Date. 3. Except as modified herein, all terms and conditions of the Contract shall remain fu force and effect. 1 Dw; Amended Real Estate Sale and Purchase Agreement: 173728 4. If any provision of this Amended Contract conflicts with any applicable law or regulation, only the conflicting provision shall be deemed by the parties hereto to be modified, or to be deleted if modification is inappropriate, to cause the provision to be consistent with the law or regulation. However, the obligations under the Amendment shall remain in full force and effect. 5. This Amended Contract shall be construed, interpreted, enforced and governed by and in accordance with the laws of the State of Florida. 6. This Amended Contract sets forth the entire agreement between the parties and supersedes all prior and contemporaneous negotiations, understandings and agreements, written or oral between the parties relating to the subject matter herein.
