A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
BY A FOUR-FIFTHS (4/5THS) AFFIRMATIVE VOTE, PURSUANT TO SECTION
18-92(A) (1) AND (3) OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED, AFTER AN ADVERTISED PUBLIC HEARING, RATIFYING,
APPROVING AND CONFIRMING THE CITY MANAGER'S FINDING OF A SOLE
SOURCE; WAIVING THE REQUIREMENTS FOR COMPETITIVE SEALED
BIDDING PROCEDURES AND APPROVING THE ACQUISITION OF
GEOGRAPHIC INFORMATION SOFTWARE BASED SOFTWARE LICENSES,
TRAINING, PROFESSIONAL AND ONLINE SERVICES, MAINTENANCE AND
PRODUCT SUPPORT FOR VARIOUS ENVIRONMENTAL SYSTEMS RESEARCH
INSTITUTE, INC. ("ESRI") PRODUCTS WHICH INCLUDE, BUT ARE NOT
LIMITED TO, ARCGIS DESKTOP, ARCVIEW, ARCEDITOR, ARCINFO, ARCIMS,
ARCGIS IMAGE SERVER, ARCGIS SERVER (ADVANCED, STANDARD, BASIC),
ARCINFO WORKSTATION, ARCGIS DESKTOP AND SERVER EXTENSIONS
(3D ANALYST, GEOSTATISTICAL ANALYST, NETWORK ANALYST,
SCHEMATICS, SPATIALANALYST, SURVEYANALYST, TRACKING ANALYST,
DATA REVIEWER, DATA INTEROPERABILITY, PUBLISHER), ESRI
DEVELOPER NETWORK SUBSCRIPTIONS, GIS PORTAL TOOLKIT, MAP
PRODUCTION SYSTEM ATLAS, MAPLEX 3.X, MAPSTUDIO, MILITARY
OVERLAY EDITOR, NETENGINE, PRODUCTION LINE TOOLSET ("PLTS") FOR
ARCGIS, INCLUDING PLTS FOUNDATION AND PLTS SOLUTION AND CERTAIN
PROPRIETARY TRAINING COURSES, FOR A PERIOD OF FIVE (5) YEARS,
FOR THE DEPARTMENT OF INFORMATION TECHNOLOGY, FROM ESRI, THE
SOLE SOURCE PROVIDER, FOR AN INITIAL FIRST YEAR COST NOT TO
EXCEED $87,000; ALLOCATING FUNDS FROM THE DEPARTMENT OF
INFORMATION TECHNOLOGY, ACCOUNT CODE NO. 0001.251000.546000.0.0,
WITH FUTURE YEARS FUNDING SUBJECT TO THE AVAILABILITY OF FUNDS
FROM THE INFORMATION TECHNOLOGY DEPARTMENT'S OPERATING
BUDGET AND STRATEGIC REVENUES, OTHER VARIOUS CAPITAL
IMPROVEMENT PROJECT ACCOUNTS, GRANTS, AND THE OPERATING
BUDGETS OF VARIOUS USER DEPARTMENTS, AND BUDGETARY APPROVAL
AT THE TIME OF NEED; AUTHORIZING THE CITY MANAGER TO EXECUTE
THE NECESSARY DOCUMENTS, IN SUBSTANTIALLY THE ATTACHED FORM.
WHEREAS, the City of Miami ("City") needs to acquire and maintain products and services

that will allow for the display, use and application of Geographic Information Software ("GIS")
information to support the City's Enterprise solutions such as Land Management, Computer Aided
Dispatch, Enterprise Resource Planning, Disaster Recovery Systems, as well as census,
demographic and general mapping information; and
WHEREAS, the Environmental Systems Research Institute, Inc.'s ("ESRI") GIS software, the
recognized leader in GIS software and technology, allows for displaying and retrieving data,
management reporting, decision support, and manipulation of information through a graphical format
for presentation by the City to its departments and citizens via the intranet, internet and as hard copy
maps, thereby benefiting a number of City departments in its distribution of information; and
WHEREAS, the City, via prior sole source findings approved by the Chief Procurement
Officer, City Manager and City Commission, utilized sole source maintenance services on the ESRI
products for more than a decade, enabling the City to create and develop a wealth of GIS maps,
layers and data while at the same time, develop in-house expertise and knowledge using the ESRI
tools; and
WHEREAS, the Chief Procurement Officer has adopted a finding that ESRI is the sole source
provider for the acquisition of GIS based software licenses, training, services, maintenance and
product support, for a period of five (5) years, for the ESRI products which include, but are not limited
to, ArcView, ArcEditor, Arclnfo, ArcGIS Server (Advanced, Standard and Basic), ArcGIS Desktop and
Server Extensions (Spatial Analyst, 3D Analyst, Network Analyst, Schematics, Survey Analyst,
Tracking Analyst, Data Reviewer, Data Interoperability, Geostatistical, Publisher and StreetMap),
ArcIMS, and NetEngine, ESRI Developer Network Subscriptions, NetEngine, Production Line Toolset
("PLTS") for ArcGIS, including PLTS Foundation and PLTS Solutions and certain proprietary training
courses; and
WHEREAS, the finding of the Chief Procurement Officer has been approved and adopted as
the finding of the City Manager; and
WHEREAS, the City Manager and the Chief of Information Technology recommend that the
requirements for formal competitive sealed bidding procedures be waived and the procurement of the
above services as specified be approved;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four-fifths (4/5ths) affirmative vote, pursuant to Section 18-92(a) (1) and
(3) of the Code of the City of Miami, Florida, as amended, after an advertised public hearing, the City
Manager's finding of a sole source, is ratified, approved and confirmed, the requirements for
competitive sealed bidding procedures are waived, and the acquisition of GIS based software
licenses, training, professional and online services, maintenance and product support, for a period of
five (5) years, for the ESRI products which include, but are not limited to, ArcView, ArcEditor, Arclnfo,
ArcGIS Server (Advanced, Standard and Basic), ArcGIS Desktop and Server Extensions (Spatial
Analyst, 3D Analyst, Network Analyst, Schematics, Survey Analyst, Tracking Analyst, Data Reviewer,

Data Interoperability, Geostatistical, Publisher and StreetMap), ArcIMS, and NetEngine, GIS Portal
Toolkit, Map Production System Atlas, Maplex 3.x, MapStudio, Military Overlay Editor, NetEngine,
Production Line Toolset for ArcGIS, including PLTS Foundation and PLTS Solutions and certain
proprietary training courses, for the Department of Information Technology, from Environmental
Systems Research Institute, Inc., the sole source provider, is approved, for a first year cost not to
exceed $87,000, with funds allocated from the Department of Information Technology, Account Code
No. 0001.251000.546000.0.0, with future years funding subject to the availability of funds from the
Information Technology Department's operating budget and Strategic Revenues, other various Capital
Improvement Project accounts, grants, and the operating budgets of various user departments and
budgetary approval at the time of need.
Section 3. The City Manager is authorized{1} to execute the necessary documents, in
substantially the attached form.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.{2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
