HomeMy WebLinkAboutR-09-0586Vop City of Miami Legislation < U R �O Resolution: R-09-0586 File Number: 09-00997 City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com Final Action Date: 12/17/2009 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO EXECUTE AN AMENDMENT, IN SUBSTANTIALLY THE ATTACHED FORM, TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI AND WESTNET, INC., TO THE REQUIRED MAINTENANCE PLAN AND TOLL-FREE TECHNICAL SUPPORT ("TOTAL SYSTEM SUPPORT"), RETROACTIVELY FOR YEARS 2008 THROUGH 2011, AS OUTLINED IN "EXHIBIT A-6" OF THE SERVICES AGREEMENT, ATTACHED AND INCORPORATED, IN AN AMOUNT NOT TO EXCEED $248,905; ALLOCATING FUNDS FROM THE VARIOUS SOURCES OF FUNDS OF THE DEPARTMENT OF FIRE -RESCUE, SUBJECT TO THE AVAILABILITY OF FUNDS AND BUDGETARY APPROVAL AT THE TIME OF NEED. WHEREAS, pursuant to Resolution No. 00-605, adopted July 20, 2000, the City of Miami ("City") entered into an Service Agreement with Westnet, Inc., the sole source provider, dated October 11, 2001, for the acquisition and installation of a first -in fire station alerting system to be installed at Fire Station No. 3 for initial testing; and WHEREAS, as a result, the first -in fire station system has proven to minimize emergency response time and enhanced the firefighter's safe response within the fire station by means of a low level lighting system, which reduces eyestrain and night blindness while permitting safe passage to the response vehicle; and WHEREAS, Westnet, Inc., is linked directly to the CAD System, which automatically notifies the fire station, purging any potential communication delays, thus streamlining the method of deploying firefighters and apparatus and thereby shortening response time; and WHEREAS, the City, after the successful implementation of the alarm system located at Fire Station No. 3, acquired and installed the First -In Fire Station Alerting System, throughout the remaining City fire stations, in an amount not to exceed $1,065,536.65, from Westnet, Inc., and further authorized the City Manager to execute a Services Agreement ("Agreement") pursuant to Resolution No. 04-0631, adopted September 23, 2004; and WHEREAS, the subject Agreement included the option for System Support maintenance in an additional amount of $248,905 as outlined in "Exhibit A-6" of the Agreement, but not exercised by the City back upon contract execution on January 21, 2005; and WHEREAS, the City eventually utilized the Maintenance Plan and Toll -Free Technical Support ("Total System Support") for years 2008 and 2009 without compensation to Westnet, Inc., and now the City wishes to now remit the payment owed to Westnet, Inc. for those years; and WHEREAS, this will also include the Total System Support for years 2010 and 2011; and City of Miand Page 1 of 2 File Id. 09-00997 (Version: 2) Printed On: 7/12/2017 File Number: 09-00997 Enactment Number: R-09-0586 WHEREAS, this Resolution aims for the City Commission to grant authorization for the City Manager to execute the amendment and any other necessary documents for said purpose; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized{1} to execute an Amendment, in substantially the attached form, to the Professional Services Agreement between the City and Westnet, Inc., to the Total System Support, retroactively for years 2008 through 2011, as outlined in "Exhibit A-6" of the Services Agreement, attached and incorporated, in an amount not to exceed $248,905, is approved, with funds allocated from the various sources of funds of the Department of Fire -Rescue, subject to the availability of funds and budgetary approval at the time of need. Section 3. This Resolution shall become effective immediately upon its adoption and signature of the Mayor. {2} Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
