A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
BY A FOUR-FIFTHS (4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED
PUBLIC HEARING, RATIFYING, CONFIRMING, AND APPROVING THE CITY
MANAGER'S RECOMMENDATION AND FINDINGS, PURSUANT TO SECTION
18-85 OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED,
WAIVING THE REQUIREMENTS FOR COMPETITIVE SEALED BIDDING
PROCEDURES AS NOT BEING PRACTICABLE OR ADVANTAGEOUS TO THE
CITY, FOR THE PROVISION OF WORKERS COMPENSATION CLAIMS
ADMINISTRATION SERVICES, AND GENERAL, AUTOMOBILE AND
PROFESSIONAL LIABILITY CLAIMS ADMINISTRATION SERVICES;
AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, WITH GALLAGHER BASSET
SERVICES, INC., FOR SAID PURPOSE ON BEHALF OF THE DEPARTMENT
OF RISK MANAGEMENT, UNTIL ISSUANCE OF A NEW REQUEST FOR
PROPOSALS, AWARD OF THE REQUEST FOR PROPOSALS TO THE
SUCCESSFUL PROPOSER, AND EXECUTION OF AN AGREEMENT; FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE ALL OTHER DOCUMENTS
NECESSARY, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR SAID
PURPOSE.
WHEREAS, the City of Miami ("City") issued Request for Proposal ("RFP") No. 02-03-010
seeking qualified and experienced firms for the provision of the following services for the department
of Risk Management:
Part I Services: Workers Compensation Claims Administration and Part II Services: General,
Automobile and Professional Liability Claims Administration (Police Tort and Public Officials
Liability) ("Services"); and
WHEREAS, Resolution No. 03-364, authorized the City Manager to negotiate an agreement
with Gallagher Basset Services, Inc.,("Provider") the top-ranked firm, to provide said Services; and
WHEREAS, Provider has provided satisfactory Services to the City for six (6) years; and
WHEREAS, the Agreement between the City and Provider expired on October 8, 2009 and
Provider has agreed to provide coverage until October 26, 2008; and
WHEREAS, it is in the best interest of the City to continue Services with the Provider until such
time that a RFP for Services is issued, and awarded to a vendor; and

WHEREAS, the Administration wishes to have completed the solicitation process and have
awarded a successful proposer, and executed an Agreement within four months of the adoption of this
Resolution;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated herein as if fully set forth in this Section.
Section 2. By four-fifths (4/5ths) affirmative vote, after an advertised public hearing, the City
Manager's recommendation and findings, pursuant to Section 18-85 of the Code of the City of Miami,
Florida, as amended, waiving the requirements for competitive sealed bidding procedures, as not
being practicable or advantageous to the City, for the procurement of the Services are ratified,
approved, and confirmed.
Section 3. The City Manager is authorized{1} to execute an Agreement, in substantially the
attached form, with Provider, for said purpose on behalf of the Department of Risk Management, until
issuance of a new RFP to the successful proposer, and execution of an Agreement.
Section 4. The City Manager is further authorized{1} to execute all other documents necessary
in a form acceptable to the City Attorney, for said purpose.
Section 5. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor. {2}

Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission
