A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A PROFESSIONAL SERVICES
AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM,
WITH BROWN AND BROWN OF FLORIDA, INC., THE TOP-RANKED FIRM
SELECTED AS A RESULT OF A COMPETITIVE SELECTION PROCESS, TO
PROVIDE INSURANCE BROKERAGE SERVICES, FOR AN INITIAL ONE (1) YEAR
PERIOD FROM THE EFFECTIVE DATE OF JANUARY 1, 2008, AND AN
ADDITIONAL ONE (1) YEAR EXTENSION WITH THE OPTION TO EXTEND THE
AGREEMENT FOR THREE (3) ADDITIONAL ONE (1) YEAR PERIODS, IN AN
ANNUAL AMOUNT NOT TO EXCEED $106, 250; ALLOCATING FUNDS FROM
ACCOUNT CODE NO. 05002.301001.545000.0000.00000.
WHEREAS, the City of Miami issued Request for Letters of Interest No. 06-07-001 seeking
qualified and experienced firms for the provisions of insurance brokerage services for the Department
of Risk Management; and
WHEREAS, the Evaluation Committee evaluated the proposals received and ranked Brown
and Brown of Florida, Inc., ("Provider") as the top-ranked firm, and recommended that the City
Manager negotiate a Professional Services Agreement ("Agreement") with the top-ranked firm for an
initial one (1) year period, with the option to extend the Agreement for four (4) additional one (1) year
periods, for a maximum total contract period of five (5) years, in an annual amount not to exceed
$106,250; and
WHEREAS, the City Manager concurred with the recommendation of the Evaluation
Committee; and
WHEREAS, the Miami City Commission adopted Resolution No. 08-0005 on January 10,
2008, approving the selection of the Provider, and authorizing the City Manager to execute an
Agreement with the Provider; and
WHEREAS, funds for said services will be allocated from Account Code No.
05002.301001.545000.0000.00000;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized {1} to execute an Agreement, in substantially the
attached form, with the Provider, the top-ranked firm selected as a result of the competitive selection

process, to provide insurance brokerage services, for an initial one (1) year period and a one (1) year
extension thereof, from the effective date of January 1, 2008 and ending on December 31, 2009, with
the option to extend the Agreement for three (3) additional one (1) year periods, in an annual amount
not to exceed $106,250, with funds allocated from Account Code No.
05002.301001.545000.0000.00000.
Section 3. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor.{2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution it shall become
effective immediately upon override of the veto by the City Commission.
