A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A FIRST AMENDMENT TO
REVOCABLE LICENSE AGREEMENT ("FIRST AMENDMENT"), IN
SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI ("CITY")
AND ALLAPATTAH-WYNWOOD COMMUNITY AND DEVELOPMENT CENTER, INC.
("LICENSEE"), APPROVING THE CITY'S COSTS AND EXPENSES RELATED TO
THE ROOF REPAIR OF THE 14,580 SQUARE FOOT CITY -OWNED PROPERTY
LOCATED AT 1500 NORTHWEST 16TH AVENUE, MIAMI, FLORIDA, IN THE
AMOUNT OF $26,355, WITH THE LICENSEE TO REIMBURSE THE AMOUNT OF
$14,355 TO THE CITY ON A MONTHLY BASIS, WITH ADDITIONAL TERMS AND
CONDITIONS AS MORE PARTICULARLY SET FORTH IN SAID FIRST
AMENDMENT.
WHEREAS, the City of Miami ("City") is the owner of real property located at 1500 Northwest 16th
Avenue, Miami, Florida, (the "Property"); and
WHEREAS, pursuant to a Revocable Permit issued by the City on April 17, 1991, the
Allapattah-Wynwood Community and Development Center, Inc. ("Licensee") was authorized to use
the Property to provide day care services to young children of the Allapattah area; and
WHEREAS, the City and the Licensee entered into a Revocable License Agreement
("Agreement"), dated June 8, 2007, which provides the Licensee with use of 14,580 square feet of
City -owned property for operating a day care facility; and
WHEREAS, the roof of the Property is in need of repairs due to water damage and Licensee has
requested the City to assist in making such repairs as the City has expertise to ensure that the repairs
are in compliance with all City, Miami -Dade County and State of Florida building code requirements;
and
WHEREAS, the City has agreed to make a one-time repair to the roof in the amount of $26,355,
subject to Licensee reimbursing the City the amount of $14,355 for said repairs; and
WHEREAS, the City and the Licensee wish to amend the Agreement and enter into this First
Amendment to Revocable License Agreement ("First Amendment"), for said purpose;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized{1 } to execute a First Amendment, in substantially the

attached form, between the City and the Licensee, between the City and Licensee, approving the
City's costs and expenses related to the roof repair of the 14,580 square foot City -owned Property, in
the amount of $26,355, with Licensee to reimburse the amount of $14,355 to the City on a monthly
basis, with additional terms and conditions as more particularly set forth in said First Amendment.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor. {2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
