A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO ACCEPT A TOTAL AMOUNT OF NOT
TO EXCEED $602,103.00 IN TWO (2) REIMBURSEMENT GRANTS FROM THE
CHILDREN'S TRUST TO THE CITY'S DEPARTMENT OF PARKS AND
RECREATION FOR OUT-OF-SCHOOL PROGRAMS, WITH AN AMOUNT NOT TO
EXCEED $506,481.00 BEING ALLOCATED FOR THE HEART OF OUR PARKS
SCHOOL YEAR OUT -OF SCHOOL PROGRAM(S) AND AN AMOUNT NOT TO
EXCEED $95,622.00 BEING ALLOCATED FOR THE MIAMI LEARNING ZONE
PROGRAM; ESTABLISHING A NEW SPECIAL REVENUE FUND ENTITLED: "THE
CHILDREN'S TRUST GRANTS FOR PARKS," TO FUND THE DEPARTMENT OF
PARKS AND RECREATION'S HEART OF OUR PARKS SCHOOL YEAR
OUT-OF-SCHOOL PROGRAM AT AFRICAN SQUARE PARK, JUAN PABLO
DUARTE PARK, SHENANDOAH PARK, WILLIAMS PARK, ARMBRISTER PARK,
JOSE MARTI PARK AND THE SANDRA DELUCCA DEVELOPMENTAL CENTER,
AS WELL AS, THE MIAMI LEARNING ZONE AT HOLMES ELEMENTARY BY
APPROPRIATING FUNDS, IN THE TOTAL AMOUNT OF NOT TO EXCEED
$602,103.00 IN THE FORM OF TWO (2) REIMBURSEMENT GRANTS FROM THE
CHILDREN'S TRUST, WITH IN- KIND SERVICES FROM THE CITY VALUED AT
$265,939.13, AND IN-KIND SERVICES FROM THE STATE OF FLORIDA
DEPARTMENT OF HEALTH VALUED AT $33,803.25; FURTHER AUTHORIZING
THE CITY MANAGER TO EXECUTE AN AGREEMENT WITH THE CHILDREN'S
TRUST, IN SUBSTANTIALLY THE ATTACHED FORM (THE "TRUST
CONTRACT") AND TO EXECUTE ALL OTHER NECESSARY DOCUMENTS,
AFTER CONSULTATION WITH THE CITY ATTORNEY, TO IMPLEMENT THE
ACCEPTANCE OF AND COMPLIANCE WITH THE GRANT AWARDS FOR SAID
PURPOSES; ADDITIONALLY, BY A FOUR-FIFTHS (4/5THS) AFFIRMATIVE
VOTE, AFTER AN ADVERTISED PUBLIC HEARING, RATIFYING, APPROVING
AND CONFIRMING THE CITY MANAGER'S RECOMMENDATIONS AND
FINDINGS THAT COMPETITIVE NEGOTIATION METHODS AND PROCEDURES
ARE NOT PRACTICABLE OR ADVANTAGEOUS PURSUANT TO SECTION
18-86(A) (3)(C) OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED; WAIVING THE REQUIREMENTS FOR SAID PROCEDURES;
APPROVING THE RECOMMENDATIONS AND FINDINGS OF THE CITY OF
MIAMI'S DEPARTMENT OF PARKS AND RECREATION THAT AMIGOS FOR
KIDS, ARTS FOR LEARNING, THE MUSEUM OF SCIENCE, MIAMI-DADE FAMILY
LEARNING PARTNERSHIP, CITIZENS FOR A BETTER SOUTH FLORIDA AND
BIG BROTHERS BIG SISTERS OF GREATER MIAMI, ALL FLORIDA
NOT-FOR-PROFIT CORPORATIONS, ARE THE MOST QUALIFIED FIRMS TO
PROVIDE INSTRUCTION, FAMILY ACTIVITIES, MENTORING, COMMUNITY
SCIENCE WORKSHOPS AND OTHER SUCH ACTIVITIES IN CONJUNCTION
WITH EDUCATIONAL AND PARK SERVICES AT THE AFOREMENTIONED
PARKS AND SCHOOL SITES; AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND TO EXECUTE PROFESSIONAL SERVICES AGREEMENTS, IN
COMPLIANCE WITH THE ATTACHED FORM OF TRUST CONTRACT, WITH THE

IDENTIFIED NOT-FOR-PROFIT ORGANIZATIONS, FOR A PERIOD
COMMENCING AUGUST 1, 2009 THROUGH JULY 31, 2010,WITH THE OPTION
TO RENEW FOR TWO (2) ADDITIONAL SIMILAR PERIODS AT THE SAME NOT
TO EXCEED AMOUNTS.
WHEREAS, the City of Miami's ("City") Department of Parks and Recreation has been awarded
two (2) reimbursement grants from The Children's Trust (the "Trust") for Out -of -School Programs, in
the total amount of not to exceed $602,103.00, with $506,481.00 being allocated for the Heart of Our
Parks School Year Out of School Program and with $95,622.00 being allocated for the Miami Learning
Zone Out of School Program at Holmes Elementary, and the City and the Trust have negotiated and
the Trust has provided the form of contract, in substantially the attached form (the "Trust Contract") for
said purposes; and
WHEREAS, The Heart of Our Parks program is comprised of a cooperative effort between the
Parks Department and four (4) not-for-profit organizations, Amigos for Kids, Arts for Learning,
Miami -Dade Family Learning Partnership, and The Museum of Science for its successful
implementation; and
WHEREAS, The Miami Learning Zone is comprised of a cooperative effort between the Parks
Department, the City's Office of the Mayor, Holmes Elementary School and three (3) not-for-profit
organizations, Citizens for a Better South Florida, Big Brothers Big Sisters of Greater Miami, and Arts
for Learning, for its successful implementation; and
WHEREAS, the goals of Heart of Our Parks Program and the Miami Learning Zone are to improve
health and well-being, increase academic achievement and decrease involvement in behaviors that
may put children at risk; and
WHEREAS, previously pursuant to Resolution No. 07-0632, adopted on November 9, 2007, and
Resolution No. 08-00957, adopted on September 11, 2008 the City Commission authorized the
execution award packages for the Heart of Our Parks Program, including grant award agreements, to
accept the grants; and
WHEREAS, previously pursuant to Resolution No. 05-0471, adopted July 28, 2005, Resolution No.
06-01195, adopted July 13, 2006, Resolution No. 07-00756, adopted June 14, 2007 and Resolution
No. 08-00963, adopted on September 11, 2008 the City Commission authorized the execution award
packages for the Miami Learning Zone, including earlier grant award agreements, to accept the grants;
and
WHEREAS, accordingly, the City has now been awarded two (2) additional grants in the amount of
$506,481.00 for the Heart of Our Parks Program and $95,622.00 for the Miami Learning Zone to
continue said services; and
WHEREAS, the City must execute two (2) award packages, including the new form of Trust
Contract, to accept the grants and in order to enter into similar professional services agreements with
the not-for-profit organizations in order to comply with the Trust's requirements; and
WHEREAS, Amigos for Kids was determined to be the most advantageous not-for-profit
organization and in the City's best interests to provide literacy instruction, teacher supervision,
computer technology activities, family literacy activities, and other such activities at Jose Marti Park;

and
WHEREAS, Arts for Learning was determined to be the most advantageous not-for-profit
organization and in the City's best interests to provide art, music, drama and dance instruction at
African Square Park, Juan Pablo Duarte Park, Shenandoah Park, Williams Park, Armbrister Park, the
Sandra Delucca Developmental Center and Holmes Elementary; and
WHEREAS, The Museum of Science was determined to be the most advantageous not-for-profit
organization and in the City's best interests to provide African Square Park, Juan Pablo Duarte Park,
Shenandoah Park, Williams Park, Armbrister Park, and the Sandra Delucca Developmental Center;
and
WHEREAS, Miami -Dade Family Learning Partnership was determined to be the most
advantageous not-for-profit organization and in the City's best interests to provide African Square
Park, Juan Pablo Duarte Park, Shenandoah Park, Williams Park, Armbrister Park, and the Sandra
Delucca Developmental Center; and
WHEREAS, Big Brothers Big Sisters of Greater Miami was determined to be the most
advantageous not-for-profit organization and in the City's best interests to provide Mentoring Services
to the Miami Learning Zone at Holmes Elementary; and
WHEREAS, Citizens for a Better South Florida was determined to be the most advantageous
not-for-profit organization and in the City's best interests to provide Community Science Workshops to
the Miami Learning Zone at Holmes Elementary; and
WHEREAS, the City Manager has approved the recommendations and findings of the Department
of Parks and Recreation, and has made findings that pursuant to Section 18-86(a)(3)(c) of the Code of
the City of Miami, Florida, as amended (the "Code"), competitive negotiation methods and procedures
are not practicable or advantageous for obtaining said services, and has recommended to the City
Commission that the recommendations and findings be adopted and that competitive bidding methods
and procedures be waived; and
WHEREAS, the City Manager and the Department of Parks and Recreation are requesting for the
City Commission to authorize the City Manager to negotiate and execute Professional Services
Agreements ("Agreements"), in compliance with the attached form of Trust Contract, respectively, with
Amigos for Kids, for an amount not to exceed $90,000.00; Arts for Learning for an amount not to
exceed $62,400.00; the Museum of Science for an amount not to exceed $25,000.00; Miami -Dade
Family Learning Partnership for an amount not to exceed $92,111.45; Big Brothers Big Sisters for an
amount not to exceed $35,000.00; and Citizens for a Better South Florida for an amount not to exceed
$30,000.00 for the period from August 1, 2009 through June 11, 2010 with the option to extend for two
(2) additional similar periods for the same not to exceed amount; and
WHEREAS, the City Manager and the Department of Parks and Recreation are requesting the
appropriation of said Trust funding for these Agreements with the respective not-for-profit
organizations as indicated above, for the initial Fiscal Year 2009-2010, with future Fiscal Year funding
subject only to budgetary approval;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:

Section 1. The recitals and findings contained in the Preamble of this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The following new Special Revenue Project is established and resources are
appropriated as described below:
PROJECT TITLE: The Children's Trust Grants for Parks
RESOURCES: The Children's Trust $602,103.00
APPROPRIATION: The Children's Trust Grant for Parks $602,103.00
Section 3. The City Manager is authorized {1} to accept a total amount of not to exceed
$602,103.00 in two (2) reimbursement grants from the Trust to the City's Department of Parks &
Recreation for Out -Of -School Programs, with an amount not to exceed $506,481.00 being allocated
for the Heart of Our Parks Program and an amount not to exceed $95,622.00 being allocated for the
Miami Learning Zone Program.
Section 4. A new Special Revenue Fund entitled: "The Children's Trust Grants for Parks" to fund
the Department of Parks & Recreation's Heart of Our Parks school year Out -Of -School Program at
African Square Park, Jaun Pablo Duarte Park, Shenandoah Park, Williams Park, Armbrister Park,
Jose Marti Park, and the Sandra DeLucca Developmental Center, as well as the Miami Learning Zone
Holmes Elementary School is established by appropriating funds in the total not to exceed amount of
$602,103.000 in the form of two (2) grants from the Trust with in-kind services from the City valued at
$265,939.13 and in-kind services from the State of Florida Department of Health valued at $33,803.25.
Section 5. The City Manager is further authorized to execute the Trust Contract, in substantially
the attached form, and to execute all other necessary documents, after consultation with the City
Attorney, to implement acceptance of and compliance with the grant awards for said purposes.
Section 6. By a four-fifths (4/5ths) affirmative vote, after an advertised public hearing, the City
Manager's findings and recommendations that competitive negotiation methods and procedures are
not practicable or advantageous pursuant to Section 18-86(a)(3)(c) of the Code, waiving the
requirements for said procedures, is ratified, approved and confirmed and the City Department of
Parks and Recreation's recommendations and findings that Amigos for Kids, Arts for Learning, the
Museum of Science, Miami -Dade Family Learning Partnership, Big Brothers Big Sisters of Greater
Miami, and Citizens for a Better South Florida, all Florida not-for-profit organizations, are the most
qualified firms to provide instruction, family activities, mentoring, community science workshop and
other such activities in conjunction with educational and park services at the aforementioned parks and
school sites, are approved.
Section 7. The City Manager is authorized {1} to negotiate and to execute Agreements, in
compliance with the attached form of Trust Contract, with Amigos for Kids, Arts for Learning, the
Museum of Science, Miami -Dade Family Learning Partnership, Big Brothers Big Sisters, and Citizens
fora Better South Florida for a period commencing August 1, 2010 through June 11, 2010, with the
option to renew for two (2) additional similar periods at the same not to exceed amount;

Section 8. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor.{2}

f 1 The herein authorization is further subject to compliance with all requirements that may be imposed
by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
