Purpose of Item: A Resolution of the Miami City Commission, by a four-fifths (4/5ths) affirmative vote, after a public hearing, pursuant to section 2-614 of the city code, waiving the conflict of interest provisions contained in section 2-6 12 of the code of the city of Miami, Florida, as amended, to allow Nitin Motwani, as a member of the Miami Downtown Development Authority's Board of Directors and Principal in the Miami Worldcenter Group, LLC, to participate in a development agreement (contract), pursuant to chapter 163, Florida statutes, between Miami Worldcenter Group, LLC, affiliated parties, and the City of Miami. A no* Pages i v� Subject: Resolution waiving conflict of interest for Nitin Motwani, who is a member of the Downtown Development Authority's Board of Directors and also a Principal in the Miami Worldcenter Group; related to pending_ Development Agreement (contract), pursuant to Chapter 163, Florida Statutes, between Miami Worldcenter Group. LLC, and the City of Miami. On November 11, 2008, the City Commission, via Resolution No. R-08-0658, approved a Development Agreement (Agreement"), pursuant to Chapter 163, Florida Statutes, between Miami Worldcenter Group, LLC, and affiliates, and the City of Miami relating to the proposed development of the Miami Worldcenter development project consisting of approximately t 25 acres of land located in the City's Southeast OvertownlParkwest Redevelopment District, in general, and the newly created Miami Worldcenter District, in particular, and authorized the City Manager to execute said Agreement. Nitin Motwani is a member of the Miami Downtown Development Authority's ("DDA") Board of Directors. He is also a Principal in the entity known as the Miami Worldcenter Group, LLC, ("MWC") which, along with the City of Miami, would be the primary parties to the statutorily enabled and authorized Development Agreement.. Section 2-612 of the Code of the City of Miami, Florida, as amended, prohibits a City officer, official and employee from entering into any contract or transacting any business with the City or any person or agency acting for the City. Pursuant to Section 2-614 of the City Code, the City Commission may waive such prohibitions after determining that such transaction is, inter alia, unique and in the best interest of the City. Waiving the subject conflict of interest, thus allowing the Agreement to be executed, will assure MWC and Nitin Motwani that they may proceed in accordance with existing laws and policies, subject to the conditions of the Agreement, thus strengthening the public planning process, encouraging sound capital improvement planning and financing, assisting in assuring that there are adequate capital facilities for the development, encouraging private participation in comprehensive planning, and reducing the economic costs of development. Such assurances and mutual benefits can only accrue to the City and MWC via Resolution R -08-0658's approved Chapter 163, Florida Statues, Development Agreement (contract) and authorization of this waiver.
