Subject: Museum Park Project - Environmental Remediation Agreement with the Miami Art Museum
of Dade County Association, Inc. ("MAM") and the Museum of Science, Inc. ("MSM")
Purpose of Item:
A Resolution of the Miami City Commission, with attachments, approving the terms of and,
authorizing the City Manager to execute, an Environmental Remediation Agreement ("Agreement"), j
between the City of Miami ("City"), the Miami Art Museum of Dade County Association, Inc.
("MAM") and the Museum of Science, Inc. ("MSM"), in substantially the form attached hereto as
"Exhibit A," to provide for the performance of environmental site assessments and corresponding site
rehabilitation of Bicentennial Park ("Museum Park"), including specifically the City's obligation to
pay up to $2 million towards the cost of environmental remediation of the MAM and MSM sites
within Museum Park, which have been leased to MAM and MSM for the development of the museum
component within the Museum Park Project.

Subject: Museum Park Project - Environmental Remediation Agreement with the Miami Art Museum
of Dade County Association, Inc. ("MAM") and the Museum of Science, Inc. ("MSM"J
Background Information:
On December 11, 2008, the City Commission adopted Resolution No. 08- 0707, approving the terms
of, and authorizing the City Manager to execute two (2) Lease Agreements respectively between the
City of Miami ("City") and the Miami Art Museum of Dade County Association, Inc. (MAM) (the
"MAM Lease") and between the City and the Museum of Science, Inc. (MSM) (the "MSM Lease).
These Leases each require the City to negotiate a tri -partite Development Agreement ("Development
Agreement") and a tri -partite Environmental Remediation Agreement ("Remediation Agreement")
with the museums for the consideration and approval of the City Commission. The execution of the
Environmental Remediation Agreement is a condition precedent to the museums obtaining possession
to their respective lease areas, without which the museums would be unable to commence
construction.
Over the months subsequent to the approval of these leases, the City Administration and staff
negotiated and developed terms to address the required environmental remediation that will allow the
City and the museums to collaborate in the development of the approved environmental remediation
plan to be submitted to DERM and allow the museums to quantify their respective financial
obligations for the remediation costs in excess of $2 million. In effect, the goal of this collaborative
remediation effort is to provide a cost effective alternative to environmental remediation, if approved
by the appropriate regulatory agency.
The City Administration is requesting that the City Commission approve and authorize the execution
of this Environmental Remediation Agreement which is a condition to commencing construction
funding.
