A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENTS),
AUTHORIZING THE EXECUTIVE DIRECTOR OF THE MIAMI SPORTS AND
EXHIBITION AUTHORITY ("MSEA") TO EXECUTE AN INTERLOCAL
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE
BAYFRONT PARK MANAGEMENT TRUST ("TRUST") AND MSEA, FOR THE
PURPOSE OF THE TRUST PROVIDING OPERATION AND MANAGEMENT
SERVICES TO MSEA.
WHEREAS, the Bayfront Park Management Trust ("Trust") is a limited agency and instrumentality
of the City of Miami, and the Miami Sports and Exhibition Authority ("MSEA") is an independent
agency of the City of Miami; and
WHEREAS, the purpose of the attached Interlocal Agreement between the Trust and MSEA is to
formalize MSEA's engagement of the Trust for the provision of management services, including staff
and an environment for MSEA's operations; and
WHEREAS, as compensation for these services, MSEA shall pay the Trust $141,000, for services
provided in Fiscal Year 2008-2009, and commencing on October 1, 2009, MSEA shall pay the Trust a
monthly facility fee of $300, and a monthly management fee of $4,167, for an approximate total annual
fee of $53,600; and
WHEREAS, at the MSEA Board meeting held on April 23, 2009, the MSEA Board approved the
terms of the Interlocal Agreement; and
WHEREAS, at the Trust Board meeting held on April 28, 2009, the Trust Board approved the
Interlocal Agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The Executive Director of MSEA is authorized{1 } to execute an Interlocal Agreement, in
substantially the attached form, between the Trust and MSEA, for the purpose of the Trust providing
operation and management services to MSEA.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be imposed
by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
