A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE AN AMENDMENT TO THE
FIRST RENEWAL AGREEMENT ("AGREEMENT") BETWEEN THE CITY OF MIAMI
AND THE PUBLIC HEALTH TRUST OF MIAMI-DADE COUNTY, FLORIDA , IN
SUBSTANTIALLY THE ATTACHED FORM, PURSUANT TO RESOLUTION NO.
05-0658, ADOPTED NOVEMBER 17, 2005, TO INCLUDE ADDITIONAL MEDICAL
DIRECTION DUTIES AND RESPONSIBILITIES, IN AN AMOUNT NOT TO EXCEED
$16,416, FOR THE FIRST YEAR, 2008-2009, AND A COST INCREASE EQUAL TO
THE CONSUMER PRICE INDEX, BUT NO MORE THAN FIVE PERCENT (5%) FOR
THE SECOND, YEAR 2009-2010, THEREBY INCREASING THE AMOUNT OF THE
COMPENSATION AGREEMENT FROM $226,192 TO $242,608; ALLOCATING
FUNDS FROM ACCOUNT NO. 0000 1. 184010.531000.0.0.
WHEREAS, pursuant to Resolution No. 05-0658, adopted November 17, 2005, the City Manager
approved an agreement between the City of Miami ("City") and and Public Health Trust of Miami -Dade
County ("Trust"), for the provision of medical direction services, and any extensions to the
agreement; and
WHEREAS, the City Manager executed said agreement for a term of three (3) years, with an
option to extend for two (2) additional two (2) year periods, according to the prices, terms and
conditions set forth therein; and
WHEREAS, on October 1, 2008, upon mutual agreement of the parties and the City Manager's
approval, said agreement was extended for an additional two (2) year period, through September 30,
2010, at the same prices, terms and conditions of the original agreement; and
WHEREAS, it is now necessary to increase the amount of compensation due to additional
medical direction duties and responsibilities required by the Miami -Dade County Public Schools and
by Section 401.2701 of the Florida Statutes (2008); and
WHEREAS, this Resolution seeks to authorize the City Manager to extend and modify said
agreement and any other amendments or extension on all matters except dealing with funding
changes; and
WHEREAS, it is necessary to increase the amount of compensation under the First Renewal
Agreement ("Agreement") in an amount not to exceed$16,416, for the first year, 2008-2009, and at a
cost increase equal to the Consumer Price Index, but no more than five percent (5%) for the second
year, 2009-2010, thereby increasing the total amount of the agreement from $226,192 to $242,608,
with funds allocated from Account No. 00001.184010.531000.0.0;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized {1 } to execute an Amendment to the Agreement
between the City and the Trust, in substantially the attached form, pursuant to Resolution No. 05-
0658, adopted November 17, 2005, to include additional medical direction duties and responsibilities,
in an amount not to exceed $16,416, for the first year, 2008-2009, and a cost increase equal to the
Consumer Price Index, but no more than five percent (5%) for the second year, 2009-2010, thereby
increasing the amount of the Agreement from $226,192 to $242,608, with funds allocated from
Account No. 00001.184010.531000.0.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor. {2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
