BETWEEN CITY OF MIAMI AND
PUBLIC HEALTH TRUST OF MIAMI-DADE COUNTY, FLORIDA
This Amendment to First Renewal Agreement, dated October 1, 2008, between City
of Miami, a municipal corporation of the State of Florida (hereinafter referred to as "CITY")
and the Public Health Trust of Miami -Dade County, Florida, an agency and instrumentality
of Miami -Dade County, Florida (hereafter referred to as the "TRUST"), which operates the
Jackson Health System and other designated health care facilities, for the provision of
Medical Direction Services for Emergency Medical Services for the Department of Fire -
Rescue, is entered into this day of 2009, effective retroactively to
October 1, 2008.
RECITALS
WHEREAS, on November 17, 2005, the Commission of the City of Miami, by
Resolution No. 05-0658, approved City's selection of Trust, pursuant to RFP No. -04-05-07,
and authorized the City Manager to execute an agreement between City and Trust for the
provision of medical direction services, and any extensions to the agreement;
WHEREAS, on November 30, 2005, the City Manager executed an agreement for
medical direction services between City and Trust, for a three (3) year term, with an option
to extend for two (2) additional two (2) year periods, according to the prices, terms and
conditions set forth therein;
WHEREAS, on October 1, 2008, upon mutual agreement of the parties and approval
of the City Manager, the November 30, 2005 agreement was extended for an additional two
(2) year period, to wit: October 1, 2008 through September 30, 2010, at the same prices,
terms and conditions of the original .agreement (hereinafter referred to as "FIRST
RENEWAL").
WHEREAS, in November, 2008, City initiated an emergency medical services
training program in Miami -Dade County public schools and certain medical direction
services are required by state law and are not part of the First Renewal agreement;
WHEREAS, it is now necessary to amend the First Renewal agreement to include
additional medical direction duties and responsibilities required by Section 401.2701 of
the Florida Statutes (2008), and in consideration, to increase the amount of compensation
for such;

WHEREAS, it is necessary to increase the amount of compensation under the First
Renewal agreement to $242,608.00 from $226, 192.00, an increase of $16, 416.00, for the
first year, 2008-2009, and at a cost increase equal to the Consumer Price Index but no more
than 5% for the second year, 2009-2010.
NOW THEREFORE, for the considerations hereinafter set forth:
The First Renewal Agreement dated October 1, 2008, is hereby amended as follows:
1. Paragraph 4(B)(v_), SCOPE OF SERVICEITRUST'S AND CITY'S RESPONSIBILITIES,
ATTACHMENT "A" MEDICAL DIRECTOR'S CONTRACT; Tier 1 Medical Director is hereby
revised to include:
21. Fulfill all duties required of the Medical Director under Section Florida Statutes,
Section 401.2701(2008), for the City of Miami Department of Fire Rescue - Miami Dade
County Public Schools Emergency Medical Service Training Programs, including being
actively involved with the evaluation of students' performance throughout the training
program and certifying that graduates have successfully completed all phases of the
training program and are proficient in basic or advanced life support techniques, as
applicable.
2. Paragraph S. COMPENSATION is hereby increased in an amount not to exceed
Sixteen Thousand Four Hundred and sixteen Dollars ($16,416), thereby increasing the total
current amount to Two Hundred Forty -Two Thousand, Six Hundred and Eight Dollars
($242,608.00), for the period of October 1, 2008 through September 30, 2009, and at a cost
increase equal to the Consumer Price Index but no more than 5% for the period of October
1, 2009 through September 30, 2010.
All other terms and conditions of the First Renewal Agreement are in operative force and
effect and remain unchanged.
IN WITNESS WHEREOF, the parties hereto have caused this Amended First Renewal
Contract to be executed by their respective officers' thereunto duly authorized, this day and
year above written:
