City of Miami City Attorney's Office 444 S.W. 2"d Avenue Miami, Florida 33130-1910 TERMINATION OF COVENANT WHEREAS, in May, 2001, B.A.M.E. Development Corporation of South Florida, Inc., a Florida not-for-profit corporation ('GAME"), acquired from the City of Miami, a municipal corporation of the State of Florida (the "City"), certain real property in the City of Miami legally described as follows: Tracts A, B, C, and D, New Hope Overtown, according to the Plat thereof, as recorded in Plat Book 157, at Page 14, of the Public Records of Miami -Dade County, Florida, (the "Property"), for the construction of forty (40) single family homes to provide homeownership opportunities to low income families and individuals; and WHEREAS, in connection therewith, BAME executed that certain Declaration of Restrictive Covenants, dated September -3, 2003, and recorded in Official Records Book 22006, at Page 251, of the Public Records of Miami -Dade County, Florida (the "Covenant"); and WHEREAS, subsequently, title to the Property encumbered by the Covenant was re - conveyed to the City by that certain Special Warranty Deed, dated March 28, 2005, and recorded in Official Records Book 23444, at Page 254, of the Public Records of Miami -Dade County, Florida; and WHEREAS, title to the Property has been conveyed to Madison Housing, Ltd., a Florida limited partnership, as to Tracts B and D, and to Madison Housing H, Ltd., a Florida limited partnership, as to Tracts A and C ("jointly referred to as "Madison") by Quit -Claim Deeds, recorded or to be recorded in the Public Records of Miami -Dade County, Florida; and WHEREAS, the City and Madison intend that the conveyance of the Property to Madison be free from the effect, lien, encumbrance and operation of the Covenant. NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the City does hereby terminate the Covenant and discharge the Property from the effect, lien, encumbrance and operation of the Covenant. IN WITNESS WHEREOF, the City and Madison have caused this Termination of Covenant to be executed by its undersigned official as duly authorized, on this 20th day of August, 2008. ATTEST: riscilla A.
