ATTACHED AND INCORPORATED, KNOWN AS THE LIFE QUEST FACILITY PROPERTIES, FOR THE REHABILITATION AND UTILIZATION OF UNITS FOR THE PURPOSE OF PROVIDING A SUPPORTIVE HOUSING PROGRAM AS PART OF THE HOUSING OPPORTUNITIES FOR PERSONS WITH AIDS PROGRAM, ADDITIONALLY ALLOCATING $500,000 FROM THE FY08-09 HOUSING OPPORTUNITIES FOR PERSONS WITH AIDS PROGRAM FUNDS TO ASSIST INPART WITH THE REHABILITATION OF THE LIFE QUEST FACILITY PROPERTIES, SUBJECT TO THE TERMS IN EXHIBIT "B," ATTACHED AND INCORPORATED; AUTHORIZING THE CITY MANAGER TO EXECUTE A PURCHASE AND SALE AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, AND ALL NECESSARY DOCUMENTS FOR SAID PURPOSE. E City M; Page I of 1 AGENDA ITEM SUMMARY FORM CONTINUED Background Information: Pursuant to Resolution 08-0252, adopted on May 8, 2008, the Miami City Commission authorized the acceptance of conveyance from MOVERS, Inc. to the City of Miami ("City"), the Life Quest Facility properties ("Properties") located at 1301 NE 111th Street, 11115 NE 13th Ave, 1075 NE 149th Street, 1095-97 NE 149th Street, and 14950-52 NE 11th Avenue, Miami, Florida. On July 14, 2008, the City issued a Request for Proposal ("RFP") for the acquisition and operation of the City owned Life Quest Facilities. The purpose of the RFP was for the City to sell the properties to the most qualified entity that will rehabilitate the Properties and utilize the units for the purpose of providing a supportive housing program as part of the Housing Opportunities for Persons with AIDS ("HOPWA") program. A review committee board comprised of two members from organizations outside of the City of Miami and one staff member from the Department of Community Development met to evaluate the proposals and recommended Miami Beach Community Development Corporation ("Miami Beach CDC') for the rehabilitation of the Properties. Miami Beach CDC is a not-for-profit community based organization formed in 1981 to undertake a comprehensive program of housing and community development. Miami Beach CDC has completed various affordable housing developments within the City of Miami, Miami -Dade County and Miami Beach utilizing HOPWA funding and is currently in good standing with the City. The Administration recommends the conveyance to Miami Beach CDC with parcel reverter provisions, of the City -owned parcels of land located at 1301 NE 111 th Street, 11115 NE 13th Ave, 1075 NE 149th Street, 1095-97 NE 149th Street, and 14950-52 NE 11th Avenue, Miami, Florida, as legally described on Exhibit "A," attached and incorporated along with $500,000 in HOPWA program funds in order to assist with the rehabilitation of the Properties. The Administration also recommends that the conveyance of the Property be subject to the following restrictions: (i) the Developer provide to the City (a) all necessary permits needed to construct the unit(s), and (b) evidence of firm financial commitments for full project financing from the project lender(s), (ii) the conveyance of the Property occur simultaneously with the closing of the construction financing by the lender, if any, (iii) any mortgages on the Property obtained by the Developer be subject to the approval of the City of Miami Department of Community Development (iv) all other restrictions as indicated on Exhibit "B," attached and incorporated. The Administration further recommends that the City authorize the assignment of the Purchase and Sale Agreement for the Property from Miami Beach CDC to any wholly owned subsidiary for the purpose of securing tax credit financing.
