City of Miami City Hall 3500 Pan American Drive '.��.���� fJ Legislation Miami, FL 33133 www.miamigov.com Resolution File Number: 07-01234 Final Action Date: A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER, PURSUANT TO RESOLUTION NO. lot 04-0380, ADOPTED JUNE 10, 2004, RELATING TO THE CONVEYANCE OF THE PROPERTY LOCATED AT 1390 NORTHWEST 24 AVENUE, MIAMI, FLORIDA ("PROPERTY"), TO ALLAPATTAH COMMUNITY ACTION, INC., TO DEVELOP AN ELDERLY HOUSING FACILITY FOR VERY LOW, LOW AND/OR MODERATE INCOME FAMILIES AND/OR INDIVIDUALS, TO CONVEY THE PROPERTY DIRECTLY TO ALLAPATTAH COMMUNITY HOUSING 11, INC., THE NOT-FOR-PROFIT ORGANIZATION CREATED BY ALLAPATTAH COMMUNITY ACTION INC. TO RECEIVE UNITED STATES DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT 202 PROGRAM FUNDING AS CONTEMPLATED BY THE PURCHASE AND SALE AGREEMENT, DATED JUNE 29, 2004, ("AGREEMENT"), A COPY OF WHICH IS ATTACHED HERETO AS EXHIBIT "A," SUCH CONVEYANCE TO BE SUBJECT TO THE TERMS AND CONDITIONS OF THE AGREEMENT; FURTHER AUTHORIZING THE CITY MANAGER TO EXECUTE A SPECIAL WARRANTY DEED IN SUBSTANTIALLY THE FORM OF EXHIBIT "B" ATTACHED, AND TO EXECUTE ALL OTHER DOCUMENTS THAT MAY BE NECESSARY FOR SUCH PURPOSE. WHEREAS, pursuant to Resolution No. 04-0380, adopted June 10, 2004,.the City Commission approved the conveyance of the City of Miami ("City") owned property located at 1390 Northwest 24th Avenue, Miami, Florida ("Property"), to Allapattah Community Action, Inc. ("Action"), a Florida not -for -profit corporation, for the development of affordable housing; and WHEREAS, Action proposed to develop an 80 -unit affordable elderly rental housing development ("Facility"), and intended to apply for funding from the United States Department of Housing and Urban Development's Supportive Housing for the Elderly program ("HUD 202 Program") for the purchase of the Property and the construction of the Facility; and WHEREAS, the City agreed to sell the Property to Action to be used to provide rental housing for elderly individuals and/or families within the economic affordability range of very low, low and/or moderate income, based on criteria established by federal and/or state law, pursuant to a Purchase and sale Agreement, dated June 29, 2004 ("Agreement"), a copy of which is attached as Exhibit "A;" and WHEREAS, among its other provisions, the Agreement contemplates and permits, under certain restrictions, Action to convey the Property to a not for profit organization created by Action to receive HUD 202 Program Funding; and WHEREAS, Action has requested that to facilitate the receipt of HUD 202 Program Fending and mitigate the costs in connection therewith, the City convey the Property directly to Allapattah Community Housing II, Inc., the not-for-profit organization created by Action to receive the HUD 202 Q1' of Miami Page I of 2 Primer.! On: 9/26/:007 File Number. 07-01234 Program Funding; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized(1), pursuant to Resolution No. 04-0380, adopted June 10, 2004, to convey the City -owned property located at 1390 Northwest 24th Avenue, Miami, Florida ("Property"), as more particularly described in Exhibit "A," attached and incorporated, directly to Allapattah Community Housing II, Inc., the not-for-profit organization created by Action to receive HUD 202 Program Funding in connection with the development of an affordable elderly rental housing development, such conveyance to be subject to the terms and conditions of the Purchase and. Sale Agreement, dated June 29, 2004 ("Agreement"), a copy of which is attached as Exhibit "A," Section 3. The City Manager is authorized{1) to execute a special warranty deed in substantially the form of Exhibit "B," and all other documents that may be necessary for such purpose. I Section 4. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.(2) APPROVED AS°TO FORM AND CORRECTNESS: L.IFERNIANDEZ CITY A Footnotes: 11)The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. f2)lf the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted.
