A RESOLUTION OF THE MIAMI CiTY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CiTY MANAGER TO EXTEND THE CLOSING DATE OF THE
SALE OF THE PROPERTY LOCATED AT 1477 NORTHWEST 60TH STREET,
MIAMI, FLORIDA, AS LEGALLY DESCRIBED IN "EXHIBIT A," ATTACHED AND
INCORPORATED, BETWEEN THE CITY OF MIAMI AND PALMETTO HOMES OF
MIAMI, INC., FROM DECEMBER 31, 2008 TO DECEMBER 31, 2009; FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE ANY NECESSARY
DOCUMENTS iN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THE
PURCHASE AND SALE AGREEMENT, PURSUANT TO RESOLUTION NO.
08-0334, ADOPTED JUNE 12, 2008.
WHEREAS, pursuant to Resolution No. 08-0334, adopted June 12, 2008, the Miami City
Commission authorized the conveyance of the parcel of land, with parcel reverter provisions, located
at 1477 Northwest 60th Street, Miami, Florida ("Property") to Palmetto Homes of Miami, Inc.
("Palmetto") for the construction of affordable housing for eligible low and moderate income persons;
and
WHEREAS, the Purchase and Sale Agreement between the City of Miami ("City") and Palmetto
was executed on August 5, 2008, which required that the closing date be on December 31, 2008; and
WHEREAS, due to the need for additional research and documentation required for a Green
Project and LEED Certification, Palmetto is requesting an extension of time to the closing date from
December 31, 2008 to December 31, 2009; and
WHEREAS, the Administration recommends extending the closing of the sale of the Property from
December 31, 2008 to December 31, 2009;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized{1} to extend the closing date of the sale of the Property,
as legally described "Exhibit A," attached and incorporated, between the City and Palmetto, from
December 31, 2008 to December 31, 2009.
Section 3. The City Manager is authorized{1} to execute any necessary documents in accordance
with the terms and conditions of said Purchase and Sale Agreement.
Section 4. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

( 1) The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
f2} if the Mayor does not sign this Resolution, it shall become effective at the end of (10) calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
