HomeMy WebLinkAboutR-09-0011Vop City of Miami Legislation < U R �O Resolution: R-09-0011 File Number: 08-01510 City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com Final Action Date: 1/15/2009 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO EXECUTE A REVOCABLE LICENSE AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI AND THE CITY OF MIAMI RETIRED OFFICERS COMMUNITY BENEVOLENT ASSOCIATION, INC., A NOT-FOR-PROFIT CORPORATION ("LICENSEE"), FOR THE USE OF APPROXIMATELY 468 SQUARE FEET OF SPACE, LOCATED AT 480 NORTHWEST 11TH STREET, MIAMI, FLORIDA, ALSO KNOWN AS THE OLD BLACK PRECINCT, FOR THE PURPOSES OF OPERATING AN ADMINISTRATIVE OFFICE AND GIFT SHOP, TO PROGRAM HISTORICAL MUSEUM RELATED ACTIVITIES, AND TO COORDINATE YOUTH TRAINING PROGRAMS FOR DISADVANTAGED SECTORS OF THE PUBLIC, COMMENCING FROM THE EFFECTIVE DATE OF THE AGREEMENT TO SEPTEMBER 30, 2010, WITH ONE (1) OPTION TO EXTEND THE AGREEMENT TO SEPTEMBER 30, 2011, SUBJECT TO THE APPROVAL OF THE CITY MANAGER AT HIS SOLE DISCRETION, WITH THE LICENSEE PAYING A MONTHLY USE FEE OF $1.00, PLUS STATE OF FLORIDA USE TAX, IF APPLICABLE, WITH ADDITIONAL TERMS AND CONDITIONS AS MORE PARTICULARLY SET FORTH IN THE AGREEMENT. WHEREAS, the City of Miami ("City") is the owner of property located at 480 Northwest 11th Street, Miami, Florida also known as the Old Black Precinct ("Property"); and WHEREAS, the City of Miami Retired Police Officers Community Benevolent Association, Inc., a not for profit corporation ("Licensee"), applied for and was awarded a historical preservation grant of $300,000 from the State of Florida, Department of State, Division of Historical Resources (the "Department"), which was used for part of the construction costs in the restoration of the Property as a historical museum; and WHEREAS, under the terms of the grant agreement, the Department required that, among other things, the funds used would be expended for the purpose of preserving the historic qualities of the Property or contribute to the historic character of the district in which the Property is located; and WHEREAS, the City agreed to make and declare the restrictive covenants in order to preserve the use of the grant funds; and WHEREAS, the Licensee has expressed interest in occupying an area within the Property, for the purposes of operating an administrative office to program historical museum related activities, collect and manage police memorabilia, operate a gift shop, including coordinating youth training programs for disadvantaged sectors of the public within the Property; and WHEREAS, the City and Licensee desire and intend to enter into a Revocable License City of Miand Page 1 of 2 File Id. 08-01510 (Version: 1) Printed On: 5/26/2017 File Number: 08-01510 Agreement (Agreement") for said purpose; Enactment Number: R-09-0011 NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized{1} to execute an Agreement, in substantially the attached form, between the City and Licensee, for the use of approximately 468 square feet of space, located at the Property, for the purposes of operating an administrative office, a gift shop, to program historical museum related activities and to coordinate youth training programs for disadvantaged sectors of the public, commencing from the effective date of the Agreement to September 30, 2010, with an option to extend to September 30, 2011, subject to the approval of the City Manager at his sole discretion, with the Licensee paying a monthly use fee of $1.00, plus State of Florida Use Tax, if applicable, with additional terms and conditions as more particularly set forth in the Agreement. Section 3. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.{2} Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
