Subject: Emergency Purchase - Cinema Lighting Tower Theater
Purpose of Item:
The nature of this item is to authorize a resolution of the Miami City Commission, by a four -
fifths (4/5) affirmative vote, ratifying, confirming and approving the City Manager's emergency
finding, that is it most advantageous for the City of Miami to waive the competitive sealed
bidding procedure pursuant to Section 18-90 of the Code of the City of Miami, Florida as
amended ("City Code") and retroactively approving the selection of Orly Prosound Production
Corporation, ("Orly Prosound") for the purchase of cinema lighting and audio/visual equipment
for the Tower Theater for an approximate amount of
$113,600.00; subject to all allocations, appropriations, and budgetary approvals having been
previously made, compliance with applicable provisions of the Code of the City of Miami,
Florida, as amended, ("City Code"), including, the City of Miami's Procurement Ordinance,
Anti -deficiency Act, and Financial Integrity Principles, all as set forth in Chapter 18 of the City
Code, in a form acceptable to the City Attorney, and in compliance with all applicable laws,
rules, and regulations, as may be deemed necessary for said purpose.
Background of Item:
The Depail.uient of Procurement ("Procurement"), on behalf of the City of Miami's Department
of Real Estate and Asset Management ("DREAM") issued two (2) Invitation for Quotations
("IFQ") pursuant to Request for Qualification ("RFQ") No. 184144, General Bldg./Eng. &
Specialty Trade Contractor ("Trades") for the purchase of cinema lights and audio/visual
equipment for the Tower Theater. However, vendors either stated that they were not bidding or
the timeline for the purchase and installation of the equipment could not be met due to the
market's supplier demand shortage. Orly Prosound, a registered vendor for the City was able to
meet the timeline and pursuant to Section 18-90 an emergency purchase for these items was
done in order to meet the deadline for the grand re -opening of the Tower Theater on July 14,
2023 for the Celia Cruz Exhibit. DREAM is requesting a retroactive approval of the purchase of
the cinema lights and audio/visual equipment for the Tower Theater by Orly Prosound.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5) AFFIRMATIVE VOTE, RATIFYING, APPROVING, AND
CONFIRMING THE CITY MANAGER'S EMERGENCY FINDING, ATTACHED AND
INCORPORATED AS EXHIBIT "A," PURSUANT TO SECTION 18-90 OF THE CODE
OF THE CITY OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE'), WAIVING THE
REQUIREMENTS FOR COMPETITIVE SEALED BIDDING METHODS AS NOT BEING
PRACTICABLE OR ADVANTAGEOUS TO THE CITY OF MIAMI ("CITY"), FOR THE
SELECTION OF ORLY PROSOUND PRODUCTION CORPORATION, A FLORIDA
PROFIT CORPORATION ("ORLY PROSOUND"), FOR THE PURCHASE AND
INSTALLATION OF CINEMA LIGHTING AND AUDIO/VISUAL EQUIPMENT AT THE
TOWER THEATER, FOR THE GRAND OPENING OF THE CELIA CRUZ EXHIBIT ON
JULY 14, 2023, FOR THE APPROXIMATE AMOUNT OF ONE HUNDRED THIRTEEN
THOUSAND SIX HUNDRED DOLLARS ($113,600.00); AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL DOCUMENTS,
INCLUDING ANY AMENDMENTS OR MODIFICATIONS, SUBJECT TO ALL
ALLOCATIONS, APPROPRIATIONS, PRIOR BUDGETARY APPROVALS,
COMPLIANCE WITH ALL APPLICABLE PROVISIONS OF THE CITY CODE,
INCLUDING THE CITY'S PROCUREMENT ORDINANCE, ANTI -DEFICIENCY ACT,
AND FINANCIAL INTEGRITY PRINCIPLES, ALL AS SET FORTH IN CHAPTER 18 OF
THE CITY CODE, IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AND IN
COMPLIANCE WITH ALL APPLICABLE LAWS, RULES, AND REGULATIONS, AS
MAY BE DEEMED NECESSARY FOR SAID PURPOSE.
WHEREAS, the City of Miami ("City") Department of Real Estate and Asset
Management ("DREAM") required cinema lighting and audio/visual equipment to be furnished
and installed at the Tower Theater for the Grand Opening of the Celia Cruz Exhibit on July 14,
2023; and
WHEREAS, the City's Department of Procurement ("Procurement"), on behalf of
DREAM, issued two (2) Invitations for Quotations ("IFQ's") for the purchase and installation of
the cinema lighting and audio/visual equipment; and
WHEREAS, the pre -qualified vendors responding to the IFQ's could not meet DREAM's
timeline due to the market's supplier demand shortage, and Orly Prosound Production
Corporation, a Florida profit corporation ("Orly Prosound"), was able to timely provide said
equipment and its installation, for the approximate amount of One Hundred Thirteen Thousand
Six Hundred Dollars ($113,600.00); and
WHEREAS, the City Manager, pursuant to Section 18-90 of the Code of the City of
Miami, Florida, as amended ("City Code"), approved an emergency finding, waiving competitive
sealed bidding methods as not being advantageous or practicable for this emergency purchase
from Orly Prosound;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5) affirmative vote, pursuant to Section 18-90 of the City
Code, the City Manager's emergency finding, attached and incorporated as Exhibit "A," waiving
the requirements for competitive sealed bidding methods as not being practicable or
advantageous to the City, for the selection of Orly Prosound, for the purchase and installation of
cinema lighting and audio/visual equipment at the Tower Theater, for the Grand Opening of the
Celia Cruz Exhibit on July 14, 2023, for the approximate amount of One Hundred Thirteen
Thousand Six Hundred Dollars ($113,600.00), is hereby ratified, approved, and confirmed.
Section 3. The City Manager is hereby authorized' to negotiate and execute any and all
documents, including any amendments or modifications, subject to all allocations,
appropriations, prior budgetary approvals, compliance with all applicable provisions of the City
Code, including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity
Principles, all as set forth in Chapter 18 of the City Code, in forms acceptable to the City
Attorney, and in compliance with all applicable laws, rules, and regulations, as may be deemed
necessary for said purpose.
Section 4. This Resolution shall become effective immediately upon its adoption.
APPROVED AS TO FORM AND CORRECTNESS:
1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and City Code
provisions.
