A RESOLUTION ACCEPTING THE BID RECEIVED FROM
PROPERTY MANAGEMENT AND MAINTENANCE, INC. ,FOR
CLEANING THE ORANGE BOWL STADIUM, MIAMI MARINE
STADIUM, AND MIAMI BASEBALL STADIUM AFTER EVENTS
HELD AT THESE FACILITIES, AT COST TO BE
DETERMINED ON THE SIZE OF ,CROWD; AND AUTHORIZING
THE CITY MANAGER TO ENTER INTO THE ATTACHED
AGREEMENT WITH SAID FIRM + WITE FUNDS THEREFOR ALLOCATED
FROM DEPARTMENTALLY BUDGETED FUNDS.
WHEREAS, bids were received from two (2) firms for
clearing trash and debris from any one, all three or any
combination of the three City of Miami Stadiums, after events
held at the stadiums; and
WHEREAS, the Department of Stadiums and Marinas
recommends that the bid of Property Management and Maintenance,
Inc. be accepted as the most advantageous to the City; and
WHEREAS, the cost of the cleaning at the Orange Bowl
Stadium, Miami Marine Stadium and the Miami Baseball Stadium is
to be determined on the size of the crowd, as the attached
tabulation;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF
THE CITY OF MIAMI, FLORIDA:
Section 1. The bid received from Property Management
and Maintenance, Inc. be, and is hereby, accepted at a cost
to be determined by the size of the crowd, for cleaning the
Orange Bowl Stadium, Miami Marine Stadium and Miami Baseball
Stadium after events held at these facilities as per the
attached tabulation, with funds therefor hereby allocated from
Department of Stadiums and Marinas budgeted funds.
Section 2. The City Manager is hereby authorized to
execute the attached agreement with Property Management and
Maintenance, Inc,

On April 7, 1978 the City received two bids for "Cleaning of
Trash and Debris from City of Miami Stadiums". The firms
submitting bids are Property Management and Maintenance, Inc.
and Ball Maintenance and Supplies, Inc.
The bid specifications state that in considering rejection or
acceptance of bids "special emphasis may be assigned by the
City to stadium cleaning experience and stability of work force,
in the evaluation of these bids".
Of the two bids, Property Management and Maintenance, Inc. was
clearly the lowest bidder for the Miami Baseball Stadium and the
Marine Stadium. Ball Maintenance and Supplies, Inc. was the
low bidder for the Orange Bowl. Based on estimated use and
attendance figures at all three stadiums for the first year of
the contract, the dollar difference between these two bids would
amount to only about $3,000 per year. It is our recommendation,
since the dollar differential is relatively small and since a
background check on the Ball firm indicates questionable capa-
bilities of performing according to the bid specifications,
that this bid, in its entirety, should be awarded to Property
Management and Maintenance, Inc.
The bid document of Ball Maintenance and Supplies, Inc. listed
three references as to experience and ability. All three were
contacted by this office. Of the three, one stated that Bali
Maintenance did a good job in cleaning their building (retail
sales) and would recommend Ball, based on past performance.
The second reference contacted was uncertain as to whether
Ball Maintenance could handle the cleaning of the three stadiums
since Ball only did a fair job at its location that required
a small number of employees. The third reference has had
considerable problems with Ball personnel. It was stated that
the services provided by Ball was below accepted standards and
required constant supervision and repeated instructions to

custodial personnel furnished by Ball Maintenance. The
enclosed letter to Mr. Allan Ostashev, Vice President, Ball
Maintenance and Supplies, Inc., from Captain Robert P. Senk,
Commander, Northeast District, Metro Public Safety Department
is self-explanatory and expresses a dissatisfaction With services
provided by Bali Maintenance.
This is a very important football year at the Orange Bowl
with the Super Bowl game, as well as back-to-back games on
November 25 and November 26. In view of this and other rather
tight scheduling, it is particularly necessary that the Stadium
be cleaned quickly and thoroughly, which Property Management and
Maintenance, Inc. has proven for the past six years that it can
do, and which is at best uncertain, whether Ball Maintenance and
Supplies, Inc., with no previous stadium cleanup experience,
has the capability to perform according to the bid specifications.

This Agreefnent made and entered into this.__
day of... __._. �,. 1978, by and between the CITY
OF MIAMI, a municipal corporation of the State of Florida,
hereinafter referred to as the "City", and PROPERTY MANAGEMENT
AND MAINTENANCE, INC., a Florida Corporation, hereinafter
referred to as the 'Contractor".
W I T N E S S E T H:
WHEREAS, the Commission of the City of Miami, Florida,
by Resolution No,
, passed and adopted on
authorized the City Manager to enter into an agreement with
Property Management and Maintenance, Inc. for clearing trash
and debris after events held at the Orange Bowl Stadium,
Miami Marine Stadium and Miami Baseball Stadium, hereinafter
referred to as the "Stadium(s)";
NOW, THEREFORE, in consideration of the covenants and
affirmations as herein set forth, the parties mutually agree as
follows:
1. TERM
The term of this agreement shall be for a period
of one (1) year from the date of execution of this instrument,
with an option for renewal for two additional one-year periods
contingent upon satisfactory performance by the Contractor and
mutual agreement between the parties.
2 : HOURS_ OV_WORK
The Contractot shah provide and be fully respOn.,
Bible for the cleaning of trash and debris from the Stadiums)
at such times as event schedules may dictates which may, on
occasion, require that cleaning personnel work night hours in
order to prepare the Stadium(s) for an event which closely follows
a preceding event. The Contractor shall provide personnel and
accomplish the cleaning requirements at such times as may be
specified by the Stadium Manager concerned.
3. SCOPE OF CONTRACT
The contract shall provide the Contractor with the
exclusive right to the cleaning of trash and debris from Marine
Stadium, Miami Stadium, or Orange Bowl except that the City may
elect to use City forces for cleaning after certain events where
attendance is relatively small. The contract shall be for the
sole purpose of cleaning of trash and debris from the Stadium(s),
and the Contractor shall confine its activities to those pursuant
to the contract and shall not carry on any other business on City
Property without specific written authority of the City Manager
or his authorized representative. The work of cleaning the
Stadium(s) will include, but not be limited to, all seats, all floors,
all ramp -ways, all aisle -ways, and all areas beneath the structure(s)
to the outside walls of the Stadium(s). The debris and trash
collected must then be placed by the Contractor's cleaning forces
into containers provided by the City and these containers placed in
locations outside the Stadium(s) where they can be emptied and the
trash and debris removed by City forces. The cleaning shall be
accomplished at the request of and to the satisfaction of the Stadium
Manager of each Stadium, and shall sometimes require, that the
Contractor's workers work all night after an event to prepare the
Stadium(s) for another event the next day.

4 , EQt IMNT
The Contractor will be required to furnish all
brooms i mops and other cleaning equipment and supplies necessary
for performance of its cleaning responsibilities, The City will
provide trash containers.
5. PA MEWT
(a) Official event turnstile attendance figures
shall be used as a basis of determining the flat fee sum due to the.
Contractor for its services rendered in cleaning up after each event.
The flat fee sum to be paid to the Contractor by the City shall be
as shown in the following tables. As consideration for the per-
formance of the services by the Contractor, as herein described,
the City agrees to compensate the Contractor for its services
rendered in cleaning up after each event, upon the following
schedules:

(b) The Contractor shall provide the City with a
separate invoice for each event and shall render each invoice
to the City as soon as possible after certification that the
Stadium(s) has/have been cleaned to the Stadium Manager's
satisfaction.
(c) Payment shall be made to the Contractor by the
City within a reasonable time after receipt of each invoice,
normally within two weeks.
6. OBSERVANCE OF CITY, COUNTY, STATE AND FEDERAL LAW
The Contractor shall comply with all laws, ordinances
regulations and rules of the Federal, State, County and City
governments now in force or hereafter to be adopted which may be
applicable to the pet formande of the bet Vi es as provided for in
this Agreement. The Contractor shall further abide by the Written
rules and regulations established and promulgated by the City
Manager of the City or his duly authorized representative. The
City reserves the right to cancel this Agreement for the Viola-
tion of any of the rules and regulations by the Contractor or its
employees.
7. CERTIPIC_ATES,LICENSES. AND__TAXES
The Contractor shall, at its sole cost and expense,
be required to obtain all necessary licenses for its operation.
It shall also be solely responsible for payment of any and all
taxes levied on its operation.
8. INSURANCE COVERAGE
The Contractor shall carry and maintain in full
force and effect, at all times during its operation on City
property, insurance in the amount of $100,000/$300,000 Bodily
Injury and $10,000 Property Damage. Said insurance shall provide

9. HOLD HARMLESS
The Contractor shall indemnify and save harmless
the City against any and all claims, suits, actions, damages or
causes of action arising during the term of this Agreement, for

any personal injury, loss of life; or damage to property sustained
ih or on the premises by reason of or as a result of Contractor's
use, activities and operations hereon; from and against any
orders, judgments; or decrees which May be entered thereon; and

liabilities incurred in the defense of any such claim and the
investigation thereof,
10, PERFORMANCE BOND
The Contractor shall, within ten consecutive calen-
dar days after final execution of the Agreement, furnish to the
City a performance bond in the penal sum of Two Thousand Dollars
($2,000) for the payment of which it shall bind itself for the
faithful performance of the written contract. A cash deposit
in the amount of Two Thousand Dollars ($2,000) with the City
will suffice to meet this requirement, but if the Contractor does
not desire to

11. ASSIGNMENTS

The Contractor shall not, at any time during the
tenure of this Agreement, subcontract any part of its operations
or assign any portion or part of this Agreement, except under
and by virtue of permission granted by the City Commission
through the proper officials.
12. NON-DISCRIMINATION
The Contractor agrees that there shall be no dis-
crimination as to sex, race, color, creed, or national origin,
in regard to the Contractor's obligations, work and services per-
formed under the terms of this Agreement.
13. OTHER
(a) This Agreement shall be binding upon the City
and the Contractor, their successors and assigns, and they shall
abide by each of the terms and conditions hereof.

to perforti any of the terms and cohditions contained hereh; or
Pails to comply with the written directions of the City Manager
of the City; or is indicted for a crime; or otherwise discredits
the City) within five (5) day after written notice thereof is
given to the Contractor) then the City).at the City's sole
option and without further notice or demand to the Contractor,
may cancel and terminate this Agreement, and said Agreement
shall be null and void and of no further force and effect.
IN WITNESS WHEREOF, the parties hereto have caused
this instrument to be executed in their names and their seals to
