Dear Mr. Grassie:
We have requested a slot on the agenda for the above -referenced
meeting to give a status report on the Sports/Entertainment Arena
to be built in downtown Miami on the river.
We have been asked to confirm same with your office and to request
time and supply you with the information to be contained in our
report.
Kindly arrange to have a half hour allocated to us for a full
status report which will cover the following:
Land acquisition, architectural contracts, feasibility study,
construction contract, NBA basketball franchise and compatible
additional projects.

This"letter of intent"will confirm our understanding whereby Gerrits-
Merrill Construction is to be employed as General Contractor to con-
struct the Miami Entertainment Center , according to plans and
specifications being prepared by Finch,Herry, Architects; Ferendino,
Grafton, Spillis and Candela Architects and Carr, Smith Architects.
It is understood that we will begin forthwith to consult with the
Architect through all remaining stages of planning, design and cost
analysis and for any other purposes necessary so that the final plans
and specifications will reflect a suitable project which can and will
be constructed within the budget.
Our fee shall be 3 % of the cost of construction, which shall include
all profit, overhead and general office expense.
A final Guaranteed Maximum price for the entire project, shall be agreed
upon in writing after all plans and specification are completed and
before construction is commenced. It is understood that Miami Arena
Associates, Inc. will have no financial responsibility to Gerrits-Merrill
Construction until such time that construction is commenced.
The cost of construction shall include all direct costs to us of labor
and materials incorporated into the job, and other charges, such as
Insurance on the job, directly attributable to the job, and shall
include the salary of one (1) member of the Gerrits family who shall
have supervision of the project, which salary shall not exceed
$ 35,000.00 per year.
Upon completion and final acceptance, the contractor will make available
all cost records of this project and, after all bills and the contractors
fees have been paid, any savings realized between the Guarantee Maximum
price and the actual cost shall be divided equally between the owner and
the contractor.

mm We attach herewith for your review a copy of the American Institute
of Architects Standard Form of Agreement between the Owner and the
Contractor. We specifically refer to Article 9 - Cost to be reimbursed.
ME ME On work on this project the costs listed under Article 9 - are Costs
mm to be Reimbursed to us subject to the terms of this letter. The
costslisted under Article 10 are Cost Not to be Reimbursed and are so
stated. In addition to the costs listed under Article 9, you agree to
pay as a cost of the job the usual Christmas bonus paid by us to our
■ project superintendent for above average performance, to be paid at
Christmas once each year. The amount of said bonus shall not exceed

It is acknowledged that there may be changes in the planning of the
project or in the intent of the undersigned with reference thereto,
and it is likeuuise acknowledged that a project satisfactory to the
Owner may not be possible within the budget price. Accordingly, it is
agreed that any time prior to the commencement of construction, you
may cancel this agreement if the above becomes evident. It is further
agreed that we will not be required to proceed until all financing
and funding for same is completed satisfactory to us.
Please sign and return a copy of this letter enclosed for the purpose
of signifying your agreement to the terms and provisions hereof.

1 wish to advise you of developments in the following area
SCE EDULE
Based on our original projection, (revised copy attached) if
you wish to maintain the opening date of July 1, 1981, it will be
necessary to start concept design work no later than September 15,
1978. All firms involved need at least two weeks' notice in order
to schedule manpower.

CONSULTANTS
1!e presently have in hand, or expect to receive shortly, signed
agreements with our Miami associate firms (Carr Smith and Ferendino/
Grafton/Spillis/Candela).
I have reviewed the inquiry from Lehr Associates of New York
City, along with your comments regarding solar energy engineering,
and make the following recommendations.
1 believe the addition of another firm to the ''team" is not
required for the following reasons:
1. Too many "cooks in the fire".
2. Ferendino/Grafton/Spillis/Candela has done work in the
solar energy field. In fact, they presently have a solar
energy school under construction. In addition, Heery &
Heery has extensive experience in this area and could act
as back-up, if required.
3. Potential problems with location of work in three different
cities.

4. A local firm has better knowledge of local codes, and
design requirements.
Witting of the fee and responsibility of work will
invaribly cause:
a) Higher overall fee
b) Disputes on responsibility.
Last week, following your verbal authorization, I requested Bolt,
Beranek & Newman to submit a proposal for acoustical consulting ser-
vices for the project. I will forward a copy to you with our recomen-
dations, for your review and/or approval.
CONTRACTORS
You requested us to make inquiries regarding the qualifications
of Edward J. Gerrits Construction Company of Miami as a potential
bidder. Our construction management firm (Heery Associates), who
is doing work presently in the Miami area found that the firm is
an established local firm and, although has not had previous rec-
reation experience, appears to be qualified.

the progress you and your colleagues were making in arranging
for the construction of an arena in downtown Miami, I would
like to suggest that Morris Kaufmann provide the liaison between
your organization and the City. The purpose of this liaison,
following your suggestion, will be to maintain the City staff
in a state of full knowledge of your progress, so that we will
be in a position to respond to the needs of your project as it
moves forward.
