A RE8OL1JTION AUTHORIZING THE CITY MANAGER
TO EXECUTE AN AGREEMENT WITH METROPOLITAN
DADS CoUNTY FOR THE LEASEOP PROPERTY
LOCATEb AT 451. N.W. 5TA STREET, AS PART OP
TEE CITY S COMMUNITY DEVELOPMENT PROGRAM IN
ACCORDANCE WITH THE TERMS AND CONDITIONS SET
FORTH IN TUE ATTACHED AGREEMENT, SAID
OCCUPANCY WILL NOT REQUIRE ANY RENTAL PAYMENTS.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDAt
Section 1. The City Manager is hereby authorized to
execute the attached Agreement with Metropolitan Dade County, for
the lease of property located at 451 N.W. 5th Street, in accordance
with the terms and conditions set forth therein. Said occupancy
will not require any rental payments.

Attached is a Resolution and a Metnorandut of Understanding
between the City of. Miami and Dade County for the continuing
use of the property at 451 N. W. 5 Street as the office
space for the tnteritn Assistance Program in the Culmer area.
This lease does not require any cost to the City. There is a
need to have the attached Memorandum of Understanding e5tecuted
so that it can be forwarded to. Dade County HUD for action by
the Dade County Commission.

THIS AGREEMENT made and enteted into this day
197. by and bettieen the CITY OP MIAMI., a political
subdivision of the State of 1lotida, (hereinafter referred to as "CI'ti'),
for the use and benefit of Its Community Development Program and
METROPOLITAN DADS COUNTY, a political subdivision of the State of
F- lorida-, (hereinafter referred to as `COUNTY"):
WIThESSETHt
WHEREAS, the City wishes to occupy premises at 451 Northwest
5th Street, as a part of its Community Development Program, from January 1,
1979, through December 31, 1979; and
WHEREAS, the subject property has been acquired by Dade County,
utilizing in part City of Miami Community Development Funds; and
WHEREAS, said occupancy will not require any rental payments;
NOW, THEREFORE, in consideration of the covenants and affirmations
as herein set forth, the parties mutually agree as follows:
THE CITY AGREES :
1, To defend all suits brought due to the use and occupancy by
the CITY of the demised premises, all in accordance to Florida Statute 768,28,
waiver of Sovereign Immunity Law.
2. To indemnify and hold the COUNTY harmless in any and all
actions arising under this Memorandum of Understanding to the limits outlined.

3. That all needed utilities, installation, hook-up, tie-in,
maintenance of same, shall be the sole responsibility of the CITY.
4, That it will comply with all applicable regulations and
ordinances of the CITY and/or COUNTY with respect to the occupancy of
the subject premises.
