RESOLUTION NO. 79-199
A RESOLUTION APPROVING THE ATTACHED AMENDMENT
NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT,
DATED DECEMBER 26, 1978, BETWEEN THE CITY AND
MORTON, WOL.F'rBER(,ALVAREZ, TARACIDO, SEIGLE &
FRESE, INC., WHEREBY THE FACILITIES FOR THE
DEPARTMENT OF SOLID WASTE WILL BE DESIGNED AS
A NEW STRUCTURE TO BE LOCATED AT THE WESTERLY
PORTION OF THE SITE WITH A CONSEQUENT REDUCTION
IN THE TOTAL PROJLCT COST FROM $1,460,000 TO
$1,100,000, INCLUDING REDUCING THE LUMP SUM FEE
TO BE PAID TO SAID FIRM AND REVISING CERTAIN
PORTIONS OF THE AGREEMENT, ACCORDINGLY, WITH
FUNDS THEREFOR TO BE PROVIDED FROM THE POLLU-
TION CONTROL AND INCINERATOR FACILITIES BONDS;
AND AUTHORIZING THE CITY MANAGER TO EXECUTE
SAID AMENDMENT.
WHEREAS, the City proposed to renovate Incinerator
No. 1, located at 1950 N.W. 12 Avenue, Miami, Florida, for the
purpose of providing office and shop facilities for the Depart-
ment of Solid Waste; and
WHEREAS, the City Commission approved the selection of
the architectural/engineering firm of Morton, Wolfberg, Alvarez,
Taracido, Seigle & Frese, Inc., as the most qualified firm to
provide professional and technical services to the City for the
project, by Resolution No. 78-745, dated December 1, 1978; and
WHEREAS, said firm in displaying a high degree of
loyalty and fiduciary responsibility to the City in its perform-
ance of the Schematic Design and Design Development phases of
the project, determined that the project could be constructed
at less cost by relocating the proposed facilities to the "DOCUMENT IP;iJ.�we`sterly
portion of the site; and _

WHEREAS, this relocation of the proposed fact sties
constitutes a significant change and reduction of the scope of
the project; and
WHEREAS, this transaction is governed by the Consul-
tants' Competitive Negotiation Act and is found to be within the
exception provided for in the Act; and
WHEREAS, it is in the best interest of the City to

REMARKS:
follow the course of action so recommended by said firm, as
determined by the City Manager and the City Staff;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF
THE CITY OF MIAMI, FLORIDA:
Section 1. The City Commission hereby approves the
attached Amendment No. 1 to the Professional Services Agreement,
dated December 26, 1978, between the City and Morton, Wolfberg,
Alvarez, Taracido, Seigle & Frese, Inc, prepared in accordance
with the provisions under Section VII, C and Section XIII of said
Agreement, whereby (a) the project will be relocated to the
westerly portion of the site; (b) the total project cost will be
reduced to $1,100,000; and (c) the lump sum fee to be paid to
said firm will be reduced to an amount not to exceed $90,000,
including fees earned for work performed to date.
Section 2. The City Manager is hereby authorized to
execute the attached Amendment No. 1 to said Agreement, expending
funds therefor from the Pollution Control and Incinerator Facili-
ties Bonds.

During the execution of the Schematic Design and Design Development Phases of the
Agreement, dated 26 December 1978, between the City of Miami and Morton, Wolfberg,
et al., the consultants advised the City that the proposed project for housing
the Department of Solid Waste could be constructed at less cost if the project
would be a new design rather than the renovation of Incinerator No. 1. (See Morton,
Wolfberg, et al. letter dated 12 Feb 79).
The City concurred with the consultants' recommendations and proceeded to negotiate,
in general, the terms and conditions for an Amendment to the existing Agreement. At
the same time, the Law Department determined that an Amendment was within the
exception provided by the Consultants Competitive Negotiations Act.
Accordingly, attached herewith are the following documents:
1. Proposed Resolution whereby the City Commission will approve Amendment
No. 1 to the existing Agreement between the City and Morton, Wolfberg,
et al. and will authorize the City Manager to execute same, as follows:
In the proposed Resolution, the City Commission will approve Amendment
No. 1: a) allowing for relocating the program to the westerly portion
of the site, b) reducing the total project cost to $1,100,000 and c)
reducing the Lump Sum Fee to be paid to the consultants to $90,000,
including fees earned to date; and will authorize the City Manager to
execute the Amendment, expending Pollution Control Incinerator Facilities
Bond Funds for that purpose.
2. Proposed Amendment No. 1 to the Agreement. Please note that certain
items, such as fees, dates, and construction estimates may be changed,
subject to final negotiations with Morton, Wolfberg, et al., and by
the Commission's action.
3. Draft of a cover letter from the City Manager to Morton, Wolfberg, et al.,
transmitting Amendment No. 1 for execution, when the Resolution is approved
and when all negotiations are completed.

AMENDMENT NO. 1
The Agreement, dated 26 December 1978, between the City
of Miami and Morton, Wolfberg, Alvarez, Taracido, Seigle &
Frese, Inc., is hereby amended as provided for under Section
VII, C and Section XIII, as follows:
Item 1. Page 1: After the word "W1TNESSET1i", delete
the first two paragraphs, beginning with the words "WHEREAS,
the CITY proposes ..." and ending with the words "... expenses
of the PROJECT; and" insert the following new paragraphs:
"WHEREAS, the CLTY proposes to design and construct a
new facility to house the offices and shops of the Department
of Solid Waste and to provide site parking, landscaping and
utilities for the facility on City -owned property located in
the South West corner of NW 12 Avenue and NW 20 Street, Miami,
Florida, hereinafter called the PROJECT; and
"WHEREAS, the CITY has programmed approximately $1,100,00C
from the sale of Pollution Control and Incinerator Bonds to
finance the design and construct expenses of the PROJECT; and".
Item 2. Page 1: In the fourth line from the bottom,
after the word "PROJECT;" add the word "and" and then insert
the following new paragraph:
"WHEREAS, the Commission of the City of Miami has by
Resolution No.
, date , approved
Amendment No. 1 of the Agreement;"
Item 3, Page 2, Section 1. C: Delete this paragraph in
its entirety and insert the following new paragraph:
"C. The CITY has budgeted the amount of $1,100,000 for
the total cost of the PROJECT, as follows:
1. $185,000 for design services, including:
a. LUMP SUM EEE for the selected architectural/
engineering firm.
b. Surveys, soils investigations and related
expenses.

c. Inspection, testing and related expenses.
d. Administration, reproduction and related expenses.
2. $890,000 for construction and PROJECT
contingencies, as follows:
a. $800,000 for the facility, including site
work, parking, landscaping and utilities.
b. $90,000 for PROJECT contingencies including
1.5 percent of the construction cost for art work.
3. $25,000 for furniture, fixtures and equipment."
Item 4, Page 2, Section I, E: Delete the last two lines
of this paragraph and insert the following new phrase:
"the LUMP SUM FEE OF EIGIHTY EIGIHT TIIOUSAND AND NO/100 DOLLARS
($88,000.00)."
Item 5, Page 3, Section II, E: Delete this paragraph
in its entirety and insert the following new paragraph:
"E. PROJECT - is hereby defined as a new two -storey
facility consisting of 20,000 square feet of offices, shops
and related work spaces and site improvements, all as
more specifically described in Exhibit "A", referenced
hereinafter, and located on the westerly portion of City -owned
property at the southwest corner of NW 12 Avenue and NW 20
Street, Miami, Florida, an area comprising approximately 1.0
acre."
Item 6, Page 5, Section III, A.3: Delete this paragraph
in its entirety and insert the following new paragraph:
"3.
Develop the PROJECT site, including visitor and
staff parking, landscaping, utilities, pedestrian and
vehicle access and egress, all consistent with the requirements
of the City's operations adjacent to the site and aesthically
compatible with the neighborhood."
Item 7, Page 13, Section V, A: Delete this paragraph
in its entirety beginning with the words "the LUMP SUM FEE"
in the sixth line and ending with the words "Lump Sum
1,000.00" in the last line, and insert the following new
phrases and sentences:

CITY paid and the PRINICPAL accepted an amount of TWENTY

($27,540.00) for work performed under the Schematic Design
Phase and the Design Development Phase. Accordingly, the
PRINCIPAL has acknowledged receipt of said amount and
offered the CITY a credit of that amount as partial
payment of the BASIC FEE under this Amendment No. 1. The
CITY has accepted such offer."
Item 8, Page 14, Section VI, C: Delete the words
"26 February 1979." in the last line and insert the
following new words:

"SCOPE OF WORK
FOR
DEPARTMENT OF SOLID WASTE FACILITY
GENERAL
The
designed
Work and
Department of Solid Waste Facility shall be
in accordance
in compliance
with the following Scope of
with all applicable codes,
regulations, ordinances and rules of the governing
bodies having jurisdiction over the project.
The Principal shall review the Scope of Work and
verify the details indicated herein and shall recommend
such other requirement which he may determine to be in
the best interests of the City. The review, verification
and recommendation processes will take place during the
Schematic Design Phase and the Design Development Phase
and will be subject to approval of the Project Manager.
Prior to commencement of the Construction Documents
Phase, the Principal shall prepare a document, entitled
"Scope of Work and Design Criteria for the Department of
Solid Waste Facility," for approval by the City. The
document will contain a complete summary and details of
all items to be used as a basis of design during the
Construction Documents Phase.
It is the City's desire that the new facility be
designed to be aesthetically pleasing and in harmony with
the surrounding community, to be functionally suited to
the requirements of the Department of Solid Waste, to
have flexibility for changes or expansion as the Department's
requirements may change, to be low energy consuming, to
be economical and easy to maintain, and to be constructed
within the design budget.
REPORT
The Principal shall prepare a Report'on the existing
Incinerator No. 1 building and the adjacent site area for

the purpose of advising the City of the developmental
potential of the property, consistent with Item 2 of the
Principal's Letter, dated 12 February .1979, attached
hereto. In general, the Report shall describe the
Principal's examination of the developmental potential
in terms of a site analysis and of a building analysis.
The site analysis shall consist of studies of such
factors as traffic, utilities, parking, building locations
and their impacts. The building analysis shall consist
of such factors as programming and space utilization,
renovation, new construction, circulation and their impacts.
Finally, the Report shall contain budget construction
estimates for the major work items in the development
scheme or schemes suggested by the Principal.
LOCATION
The proposed new facility shall be located on the
westerly portion of the City -owned property at the SW
corner of NW 12 Avenue and NW 20 Street, Miami, Florida.
The entire site limits for this project will consist of
approximately 1.0 acre.
FUNCTIONAL DESCRIPTION
The proposed new facility shall be designed as a
two -storey structure. The First Level shall contain the
Waste Collection Division offices, shop and related
facilities. If possible, the Credit Union should be
located on the First Level.
The Second Level shall house the offices of the
Director and his staff.
The site work shall consist of all utilities, access
and egress, visitor and staff parking of not less than 30
spaces, landscaping, walkways and other related features.
ARCHITECTURAL
Interior spaces shall conform to the specific
requirements listed in Chart "A", attached hereto. The
room areas are indicative only. The City will expect

the Principal to adjust the spaces and make such functional
arrangements that his design solution will meet the program
requirements. The new facility shall have a gross area not
to exceed 20,000 square feet on the two storeys. The
facility shall conform to the Florida State new Model Energy
Efficiency Building Code.
STRUCTURAL
The new facility shall be of either lighweight metal
or of concrete construction, considering economy, flexibility
and aesthetics in that priority.
MECHANICAL
Provide year round air conditioning for all spaces
as indicated in Chart "A"; and ventilation, heating and
exhaust systems; elsewhere, in accordance with codes and
good practice.
Provide sprinklers as required.
Provide domestic cold and hot water, sanitary and storm
sewer systems, vents and plumbing fixtures as required.
Consider solar energy for providing domestic hot water in
toilets.
Provide compressed air system in Shop. Provide irrigation
system for landscaped area.
ELECTRICAL
Provide 120/208 volt, three-phase, 60 Hertz, distribution
system for power and lighting requirements.
Illumination levels shall be adequate for purposes
intended. Provide public address system where indicated
and provisions for audio visual systems in Conference Rooms.
Provide electrical receptacles, lighting fixtures and
all other electrical devices as required.
Provide power and controls for Shop Equipment, elevator
and IIVAC equipment.
Provide exterior lighting for the project.
CONVEYING SYSTEM
Provide one passenger elevator to serve First and Second
•
Level offices. Speed and capacity shall be determined
during design concept phase.
SITE WORK
Provide all utilities, landscaping access and egress,
walkways, visitor and staff parking of at least 30 spaces,
and all related features. Provide low maintenance
plantings, irrigation system, fencing and security devices.

Dear Mr. Moss:
In the course of our work during schematic and design development phases for
the above referenced project, and as part of our responsibility to evaluate
the design program, our design team has developed alternative concepts for the
execution of the stated program as well as the utilization of Incinerator Build-
ing n1. It is the purpose of this letter to present these alternatives for your
review and consideration in hopes of developing a comprehensive plan for the
Solid Waste Department's need and existing City structures. Our alternative
concepts are based on two key elements related to the project.
1. After careful analysis and estimating for the scope of work defined by
our contract, we have determined that the name space requirements can
be constructed new at less cost than the projected renovation. This cost
savings is generated in the area of construction cost,aswell as, consulting
fees. In addition, our analysis of the operations requirements of the Solid
Waste Department indicates that a new structure at the West side of the In-
cinerator site and adjacent to the new truck storage facilities:. will better
serve the City's needs.
2. In developing spaces within the existing Incinerator Building, our design
team has identified a significant opportunity for greater and higher util-
ization of the building. The spacial character of the structure will allow
for significant development of space within the existing envelope, and could
serve the City's need for additional office space or generate income for the
City in the form of a based developed City property. Although this concept
is perhaps outside the original scope of work anticipated, we feel that
_consideration of possibilities should be made.
