A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO THE ATTACHED SUPPLEMENTARY AGREEMENT TO
THE EXISTING AGREEMENT WITH THE ARCHITECTURAL
FIRM OF FERENDINO, GRAFTON, SPILLIS, CANDELA,
ARCHITECTS, ENGINEERS AND PLANNERS, FOR THE PURPOSE
OF PROVIDING SCHEMATIC SKETCHES OF THE PROPOSED
PARKING GARAGE IN CONJUNCTION WITH THE CITY OF
MIAMI/UNIVERSITY OF MIAMI JAMES L. KNIGHT INTER-
NATIONAL CENTER IN ORDER TO OBTAIN MORE DEFINITIVE
COST REQUIREMENTS FOR SAID GARAGE; AUTHORIZING THE
CITY MANAGER TO PAY A LUMP SUM FEE OF TWENTY-FIVE
THOUSAND DOLLARS ($25,000.00), WHICH FEE WILL BE
CONSIDERED PART OF THE FINAL FEE SHOULD THE CITY
COMMISSION AUTHORIZE PREPARATION OF CONTRACT
DOCUMENTS BY SAID FIRM.
WHEREAS, a contract exists between the City and the
architectural -engineering firm of Ferendino, Grafton, Spillis,
Candela for professional services for the total design of the
Conference/Convention Center; and
WHEREAS, said agreement has a provision to be expanded to
include the parking garage; and
WHEREAS, it is necessary that more definitive costs of
said garage be established; and
WHEREAS, the consultant has agreed to provide schematic
sketches for the lump sum payment of twenty-five thousand dollars
($25,000.00); which sum shall be credited against any future
expansion of their existing contract; and
WHEREAS, funds are available in the 1978-79 budget of the
Department of Conferences and Conventions;

Section 1. The City Manager is hereby authorized to
execute the attached supplementary agreement to the existing agree-
ment with Ferendino, Grafton, Spillis and Candela for the purpose
of providing schematic sketches for obtaining more definitive cost
requirements for the parking garage in conjunction with the
City of Miami/University of Miami James L. Knight I - - '••-
Center.

Section 2. The City Manager is hereby authorized to pay
a lump sum fee of twenty-five thousand ($25,000.00) dollars for the
above professional services, which fee will be considered part of
the final fee should the City Commission authorize preparation of
contract documents by said firm. Funds for this fee are available
in the 1978-79 budget of the Department of Conferences and
Conventions.

AGREEMENT
SUPPLEMENTAL TO THE AGREEMENT OF APRIL 8, 1976
BETWEEN THE CITY OF MIAMI AND FERENDINO, GRAFTON,
SPILLIS, CANDELA, ARCHITECTS, ENGINEERS, PLANNERS
THIS SUPPLEMENTAL AGREEMENT, made this % 7 day of AIM/

between the City of Miami, a municipal corporation of the State of
Florida, hereinafter called CITY, and FERENDINO, GRAFTON, SPILLIS,
CANDELA, Architects, Engineers, Planners, A Florida Corporation,
hereinafter called PRINCIPAL.
WITNESSETH
WHEREAS, on April 8, 1976 the parties hereto entered into an
Agreement whereby PRINCIPAL would provide professional services in
connection with the project known as the Convention Center; and
WHEREAS, the April 8, 1976 Agreement identified parking garage
facilities as an element of the Convention Center that could also
be included as a part of the project professional services; and
WHEREAS, the CITY wishes to obtain schematic sketches and cost
estimates for Convention Center Parking Facilities to determine
financial feasibility and possible funding sources; and
WHEREAS, such work is beyond the professional services agreed
upon under the April 8, 1976 Agreement; and
WHEREAS, a fixed fee in the amount of TWENTY FIVE THOUSAND
DOLLARS ($25,000) has been negotiated between the CITY and the
PRINCIPAL for professional services as set forth herein.
NOW, THEREFORE, in consideration of the premises, and mutual
covenants hereinafter contained to be observed and performed, the
parties hereto do hereby covenant and agree that Convention Center
± 1,000 cars Parking Garage Schematic professional services will
be provided as follows:
Section I - PROFESSIONAL SERVICES
The PRINCIPAL in close coordination with the CITY and based
upon the scope, guidelines, standards, and schedule to be supplied
by the CITY will perform the following professional and technical
services:

A. SCHEMATIC DESIGN
Prepare schematic design studies consisting of drawings,
sketches and other documents illustrating the scale and relationship
of 1,000 ± cars parking garage facilities necessary to serve the
Convention Center Complex in all its components for approval by
the CITY within three weeks; and
B. PRESENTATION
The PRINCIPAL shall make a full presentation to the City
Administration and City Commission of the Parking Garage Facilities
Schematic Drawings, Sketches and Cost Estimate and shall revise
same as he may be directed.
SECTION II - COMPENSATION FOR SERVICES
For professional and technical services for the Schematic
Design and Cost Estimate of Convention Center Parking Garage
Facilities, the CITY agrees to pay, and the PRINCIPAL agrees to
accept, as a full payment for his services the LUMP SUM FEE OF
TWENTY FIVE THOUSAND DOLLARS ($25,000). This Lump Sum Fee will
hereinafter be called the Supplemental Basic Fee. If, however,
the CITY authorizes the PRINCIPAL to proceed with the planning
and design of a Convention Center Parking Garage as a part of
further professional services to be rendered either under the
April 8, 1976 Agreement or as a supplement thereto, the total
SUPPLEMENTAL BASIC FEE shall be considered a credit to the CITY
toward the fee for such Parking Garage planning and design
professional services.
Section III - GENERAL
This Agreement is supplemental to the Agreement of April 8,
1976 between the CITY and PRINCIPAL and as such the pertinent and
prevailing conditions of that AGREEMENT are considered to be a
part of this Supplemental Agreement as if totally and completely
set forth herein.

IN WITNESS WHEREOF, the parties hereto have caused this
Supplemental Agreement to be executed in their names by their
duly authorized officers and the corporate seals to be affixed
thereto, all as of the day and year first above written.

Parking Garage
In order to keep this project on schedule, it is necessary that all
construction prices be determined so that the financing plans can
be jelled by July. A11 phases of this project with the exception
.of the parking garage fit into this schedule.
It is my opinion that it would be impossible to prepare plans and
specifications in order to have a firm bid for a parking garage by
July. We do have a method, however, to keep the project moving,
establish a financial plan, and stay on schedule.
The existing contract with the firm of Ferendino, Grafton, Spillis,
Candela envisioned a parking garage as part of their professional
services contract. The developer of the hotel, Mr. Worsham, has
agreed that if the City provided schematic sketches of the parking
garage that he would establish a firm maximum price that would
satisfy the financial advisers, Smith Barney, Harris Upham & Co.,
and allow us to develop the necessary financial package for the
sale of bonds.
This method does not preclude that the City would still be required
to develop contract plans and specifications for the parking garage
and take formal bids. This method does not give Mr. Worsham the
automatic right to build the parking garage.
In order to accomplish the schematic sketches necessary, I have
negotiated a supplement to the contract with Ferendino, Grafton,
Spillis, Candela in the amount of $25,000. This fee will be consi-
dered part of the total fee should the City Commission authorize the
Ferendino, Grafton, Spillis, Candela firm to proceed with contract
plans and specifications in the near future.
