Brice, Director'° Department of Fire .; V• '( ( ORANDUM May 23, 1979 �."Agenda Item for City Commission Meeting of June 25, 1979 Approval o IL Rescue Contract Forwarded herewith is a copy of the new Contract Agreement between the City of Miami, the University of,Miami ;and the Public Health Trust =of -`Dade County ;for ,a� period of one year, commencing July. 1, 1979 and terminating June 20, 1980. This is a continuation of the current Emergency Rescue Contract which expires June 20, 1979 in which the university; of Miami provides a qualified Medical Director to supervise house staff members at Jackson Memorial Hospital in their response to our Rescue units' radio transmissions." The annual compensation under this contract remains at $10,000 to be paid quarterly. This sum is included in the Fire Department's annual general operating budget. The Law Department is presently reviewing this contract and it is anticipated that the original will be ready for Commission approval very shortly. OCU! Erg S 45 AGREEMENT BETWEEN CITY OF MIAMI AND UNIVERSITY OF MIAMI AND. PUBLIC HEALTH TRUST OF DADE COUNTY, FLORIDA` THIS AGREEMENT, entered into this day of , 19 , by and between, the City of Miami, a municipal corporation of the State of Florida, (hereinafter referred to as the "CITY") the Public Health Trust of Dade County, Florida, an agency and instrumentality of Dade County, Florida,. (hereinafter re- ferred to as the "TRUST") which operates Jackson Memorial Hospital (hereinafter referred to as the "HOSPITAL"), and the University of Miami (hereinafter referred. to as the '.'UNIVERSITY").. WHEREAS, the CITY, the TRUST,,. and the TJNIVERSITY desire tocooperate to provide certain serviccs in connection with the Emergency Medical Services provided by the Rescue Division, City of Miami Fire Department. NOW THEREFORE, in consideration of the premises and the mutual covenants, and agreements herein contained,. the parties hereto agree as follows:, A. The TRUST agrees: To provide support in the form of licensed house staff, members from HOSPITAL, each of whom is qualified to practicemedicine at HOSPITAL and is fluent in the English language. Saidphysicians will be available on a 24-hour basis for prompt responseto emergency medical radio transmissions from CITY Fire Department Rescue Units. B. The UNIVERSITY agrees: To provide a qualified Medical Director, acceptable to the CITY and TRUST, to provide support in accordance with State of Florida laws and regulations to the Emergency Medical System of CITY. Said Medical Director (or his alternate, as provided for in paragraph B.2) shall supervise house staff members of HOSPITAL who are provided by the ;TRUST, for prompt responseto emergency medical radio transmissions from CITY Fire Department Rescue Units. To provide alternatephysicians, acceptable to the Medical Director, TRUST, and to. CITY, in order to endeavor to insure that qualified relief supervision_, is always provided during .the Medical -"Director's absence from the system. Page 1 of 4 - ilS DOCupvir,--,`�. I • 79-445 3. That the Medical Director and his alternates shall be fluent in the English language and qualified to practice medicine at HOSPITAL. To providelegal services as may be required by the Medical Director in the performance of his responsibilites. To pay to the UNIVERSITY as compensation for services, the annual:;' sum of Ten Thousand Dollars .,($10,000.00)"payable .irk equal quarterly installments, (to be used as deemed appropriate by the Medical, Director in his sole discretion.) . Thatallparamedical personnel assigned to advanced lifesupport vehicles will be approved by the Medical Directorand the Fire.:, Chief of the Rescue. Division. • To provide to the Medical Director a list of equipment carried on the advanced life support vehicles which listshall bean accordance with the equipment required by regulations of ,the Department, of Health and Rehabilitative Services and the State of; Florida Statutes 401. To carry said equipment on all fire rescuevehicles used. In the;, event that the Medical Director determines that the equipment listed does not meet the requirements of 'the regulations`, the CITY. agrees that it will itnmediately take the necessary action,, to bring the equipment carriedon the advance life support vehicles into compliance with., the regulations. .The CITY agrees to..indemnify,.and hold harmless_ the UNIVERSITY," Dade County and :the TRUST. against any and. all 1iabilities Arising' Outof-the:' negligence by employees- and/or personnel rof,'the' .CITY which may arise during the period that:care ,'.'custody and control of a patient:is''In the hands of a rescue squad;-of.the Rescue Division and, at'its-Own cost and expenses shall defend Dade- County,''the UNIVERSITY,;. the TRUSTand any of their'; respective', Officers, Trustees or employees'against any such claim" brought against- any of them. The UNIVERSITY agrees to indemnify and held harmless.the.CITY, Dade County and the TRUST against;: any and. all. liabilities arising.out.of the negligence by,employees and/or personnel of the UNIVERSITY which may arise during; the: period that care, custody and control of a patient is in the hands - qua of a rescue :squad' of the Rescue Division and, at its own cost and expense, shall defend the CITY, Dade; CountyTRUST" and any of their respective;;, Officers, Trustees or employees` against any such claim brought; againstany of them. The; TRUST agrees to indemnify and hold harmless the CITY, Dade ..County, and the UNIVERSITY against any and all liabilities arising otit of the negligence by employees and/or personnel of the TRUST which may arise during the period that care, custody and control of a patient is in the hands of a rescue, squad of the Rescue Division "and, at its own cost and expense shall defend the CITY, Dade County, the UNIVERSITY and any of their respective Officers, Trustees or, employees against any such claim brought against any of them. It is further provided that in no event shall the agents, contractors, Officers, servants or employees of the CITY be considered to be agents, Officers, servants or employees of the TRUST or UNIVERSITY. All parties will comply with Florida Statutes, Sections;401.21 through 401.47 and the implementing regulations promulgated by the Department' of Health and Rehabilitative Services. That this Agreement shall commence on July 1, 1979 and shall terminate on June 30, 1980; provided however, that any party may cancel the Agreement by giving sixty (60) days notice in writing to all other parties by certified mail, return receipt requested. Notice is effective upon receipt. All parties agree that this Agreement contains the entire Agreement of�"the .�parties and that there are no conditions or limitations to this undertaking except those stated herein. After the execution hereof, no alteration, change or modification hereof shall be bindi.ng or effective unless executed in writing andsignedby all parties hereto.
