A RESOLUTION AUTHORIZING AND DIRECTING THE CITY
MANAGER AND THE CITY CLERK OF THE CITY OF MIAMI
TO EXECUTE AND DELIVER BY QUIT -CLAIM DEED, LEGAL
TITLE TO THE PROPERTY LOCATED AT 130 BISCAYNE
BOULEVARD, MIAMI, FLORIDA, UPON WHICH THERE
CURRENTLY EXISTS A STRUCTURE KNOWN AS THE
MUNICIPAL PARKING GARAGE f2, TO THE DEPARTMENT
OF OFF-STREET PARKING OF THE CITY OF MIAMI.

WEl':T'.EAS, an 'agreement of sale and purchase was enteed into
between SKIPSON LAND CORP. as vendor and the DEPARTMENT OF OFF-STREET
PARKING of the City of Miami as purchasor on 1/18/60; and
the funds utilized for the purchase of the aforesaid
property were derived solely from funds of the Department of Off -Street
Parking of
WHEREAS, said property was acquired from SKIPSON LAND`:CORP. by
deed dated 6/17/60 and recorded 6/30/60; and
WHEREAS, the Charter of The City of Miami, Sec. 23-A.1(d)
provides that the Department of Off -Street Parking of The City of Miami
"...shall operate, manage and control the off-street parking facilities
of the city and all properties pertaining thereto now owned or here-
after acquired or constructed by the city or by the department) and
shall succeed to and exercise all powers vested in and succeed to and
perform all functions and duties imposed` upon the department of off-
street parking of the city by and under the provisions of this act.";

I4HEltEAS, the aforesaid described property has been continuously
managed, operated and controlled by said Department of Off -Street
Parking; and
WHEREAS in order to affectuate the intent and purpose of
the provisions of the Charter of The City of Miami;
NOW, THEREFORE, BE IT RESOLVED BY THE CO/MISSION OF THE CITY
OF MIAMI, FLORID .
Section 1. That the City Manager and City Clerk of The City
of Miamiare hereby authorized and directed to convey by quit -claim
deed, legal title to the following described property located at
130 Biscayne Boulevard, Miami, Florida to the Department of Off -Street
Parking of the City of Miami:
Parcel 1: The East 100 feet Lot 3; the South
24 feet (taken at right angles to the South line)
of Lot 2, and that part of Lot 3 West of the East
100 feet thereof and North of the South 37.17 feet
thereof, all in Block 102N, CITY OF MIAMI, Plat
Book B, at page 41, of the Public Records of Dade
County, Florida.
Parcel 2: The South 37.17 feet of Lot 3, less the
East 100 feet thereof in Block 102N, as shown in the
A.L. KNOWLTON PLAT OF THE CITY OF MIAMI, as recorded
in Plat Book B at page 41, of the Public Records of
Dade County, Florida, commonly known as #130
Biscayne Boulevard, Miami, Florida.

Dear Mitch:
Enclosed are four executed copies of the statement of agreement
that you and I agreed to last Friday.
If this draft meets with your approval, please send two executed
copies for our files. I would like to be able to accomplish this
before October 17th, so that we can assure the City Commission
that important projects such as the conference center are going
to be moving forward.
We very much appreciate the fine work you and your staff have
done in designing and working towards the implementation of an
expansion for the parking ramp by Miami Dade Community College.
Judging by the renderings you showed me, it should turn out to
be another fine building for downtown.

OFF'=STREET PARKING AUTHOR T?
In order to insure continued good working relationships between
the City of Miami in its efforts to redevelop downtown Miami, and
the Off -Street Parking Authority in its goal of establishing low
cost public parking in that downtown area, the following points
of agreement are made specific:
1) The Off -Street Parking Authority and the City agree that it
is a mutual goal to develop as much public parking downtown
as possible, and to that end the Authority recognizes that
the City will be encouraged to build additional parking and
turn it over to the Authority for operation at any time that
the City identifies a necessary project, and the Authority
indicates that it is not in a position to undertake the
construction in question.
2) That in order to facilitate the building of a parking structure
for the Miami Conference Center, the Authority's consultants
will provide the necessary letter documentation, without
addressing any extraneous matters.
3) That the Authority understands that in its operation of the
Miami Conference Center garage, it will need to accept standard
operating procedures which will be conditioned by contractural
relationships between the City and Miami Center Associates, as
well as the University of Miami, and further, that those oper-
ating procedures will need to recognize the revenue requirements
of the bonds issued by the City to finance the facility.

4) That in order to facilitate part of the development of Ball
Point, and ih recognition of the income to be derived by the
Authority from the operation of the Conference Center garage,
that the Authority recognizes that Chopin Plaza is in fact a
dedicated street for which the record needs to be perfected.
The Authority, in recognition of —the benefits to it of
receiving income for the operation of the Conference Center
garage, without any attendant counterbalancing debt service
requirements, declares its willingness to release to the City
without any claim for financial remuneration the property it
now designates as Lot 41, under the expressway at the Confer-
ence Center site.
6) The City has for some time expressed an interest in the
possible future beautification of Biscayne Boulevard imme-
diately adjacent to the downtown area, and the Authority
agrees to be receptive to discussion of future plans which
the City may propose, if those plans make reasonable accommo-
dation for the revenue requirements of the Authority represented
by the parking meters currently located in the center section
of Biscayne Boulevard.
7) The Authority recognises that during transitional periods in
which downtown properties are under construction, it may be
necessary to use vacant lots downtown for temporary parking,
and both the City and the Authority will cooperate to make
such use possible for reasonable periods of time.
