HomeMy WebLinkAboutR-80-0020TVP/wpc 12/18/79 RESOLUTION NO. 8 0 - 2.0 A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO AN AGREEMENT WITH MIAMI CENTER ASSOCIATES, LTD., TO IMPLEMENT THE PARKING PROVISIONS OF THE LEASE AND AGREEMENT BETWEEN THE CITY OF MIAMI AND MIAMI CENTER ASSOCIATES, LTD., DATED SEPTEMBER 13, 1979, FOR THE DEVELOPMENT OF THE CITY OF MIAMI/ UNIVERSITY OF MIAMI JAMES L. KNIGHT INTERNATIONAL CENTER, RESPECTING THE CONFERENCE CENTER PARKING GARAGE; AND THE AGREEMENT BETWEEN THE CITY OF MIAMI AND THE UNIVERSITY OF MIAMI DATED APRIL, 1977; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE AN AGREEMENT WITH THE CITY OF MIAMI OFF-STREET PARKING AUTHORITY FOR THE MANAGEMENT RESPONSIBILITY OF SAID PARKING GARAGE, SUBJECT. TO THE TERMS OF THE LEASE AND AGREEMENT, THE UNIVERSITY OF MIAMI AGREEMENT AND OF THE AFORESAID PARKING AGREEMENT. WHEREAS, the City has entered into an Agreement with the University of Miami, dated April 1, 1977, where it was agreed that the City shall. construct a Convention Center (referred to as the City of Miami/University-of Miami James L. Knight International Center) and a parking garage and lease to the University certain space in said Convention Center, along with certain parking rights; and WHEREAS, the City Commission has authorized the construction of the City of Miami/University of. Miami James L. Knight International Center and a parking garage connected thereto; and WHEREAS, the City Commission has approved and authorized the execution of the Lease and Agreement for Development with Miami Center Associates, Ltd., a Florida limited partnership, dated as of the 13th day of September 1979 (referred to as the "Development Agreement"), pursuant to which the.City has agreed to lease to the Developer certain air rights over portions of the Convention Center and the site thereof, certain shell space within the Convention Center and has agreed to grant certain easements and other rights to the Developer in and about the Convention Center and priority rights to "DOCU.MENT INDEX parking spaces in the parking garage; and -- !ToO rs /� WHEREAS, it is the intention of the City of Miami _ent t"iTrto--du A8ree- ment with the Off -Street Parking Authority for the day to day management and operation of said parking garage; NOW, THEREFORE, BF IT RESOLVED BY THE COMMISSION OF THE CITY OF M AM CITY COMMISSION MEETING OF JAN 1 0 1980 REsown N No...3 9... 2 FLORIDA: Section 1. The City Manager is hereby authorized to enter into a Parking Agreement with Miami Center Associates, Ltd. (as appended hereto) to implement the parking provisions of the Lease and Agreement between the City of Miami and Miami Center Associates, Ltd., dated September 13, 1979. and the agreement between the City of Miami and the University of Miami dated April 1, 1977.. Section 2. The City Manager is hereby authorized to negotiate and execute an Agreement with the City of Miami Off -Street Parking Authority for the managing and operation of the proposed parking garage, subject to the terms of the Lease and Agreement, and the University Agreement and the aforesaid Parking Agreement between the City and Miami Center Associates, Ltd. PAQMt James J./:Connolly / /Project(Director Conference Center r��.r :nr.rCtri :_,.;;.LL=rs: Proposed Resolution It is recommended that the City Manager be authorized to execute the attached Parking Agreement with the Developer Miami Center Associates Inc., and that the terms of this Agreement be incorporated into the proposed Agreement. with the Off -Street Parking Authority. and Agreement The Lease and Agreement with the Developer, Miami Center Associates, Ltd., dated September 13, 1979 limits the number of parking spaces that the Hotel may reserve for its guests to 24.9% or approximately 375 spaces. The Developer's mortgagee, Massuchusetts Mutual Life Insurance C has requested that more spaces be made available.. The City's Bond Counsel, Brown, Wood, Ivey, Mitchell and Petty has determined that the City may reserve additional spaces for Convention and Conference attendees. This Agreement satisfies the request of the mortgagee and is to be incorporated into the City's agreement with the Off -Street Parking Authority. PARKING AGREEMENT 1. PARTIES.The parties to this Parking Agreement are: 1.01 CITY OF MIAMI, a Municipal corporation of the State of Florida (the "City"); 1.02 MIAMI CENTER ASSOCIATES, LTD., partnership, (the "Developer"). 2. SUBJECT MATTER'. On September 13, 1979 the City and the Developer entered into a Lease and Agreement for Development providing, among other things, for development of the City of Miami/University of Miami James L. Knight International Center (the "Convention Center"), the Hotel and the Convention Center Garage. On April 1, 1977 the City entered into an agreement with the University of Miami providing, among other things, for development of a Conference Center within the Convention Center and granting the University certain parking rights in the Convention Center Garage. In order to enhance the success of the Convention Center and to provide with greater particularity for operating the Convention Center Garage, the parties make and enter this Agreement. 3. RESERVATION OF PARKING. For value received, the parties agree that the Convention Center Garage shall be operated in accordance with the following procedures: • 3.01 The Developer or its I-Iotel Manager shall have priority, to reserve up to 24.9% of all parking spaces in the Convention Center Garage for use during such day by transient hotel guests w]-ti are not Convention Center registrants by delivering a request therefor to the City's Garage Manager in writing by 6:00 a.m. each day. 3.02 The University shall have priority to reserve up to 300 parking spaces in, the Convention Center Garage for use by Conference. Center registrants during such day by delivering a request therefor to the City's Garage Manager in writing by 6:00 a.m.` each day. 3.03 The Developer or its Hotel Manager shall notify the City's Convention Center. Manager in writing by 6:00 a. m. each day of the number of parking spaces in the Convention Center Garage required for the use of Convention Center registrants who are hotel guests. The City's Convention Center Manager shall reserve such number of parking spaces as may be required for all Convention Center registrants for their use during such day by delivering a request therefor in writing to the City's Garage Manager by 6 00 a.m. each day. 3.04 The University shall have priority to reserve not more than 25 monthly tenancies for its administrative personnel. 20 3.05 Reserved daily parking shall be billed to the party requesting same at the lowest rates prevailing from time to time payable monthly whether or not such reserved spaces are used. 3.06 Reserved monthly parking shall be billed and paid monthly. 3.07 Parking spaces not reserved as provided in 3.01, 3.02, 3.03 or 3.04 shall be available on a first -come first -served basis to the general public. 3.08 The. Convention Center Garage shall be open during such hours and days as may be necessary to acomplish the requirements of this Agreement.
