WHEREAS, the CITY desires: -to commission anaccounting firm for thepurposes
of. condlicting.an administrative, stuidy'for the-MIAMI CITY'EMPLOYEW-RETIREMENT
SYSTDI BOARD; and,
WHEREAS. the,ACCOUNTANTS,, having bee'n-'advise"d, oft*he scope, of services
require.d,,heieunder,',an.d'having expressed the desire and willingness to provide
such services, and having-pr6sented.qualifications to,the City"i
in support of
said.ddlsires; and
WHEREAS, as a result'of the aforemention'ed,mutual,undersfanding,', the CITY
desires, to enter into the Agreement with the ACCOUNTANTS;'''and
WHEREAS, the City Manager.has-been authorized by the City Commission, by
Resolution No. dated ,.-to : commission the
ACCOUNTANTS to perform certain services and theACCOUNTANTS agree to perform,
such services upon the terms and conditionshereinafter'set forth;
NOW, THEREFORE, in consideration of'the premises and 'the mutual 'covenants

II. -COMPENSATION.
A. The ACCOUNTANTS shall receive compensation in an amount not to

ACCOUNTANTS in performance of this Agreement..

B. In the event either party cancels.this Agreement, the compensa-
tion shall be .paid up to the effective date of. cancellation.
C. The'ACCOUNTANTS, and agents thereof, shall be deemed'to be
independent contractors and not agents or employees of the CITY, and shall
not attain any rights or benefits under the Civil Service or. Pension Ordinances
of the CITY, or any .rights generally..afforded classified or unclassified em-
ployees. .
III.. PERFORMANCE.
The ACCOUNTANTS' professional services and work product shall be performed
in accordance with :the: NORK PLAN" as. reflected in a letter.dated October 3,
1979 from the ACCOUNTANTS-to'Board Members of MIAMI CITY EMPLOYEES'..RETIREMENT
SYSTDI ' and PLAN. (Attaciiment) . Said letter* shall be _ deemed to be. 'a': part of
the Agreement herein..

The System, Board on August 30, 1979 and the Plan Board on October 19,...
1979:authorized by motion engaging Arthur Young,and,Company to conduct
an administrative study of the'Pension Office and authorized the
expenditure of up to-$6,000.00 by each respective Board.
The objective. of the Administrative Study would be the realization of
efficiencies., in the administration of the System,and.Plan _and;'the
improvement in the, administrative services_.provided.their.members.
The cost for this study was, allocated by the.City commission on.
September.27, 1979 by Ordinance.#8989.
