A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE THE ATTACHED AGREEMENT BETWEEN
THE CITY OF MIAMI AND LATCOM, INC., WHEREBY
THE CITY OF MIAMI PARTICIPATES AS SPONSOR
OF THE TELECOMMUNICATIONS FAIR ENTITLED
"COMUNICACIONES EXPO '81" TO BE HELD IN MIAMI,
APRIL 26-30, 1931, WITH FUNDS APPROPRIATED
THEREOF TO THE DEPARTMENT OF TRADE & COMMERCE
DEVELOPMENT IN THE AMOUNT OF $10,445 AND
IN -KIND SERVICES FROM OTHER CITY SOURCES
AMOUNTING TO $9►555.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized
to execute the attached Agreement between the City of Miami
and LATCOM, Inc., whereby the City of Miami participates as
sponsors of the Telecommunications Fair entitled "Comunicaciones
EXPO '81" to be held in Miami, April 26-30, 1981, with funds
appropriated thereof to the City of Miami Department of Trade &
Commerce Development in the amount of$10,445 and in -kind services
from other City sources amounting to $9,555.

AGREEMENT
The City of Miami and LATCOM, Inc. have entered into
this Agreement this day of
, 1980, as a
basis of understanding for the City's assistance in the imple-
mentation of the Telecommunications Fair entitlad "Comunicaciones
EXPO '81".
WITNESSETH, that the City of Miami has entered in an Agree-
ment with LATCOM, Inc. to assist in the implementation of the
"Comunicaciones EXPO 181" to be held in Miami on April 26-30,
1981, pursuant to Resolution No.
1980.

WHEREAS, Miami has been selected as the permanent site for
this annual, international exhibition focused on Latin America,
and

---� WHEREAS, the first Comunicaciones EXPO 181 will feature
telecommunications, computer and other related communications
/7 systems and equipment. Among the exhibitors will be many of the
major producers in the field; approximately 80% from the U. S.,
and the remainder from Europe and Japan, with continual, technical
seminars to be held, and
WHEREAS, this event is expected to draw some 3,000 attendees,
among whom will be high-level, Latin American ministers and their
staffs. Net square feet of exhibit space is estimated to be a
minimum of 15,000, and
WHEREAS, Comunicaciones EXPO 181 is being coordinated by the CITY
through the Department of Trade & Commerce Development with LATCOM, Inc.
The principals of LATCOM, Inc. are: Mitch Hall, of Mitch hall
Associates, and advertising sales director of Comunicaciones and
former organizer of the Intelcom series of communications exhibitions
of horizon House International publications; Dr. Thomas Will,
Publisher and Editor of Comunicaciones, former European Publisher
and Latin American Editor for Telecommunications Magazine and
Latin American coordinator for Intelcom; and Patrick McGovern,
Chairman of International Data Group, publishers of Computerworld,
Computer Business News and six other computer and data communica-
tions newspapers around the world, and owner of International
Data Corporation, the world's largest computer and data communica-
tions market research and analysis firm, and
WHEREAS, co-sponsorship support is anticipated from Dade
County, Florida State Department of Commerce and the U. S. Depart-
ment of Commerce's National Telecommunications and Information
Administration, and the Greater Miami Chamber of Commerce, and
WHEREAS, Latin American businesses and government currently
spend billions of dollars annually on communications equipment
and systems. That market is projected to grow rapidly in the years
ahead, as will the size of the Comunicaciones EXPOs. Not only
will Miami further establish itself as an international center for
trade and commerce through hosting this event, but the local commu-
nications/computer/electronics and tourist service industries will
benefit as well. The permeating impact of this and subsequent
exhibitions is far-reaching.
Now, therefore, the City of Miami and LATCOM, Inc. do mutually
agree as follows:

II. UNDERSTANDINGS
It is understood that LATCOM will plan, coordinate and admi-
nister a major Telecommunications Pair in Miami between April
26-30 entitled "Comunicaciones EXPO 181".
It is also understood that through this agreement the CITY will
lend LATCOM assistance in covering certain administrative costs
of implementing such fair.

It is further understood that the CITY will participate in
50% of all profits arising out of this event, up to and
including the CITY's in -kind and cash participation amounts
described above, maximum amount not to exceed $20,000.
III. TERMINATION
This Agreement may be terminated by either party at any time
upon submission of thirty (30) days written notice if there
is occasion wherein the implementation of the contract is
rendered impossible or unfeasible.
IV. INDEMNIFICATION
LATCOM shall indemnify and hold the CITY harmless from any
and all claims, liability, losses and causes of action which
may arise out of this F.greement. LATCOM directly or through
its insurance carrier shall pay all claims and losses of
any nature whatsoever in connection therewith and shall defend
all suits, in the name of the CITY when applicable, and shall
pay all costs and judgments which may issue thereon.
V. SIGNATORIES
IN WITNESS THEREOF, the City of Miami and LATCOM, Inc. have
entered into this Agreement as of the date just above written.
