KNIGHT INTERNATIONAL CENTER. Ci- 0-U�:� c) C) � WHEREAS, under the provisions of the Lease and Agreement for Development between the City of Miami (the "City") and Miami Center Associates, Ltd. (the "Developer"), dated as of September 13, 1979, as amended by the First Supplement thereto and as it may otherwise be amended from time to time as permitted under the provisions thereof (the "Lease") and that certain parking agreement by and between the City and the Developer, dated as of January 10, 1980, the City is obligated to provide certain parking spaces, including certain additional parking spaces to be made available on a priority basis to City of Miami/University of Miami James L. Knight International Center registrants; and WHEREAS, the Department of Off -Street Parking of the City has available certain parking spaces for the aforesaid purpose, being two hundred (200) metered off-street parking spaces, on grade and located as herein stated; NOW, THEREFORE. (a) The Department. of Off-Strei is hereby authorized and directed to make available for a period equal to the term of a Lease which is fully described and identi- fied in subsection (b) hereof in conformity with the obligations of the City under said Lease and a Parking Agreement, which Parking Agreement is fully described and identified in subsection (b) hereof, 200 metered parking spaces presently under the juris- diction of the Department of Off -Street Parking, that are located in the DuPont Plaza area under the Expressway ramps feeding into Interstate No. 95 in parking areas 38 and 39 as determined by said Department; said spaces to be made available on a priority CITY COMMISSION ' MEETING 6 OF s MAY 3 i�t{0 - RESOWTION NO.8 3 .,,..� basis to City of Miami/University of Miami James L. Knight Inter- national Center registrants. (b) The Lease referred to in this resolution is a Lease and Agreement for development between the City of Miami and Miami Center Associates, Ltd., dated September 13, 1979, as amended from time to time as permitted under the provisions thereof. The Parking Agreement referred to herein is that certain parking agreement between the City of Miami and Miami Center Associates, Ltd., dated January 10, 1980, under the terms of which the City of Miami is obligated to provide certain parking spaces, including certain additional parking spaces to be made available on a priority basis to City of Miami/University of Miami James L. Knight International Center registrants. Section 2. The said parking spaces shall be made available for use by said Center registrants attending conventions or other events held in the said Center, pursuant to rules and regulations of the Department of Off -Street Parking which shall provide that every said Center registrant shall have a priority to reserve each day for the duration of the respective convention or other event for which he or she shall have registered, one of the said parking spaces. In formulating such rules and regulations thereof, the Department of Off -Street Parking shall observe and comply with the above Lease, above Parking Agreement and the substance and intent of this resolution. G ^�Clus_�r2 E. i7 An early agreement between the City and Miami Center Associates for parking in conjunction with the Conference/Convention Center provided 500 spaces for use by the hotel. This agreement was executed by the City in 1978 and reviewed by the permanent lender, Mass. Mutual. When the financing was changed to a revenue bond issue, it became necessary to adjust the agreement so that it would comply with (1) the State Constitution, and (2) I.R.S. provisions for tax exempt bonds. This required that the number of spaces in the garage be reduced to no more than 259; of the number available. On the presump- tion that we would have a 1500 car parking garage, only 361 spaces would be available for hotel guests in the garage. This left a 139 parking space problem to be resolved. During the ensuing months, Mass. Mutual has agreed that these 139 spaces could be provided at another facility under the control of the City. In discussing this with the Off Street Parking Authority, they have agreed to designate those spaces presently available, 200±, under the I-95 ramp between west 1st Avenue and east 1st Avenue for this purpose. The attached resolution formally requests the Off -Street Parking Authority to set this area aside. The fact that the Resolution is passed by the City Commission would satisfy the legal requirement requested by Mass. Mutual. Subsequently, the City will enter into an operation agreement with the Off -Street Parking Authority. 80-376
