HomeMy WebLinkAboutR-80-040414- JMH/wpc 5/20/80 RESOLUTION NO. 8 0- 4 0 4 A RESOLUTION AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE A CONTRACTUAL AGREEMENT WITH METROPOLITAN DADE COUNTY IN REGARD TO THE CITY ASSISTING METRO-DADE DEPARTMENT OF TOURISM, IN ACCORDANCE WITH THE TERMS AND CONDITIONS CONTAINED IN THE ATTACHED AGREEMENT. NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute a con- tractual agreement with the Board of County Commissioners of Metropolitan Dade County and the Tourist Development Council of Metropolitan Dade County in regard to the City of Miami Convention Bureau assisting Metro - Dade Department of Tourism in accordance with the terms and conditions contained in the attached agreement. Weiner, Assistant to the County Manager, regarding the Letter of Agreement between Metro -Dade Department of Tourism and City of Miami Convention Bureau. I would appreciate it if this item could be placed on the City Commission agenda of May 8 after being reviewed by the City Attorney. Our County Attorney has already reviewed it and will place it on the County Commission agenda of May 20. Please call me if you have any questions.. As soon as it is approved by both commissions, I will have an emergency check prepared for the City. PNW:as Attachment "SUPPORTIVE QOCU s VI ENTS FOLLOW it 80-404 LETTER OF AGREEMENT BETWEIN METRO-DADE DEPARTMENT OF TOURISM AND CITY OF MIAMI CONVENTI0N CUREAU WHEREAS, the Tourist Development Council of Metropolitan Dade County and the Board of County Commissioners of Metropolitan Dade County have approved an allocation of $100,000 from the Department of Tourism budget for Fiscal Year 1979-1980 to the. City of Miami Convention Bureau for operating and advertising expenses; and WHEREAS, the Tourist Development Council considers the City of Miami Convention Bureau the appropriate agency for promoting and servicing conventions for Metropolitan Dade County on a county wide basis; and WHEREAS, the Metropolitan Dade County Board of County Commissioners approved the Department of Tourism's budget by Ordinance No. 79-72 passed a,nd adopted on Seat. 11 ,1979; NOW THEREFORE IN CONSIDERATION of the mutual agreement contained herein the parties heretofore agree as follows: I. COUNTY AGREES 1. To fund the City of Miami Convention Bureau at a rate of $100,000 per year for the 1979-19t30'Fiscal year. CoillpellSation shall be equal quarterly allotments of $25,000. 2. To provide bureau services and coordination to the City of Pi'lmi Convention Bureau th►'ough the Metro- politan Dade County Department of Tourism. II. CITY AGREES 1. To provide the following services through the City of Miami Convention Bureau including: a. Seeking out and making formal presentations to conventions worldwide. b. Promote and publicize convotit ion events. c. Distribution of hrm-hurvs and promotional material to tlro,.potJivc conventions and conven- tio►ls ill d. Provide regi ;t.rat.inn to conventions. C. Provide hotel and hoes i nq a,%s i stance. nn '11A Letter of Agreement (cost.) Page 2 CITY AGREE: (cont. ) 2. To perform specific presentations as required before the Tourist Development Council. 3. That the $100,000 shall be divided between specific services outlined above and the overall advertising budget for the Convention Bureau, as determined by the Director and approved by the Department. For fiscal year 1980, the advertising budget shell be approximately S45,OOo to be included as an addition to the Department of Tourism's budget to the con- tracted advertising agency. 4. To submit, annually prior to the commencement of this agreement to the Department of Tourism a proposed budget identifyincg by caLugory expected expenditures. The Department shell specifically approve the budget prior to making any expenditure. 5. To submit written quarterly reports to the Director, or more frequently if requested by the County, of expenditures made by the City in executing this contract. The County reserves the right to require additional reports as the County deems necessary. 6. To provide quarterly Activity Reports detailing number of conventions held, number of participants, duration, extended expenditures, and anticipated return outlook. III. CITY AND COUNTY AGREE 1. To assist, compliment and support each other in the coordination of the Convention program. 2. To comply with all applicable laws, ordinances, and codes of the federal, state and local governments. 3. To refrain from any discrimination against any employee or person served on account of race, color, sex, religious creed, ancestry, or national origin in the performance of this Agreement; and it is expressly understood that upon the receipt of evidence of such discrimination, either party shall have the right to terminate this Agreement. 4. That no official or employee of the CITY or the COUNTY may be adfiit:ted directly; car indirectly to any share or part of this Agreement or to any benefit to arise from the some nor cl:n nr acquire any personal interest in any property, contract or proposed con- tract which would conflict With or relate to tho performance, their duties or reaponsibilifies under this Agreement. Q to the CITY and the COME Upon such disclosure, such person shall not continue his participation unless it is determined by the CITY and tho COUNTY that his participation is not contrary to public interest. Letter of Agreement (cont,) Page 3 6, that all reports, plans, maps, brochures and other material developed as a result of this Agreement shall become the property of both parties. IV. TERMINATION This Agreement may be terminated by either party at any time upon submission of thirty (30) days written notice if there is: 1. Ineffective or improper use of funds. 2. Failure to comply with the terms of the contract. 3. Submission of incorrect or incomplete reports. 4. Occasion wherein the input•of the contract is rendered impossible or unfeasible. V. TIME OF PERFOP,MIANCE This Agreement shall bedeen;ed effective as of October 1, 1979 and shall terminate on September 30, 1980. VI. AMENDIiENTS The CITY and the COUNTY may, at their discretion, amend this Agreement at any time to conform with any contingencies which may require such aniendcrent. Amendments, if required, shall be incorporated in writing to this Agreement, upon reviei, approval and execution by the parties hereto. VII. OPTION! Three months prior to the expiration date the Pietro -Dade Director of the Department of Tou►•isirr may extend the agree- ment for a one year period. The agreement may be extended for a maximum of 5 one year periods. VIII.SIGNATORIES IN WITNESS WHEREOF, the City of Miami and Metropolitan Dade County have entered into this Agreement as of the date first above written.
