A RESOLUTION AUTHORIZING THE CITY MANAGER
TO NEGOTIATE AND EXECUTE A CONTRACT FOR
PROFESSIONAL CONSULTANT SERVICES IN AN
AMOUNT NOT EXCEEDING $25,000, IN SUBSTAN-
TIAL FORM AS ATTACHED HERETO, TO IMPLEMENT
A TRAINING AND TECHNICAL ASSISTANCE PROGRAM
FOR NEIGHBORHOOD ECONOMIC DEVELOPMENT ORGA-
NIZATIONS IN THE CITY OF MIAMI, WITH FUNDS
FROM. THE SIXTH -YEAR COMMUNITY DEVELOPMENT
BLOCK GRANT.
WHEREAS, the City of Miami has developed and supports
an economic development strategy which addresses business and
economic development needs at both citywide and neighborhood
levels; and
WHEREAS, the City of Miami is implementing a Neighborhood
Economic Development Program in designated Community Development
target areas; and
WHEREAS, the Department of Trade & Commerce Development
has identified the need for a training and technical assistance
program for neighborhood economic development organizations under
contract by the City in order to upgrade and develop an economic
development capability at the community level; and
WHEREAS, the Department of Trade & Commerce Development
has recommended and the City Manager has endorsed the award of a
professional services contract to implement such a program with
firms in the following order of preference: 1) National Urban
Development Services Corporation; 2) Amitar Incorporated;
3) Trkla, Pettigrew, Allen & Payne; and 4) National Center for
Urban Ethnic Affairs; and
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF
THE CITY OF MIAMI, FLORIDA:

Section 1. The City Manager is hereby authorized to
negotiate and cxecute a contract for professional consultant
services, in an amount not exceeding $25,000, in substantial
form as attached hereto, with contract negotiations to take place
with firms in the follwing order of preference:
1) National Urban Development Services Corporation
2) Amitar Incorporated
3) Trkla, Pettigrew, Allen & Payne
4) National Center for Urban Ethnic Affairs

Attached for approval by the City Commission on July 24, t%80 is_
a Resolution which authorizes the City Manager to negotiate and -
execute a contract for professional consultant services, ;; an.7
amount not exceeding $25,000, for the implementation of a'1paitting
and Technical Assistance Program for Neighborhood Economic..Deve-fop-
ment Organizations in the City of Miami with Sixth -Year Community
Development Block Grant funds.
Background
The City of Miami, as part of its Sixth -Year Community Development
Block Grant Program, is presently implementing a program of neigh-
borhood economic development as an integral component of the City's
• economic development organizational strategy (copy attached). That
strategy, which is coordinated and implemented through the Depart-
ment of Trade & Commerce Development, addresses the City's economic
development needs at a citywide level through the Department's
various business development services and assistance programs and
Miami Capital Development, Inc. and at the neighborhood level
through the utilization of community -based organizations to provide
neighborhood economic development outreach and coordinative services.
Relative tothe implementation of the Neighborhood Economic Development
Program, the Department of Trade & Commerce Development has identi-
fied the need for a program of training and technical assistance
for the community -based organizations (including the Board of Directors
and staff) which are under contract by the City to provide neigh-
borhood economic development services in designated CD target areas.
In response to a letter requesting consultant proposals to provide
a training and technical assistance program which was mailed -out
in May, 1980, (copy attached) there were four (4) proposals sub-
mitted (copies attached). Proposals were received from the following
firms:

Trkla, Pettigrew, Allen & Payne; Amitar Incorporated;
National Center for Urban Ethnic Affairs; and National
Urban Development Services Corporation. These proposals
have been reviewed by the Department of Trade & Commerce
Development as to sufficiency in response to the request
for proposals and overall professional capability and
quality.
It is recommended that the City Manager negotiate and award a
contract for professional services to implement the Training and
Technical Assistance Program for Neighborhood Economic Development
Organizations with the four responding firms in the following order
of preference:
1. National Urban Development Services Corporation
2. Amitar Incorporated
3. Trkla, Pettigrew, Allen & Payne •
4. National Center for Urban Ethnic Affairs

AGREEMENT
THIS AGREEMENT, made and entered into this day of ,
1980 by and between the City of Miami, a municipal corporation of
the State of Florida (hereinafter called "CITY") and
(hereinafter called "CONSULTANT").
WITNESSETH
WHEREAS, the City Commission, on , 1980, approved
Resolution No. authorizing the City Manager to negotiate and
execute a professional services agreement for the purpose of conducting
a Training & Technical Assistance Program for Neighborhood Economic
Development Organizations.
NOW, THEREFORE, in consideration of the mutual agreements contained
herein the parties hereto agree as follows:
1. CONSULTANT
CONSULTANT agrees to provide professional servides to conduct a
_. Training and Technical Assistance Program for Neighborhood Economic
Development Organizations in order to upgrade and develop an economic
development capability at the community level in the City of Miami.
CONSULTANT agrees that the Scope of Services Specifications prepared
for this project are definitive and binding program requirements,
and that the Scope of Services Specifications in addition to the
CONSOLTANT'S written proposal for professional services submitted to
the CITY are hereby incorporated as part of this agreement by refer -
en ce .
2. CONSULTANT agrees to receive prior approval from the CITY on the
hiring of sub -contractors for services related to this project.
3. CONSULTANT agrees to provide the CITY with any financial and progress
reports which may be required to monitor the project.
4. CONSULTANT further agrees to complete the above described services
no later than , 1980. If the CONSULTANT shall fail to
fulfill in the proper time and manner its obligations under the
contract, the CITY shall have the right to terminate this contract,
by giving written notice to the CONSULTANT of such termination and
specifying the effective date of such termination. In that event

the CONSULTANT shall be entitled to receive just and equitable
compensation for any satisfactory work completed prior to termina-
tion.
5. To indemnify and hold the CITY harmless from any and all claims,
liability, losses and causes of action which arise out of this
Agreement. The CONSULTANT directly or through its insurance
carrier, shall pay all claims and losses of any nature whatsoever
in connection therewith and shall defend all suits and shall pay
all costs and judgements which may issue thereon. .
6. To comply with all applicable laws, ordinances, and codes of the
Federal, State and local governments. Specifically, the CONSULTANT
agrees to comply with the Housing and Community Development Act of----
1974, as amended 1977; with Executive Orders 11246 and 11063; and
with Section 3 of the Housing and Urban Development Act of 1968
as amended; Title VI of the Civil Rights Act of 1964; Title VIII
of the Civil Rights Act of 1968; The Anti -Kickback Act, Title XVIII,
U.S.C. Section 874,0MB Circular No. A-102 Revised; : Federal Hanage-
ment Circular 74-4.
7. CONSULTANT agrees that there will be no discrimination against any
employee or person served on account of race, color, sex, religious
creed, ancestry, or national origin in its performance of this
Agreement; and it is expressly understood that upon the receipt of
evidence of such discrimination, the CITY shall have the right to
terminate this Agreement.
S. That no official or employee of the CITY may be admitted directly
or indirectly to any share or part of this Agreement or to any
benefit to arise from the same nor own or acquire any personal
interest in any property, contract or proposed contract which would
conflict with or relate to the performance, their duties or responsi-
bilities under this Agreement. If any such person presently or in
the future acquires, owns or controls any such share, benefit, or
personal interest, he shall immediately disclose such share, benefit,
or personal interest to the CITY.

Upon such disclosure such person shall not continue his partici-
pation unless it is determined by the CITY that his participation
is not contrary to public interest. CONSULTANT will comply with
all Federal, State, and local conflict of interest laws and require-
ments.
9. That in the procurement of supplies, equipment, construction, or
services to implement this project shall make a positive effort to
utilize small business and minority owned business sources of sup-
plies and services, and provide these sources the maximum feasible
opportunity to compete for contracts to be performed pursuant to
this Agreement. To the maximum extent feasible these small business
and minority owned business sources shall be located in or owned by
residents of the Community Development Target area (s) designated
by the City of Miami in the Community Development Grant Application
approved by the U.S. Department of Housing and Urban Development.
II. CITY AGREES:
1. That it will pay the CONSULTANT an amount not to exceed $25,000
for the satisfactory completion of the above described services.
There will be an initial payment of $10,000, upon the execution
of this Agreement, a second payment of $10,000 midway through
the time of performance of the Agreement and a final payment of
$5,000 upon the satisfactory completion and presentation to the
• CITY of the above described services. These payments will re-
quire official vouchers from the CONSULTANT prior to disbursement.
III. BOTH PARTIES AGREE:
1. That all reports, plans, maps, brochures, filmstrips, and other
data developed as a result of this Agreement shall be delivered
to the CITY by the CONSULTANT and shall become the property of
the CITY without restriction or limitation of their use. It is
further stipulated that all information developed as part of this
Agreement shall not be used by the CONSULTANT without written
consent of the CITY.

2. This Agreement can be amended at any time to conform to
any contingencies which may arise. Such amendments shall
be in writing and execdted by both parties.
IV. TERMINATION:
This Agreement may be terminated by either party at any time
upon submission of thirty (30) days written notice if there is:
1. Ineffective or improper use of funds.
2. Failure to comply with the terms of the contract.
3. Submission of incorrect or incomplete reports.
4. Occasion wherein the implementation of the contract is
rendered impossible or unfeasible.
V. SIGNATORIES:
IN WITNESS WHEREOF, the City of Miami and the CONSULTANT have
entered into this Agreement as of the date first above written.

The City of Miami is presently soliciting consultant proposals
for professional services to provide a training and technical
assistance program for several community -based organizations (in-
cluding the Board of Directors and Staffs) which will be contracted
by the City to provide neighborhood economic development services
in designated target areas of the Community Development 3lock Grant

The training and technical assistance proqram should be structured
so that joint training sessions can be scheduled for most topics,
but should also allow for individual sessions with the community -
based organizations, where warranted, to address particular problems
and opportunities in specific neighborhoods.
In addition, in -as -much as the anticipated start-up date for the
City of Miami's neighborhood economic development program is July 1,
1980 the consultant's training program should be developed for
implementation beginning in late July or early August, 1980.
In response to this request.for proposals, the consultant is. -re-
quired to submit three (3) copies of a proposal. The proposal
should be organized as follows:
