WHEREAS, it is desirable to install secondary
power meter-ing at City Hall. and the Dinner Key vault;
and
WHEREAS, the installation of said secondary
metering will. result in a net savings of $5140 per month
in the City's power bill; and
WHEREAS, said installation will allow for the
removal of the blockhouse and substation located south
of the barracks buildings at Dinner Key, as well as for
the removal of call overhead power service in the Dinner
Key area; and
WHEREAS, said installation will improve efforts
to meter the power at the five boat piers at Dinner Key;
and
WHEREAS, in order to effect all oaf the above, it
is necessary .for the Florida Power and Light Company to
take charge of the 15KV duct presently serving Dinner Key;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSIO14
OF THE CITY OF MIAMI, FLORIDA:
Section 1. That the City Manager is hereby
authorized to sell to the Florida Power and Light Company,
for and in consideration of the sum of $1.00, certain
existing electrical 15KV underground facilities located
within the City of Miami Dinner Key complex, Section 22,
Township 5115, Range 111E, the inventory of said facilities
being as follows:

Section 2. That the Florida Power and Light Company
is hereby granted a 10'-wide easement .for said underground
facilities, conditioned upon the Cit,y's continued use of
the Dinner Key area for its present purposes,

The Department of Public Works recommends
the adoption of the attached resolution
authorizing the City Manager to sell to
the Florida Power and Light Company the
151"V underground facilities presently
serving the Dinner Key area; and granting
a 10-foot wide easement to said facilities,
continent upon the City's continued use
of the Dinner Key area for its present
purposes.
As a follow-up to my memorandum of AuEPust 13, 1.980, this
Department has prepared the necessary resolution to
authorize the sale of the Dinner Key underground services.
The resolution also provides for the granting of an
easement to the Florida Power and Light Company for said
facilities coriting011t upon the• continued use by the City
of the Dinner Key area for its present purposes.

This memorandum supplements my memorandum of August 11, 1980,
same subject, which attached the final document necessary to
transfer ownership of the City -owned underground duct facil-
ities at Dinner Key to Florida Power and Light. This sale•is
a result of two principal objectives:
1. The removal of the blockhouse and substation
located south of the barracks buildings at
Dinner Key, with the desired result of remov-
ing all overhead power in the Dinner Key area; and
2. Efforts to meter the potter at the five slips at
Dinner Key.
Florida Power and Light has made several different proposals
which have been reviewed by Eddy Cox and Don Cather over the
past year. Basically, what they have agreed to do is to remove
their overhead facilities - poles, cables, and transformers -
install additional meters, and take over the City -owned 13KV
primary and duct installation, which would be incorporated into
Florida Power and Light's system, and would provide a second
feed to City Hall. As part of the agreement, all four KV
facilities and step-down transformers will remain the property
of the City, and will continue to be maintained by the City.
The installation of secondary metering at City Hall and at the
Dinner Key area will result in a net savings of $5110 per month
in the City's potter bill. We believe that this is adequate
compensation for turning over the 13KV duct and cable presently
feeding City Hall for use by FP&L as a second feed or backup
system.
It will be the responsibility of the City to demolish the block-
house presently occupied by Southern Bell once FP&L's trans-
formers, cables, and poles have been removed from the area
adjacent to it.

facilities at Dinner Key to Florida Power and Light
Company.
Also, copy of letter dated July 3, 1980 from Mr. John C.
Evelyn of FP&L is attached, which requests that the
bill of sale be signed, attested, sealed, and returned
to him.
Property Management has examined this bill of sale, ,_
and advised that they have no suggestions or changes
to this document, and the City Attorney has approved
as to form and correctness.

hereinafter called the Seller, for and in consideration of the sum of
$ 1.00 , to it in hand paid by Florida Power & Light Company, a
c poration organized and existing under the laws of the State of Florida,
hereinafter called the Buyer, and for other good and valuable considera-
tion, the re.--aipt of which is hereby acknowledged, has granted, bargained,
sold, transferred and delivered, and by these presents does grant, bargain,
sell,. transfer and deliver unto the Buyer the following described property
located in the County of_ Dade , and State of Florida, to wit:
Certain existing electrical 15 KV underground facilities located within
The City of Miami Dinner Key complex. Section 22, Township 545,
Range 41E. Inventory of said facilities is attached.
Together with every right, privilege, permit and easement of every kind
and nature of the Seller in and to the above described property as the
same is now located in said County and State.
To have and to hold the same unto the Buyer, its successors and assigns,
forever.
And the Seller does hereby covenant with the Buyer that the Seller is the
lawful owner of said property above described, that said property is free
and clear from all liens and encumbrances, that the Seller has good right
and lawful authority to sell the same; and that the Seller does hereby
fully warrant the title to the same, and will defend the same against the
lawful claims and demands of all persons whomsoever.

This will acknowledge your letter of December 13, 1979 in
reference to the Dinner Key area.
Mr. C. E. Cox and I have reviewed this proposal, and we are
in general agreement with your proposed installation of
secondary metering at City Hall and the Dinner Key vault.
As a result of the changes that you propose, it is expected
that the City will have a net savings of $546.50 per month
in its potter bill. We agree to give you 13KV duct and
cable presently feeding City Hall for use as a second feed
or backup system.
Upon acceptance of this proposal, we will give you a record-
able easement for the underground facilitie's you will be
taking over, the only condition being that the easement
will be conditioned upon the City continuing to use the
Dinner Key area for its present purposes. The City will
continue to own and maintain the 4KV system serving the
docks area.
It should be clearly understood that one of the principal
reasons for making. the above changes is to remove all over-
head facilities from the City's facilities at Dinner Key.
Therefore, time is of the essence in the removal of the
transformers, s•rritching mat, and blockhouse behind the
Coconut Grove Exhibition Center. It will be the City's
responsibility to demolish the blockhouse once the FP&L
facilities adjacent to it have been removed.
For your information it is estimated that the present
facilities for Public Works, Planning, and the Fire Depart-
ments will be vacated by May of 1980, at which time these
structures will also be demolished.
