RESOLUTION NO. 8 0- 6 3 6
A RESOLUTION APPROVING THE DESIGN DEVELOPMENT AND
WORKING DRAWINGS OF THE PARKING GARAGE TO BE
CONSTRUCTED BY MIAMI CENTER ASSOCIATES, INC. PURSUANT
TO THE AGREEMENT ENTERED INTO BY THE CITY OF MIAMI
AND MIAMI CENTER ASSOCIATES, INC. ON JULY 11, 1980;
FURTHER SETTING FORTH THE AGREED FINAL CONTRACT PRICE
AND ACKNOWLEDGING THAT THE CITY HAS GIVEN WRITTEN
NOTICE TO THE DEVELOPER THAT FUNDS ARE AVAILABLE FOR
PAYMENT OF SAID CONTRACT PRICE; AND AUTHORIZING AND
DIRECTING THE CITY MANAGER TO ISSUE THE NOTICE TO
PROCEED PURSUANT TO PARAGRAPH 4.1 OF THE SAID AGREEMENT.
WHEREAS, Section 4.1 of the Agreement between the City
of Miami and Miami Center Associates, Inc. entered into on
July 11, 1980,provides:

"Notice to proceed with the construction shall
not be given later than September 1, 1980,
provided that in no event shall such notice
be given until (i) the City has approved the
Developer's plans, including design development,
working drawings and specifications completed
to the extent provided in Setion 5.1.1 hereof,
which approval shall not be unreasonably withheld,
(ii) the Parties have agreed upon the final
Contract Price, and (iii) the City has given
written notice to the Developer that funds are
available to the City to pay the Contract Price
as provided in subparagraph 3.2.4 of the Con-
ditions of the Contract."
WHEREAS, all conditions in the quoted paragraph have been
met by the parties to the Agreement, although the final working
drawings and specifications have not yet been fully completed;
and
WHEREAS, the City Manager and his staff, including
the Executive Director of the City's Off -Street Parking Authority,
have recommended the Design Development Plans submitted by Miami
Center Associates, Inc. be approved by the City Commission; and
WHEREAS, the City of Miami is most anxious for construc-
tion of the project to commence as quickly as possible;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE

Section 1. The City of Miami hereby �i ove0s a Design

parking garage,including the requirements but not the "wishes"

Sectin 2. The City of Miami hereby approves the working
drawings and specifications which are not yet in final form but
which have been completed to the extent provided by Section 5.1.1
of the Contract.
Section 3. Miami Center Associates, Inc. has agreed that
the Contract Price for the Turnkey Project shall not exceed
$15,000,000, including a contingency allowance.
Section 4. The City of Miami has given written notice to
Miami Center Associates, Inc. that funds are available to the
City to pay the Contract Price as provided for in the Agreement.
Section 5. The City Manager is hereby authorized and
directed to issue the notice to proceed to Miami Center Associ-
ates, Inc., pursuant to the provisions of Paragraph 4.1 of the
aforesaid Agreement of July 11, 1980.

REQUEST APPROVAL FOR THE CONVENTION CENTER PARKING GARAGE BY
MIAMI CENTER ASSOCIATES, FERENDINO/GRAFTON/SPILLIS/CANDELA
This Garage:
1. Accommodates 1450 cars.
2. Construction of the parking garage for the $15,000,000 budget.
3. Is capable of supporting a 600,000 square feet Trade Center
Office Tower above.
4. Will accommodate the Downtown People Mover Station in its
present alignment and design.
5. Will be capable of starting construction October 1, 1980, for
completion, together with the Convention Center, February,
1982.
6. Has been approved by both the permanent and construction
lenders, Massachusetts Mutual and Continental Illinois
National Bank.
