FLORIDA:
Section 1. The City Manager is hereby authorized to
enter into a professional services agreement, substantially
in accordance with the terms and conditions set forth in
the attached agreement, with the firm of Leo J. Shea Associ-
ates, Inc. for the purpose of recruiting an Executive Direc-
tor of the Cite of :Miami/University of Miami lames I.. Knight
International Center with funds therefor hereby allocated
in an amount not to exceed $15,000 from Fiscal. Year 1980-81
budgeted funds of the Department of Conferences and Conven-
tions.

PROCESSIONAL SERVICES AGREEMENT
THIS AGREEPIENT, made this
day of
1980, 1:)y and between the City of Miami, a municipal corporation
under the laws of the State of Florida (hereinafter referred
to as the "CITY") and Leo J. Shea Associates, Inc., a Florida
corporation (hereinafter referred to as "PROVIDER") having
principal offices at Royal Trust Tower - 701 Southwest 27th
Avenue, Miami, Florida, states condition and covenants for
the rendering of professional services by said PROVIDER, to
the City of iliami as outlined in the scope of services below.
ARTICLE I: SCOPE OF SERVICES
It is understood that the PROVIDER will provide the following
services for the CITY in conjunction with the CITY's effort to
recruit an Executive Director for the City of Miami/University of
Miami James L. Knight International Center:
A. To undertake a nationwide recruitment program for the
position of Executive Director of. the City of tliami/

To provide the CITY with a minimum of five qualified
applicants for said position.
To provide this list of applicants to the CITY no
later than ninety days following the signing of this
agreement.
ARTICLE II: AMOUNT PAYABLE
For any professional recruitment services rendered and for
expenses incurrod for such services, the CITY shall pay the
PROVIDER in accordance with the following terms:
1. The total fee to be paid the PROVIDER will be no more
than Thirteen Thousand Five Hundred Fifteen Dollars
($13,515.00) plus expenses for advertising, telephone
calls and travel as approved by the City of Miami.

One third of the fees shall he paid to the PROVIDER
at the tine of the signature of the agreement.
3, One third of the fees shall be paid sixty days
after the signature of the agreement.
4. The final. one third of the fees shall be paid
to the PROVIDER at the consummation of the ex-
ecutive search.
5. All authorized expenses incurred by the PROVIDER
durinq the recruitment period, will be billed to
the CITY and they shall be paid within thirty
days from receipt.
6. The PROVIDER and the CITY hereby agree that the
maximum amount payable under this contract shall

not exceed Fifteen Thousand Dollars ($15,000.00)
and thlt either party may terminate this agreement
when the ag(jreyate fees and cxpetise:3 outlined above
reaches Fifteen Thousand Dollars ($15,000.00).
ARTICLE III: TAP",ENDMENTS
The CITY may at its discretion, ariend the Agreement to con-
form with changes in applicable City, County, State and Federal
laws, directives, guidelines and objectives. No amendments to
this Agreement shall be hindi_ng on either party unless in
writing and signed by both parties. Such amendment shall be
incorporated as a part of this Agreement upon review, approval
and execution by the parties hereto.
ARTICLE, LV: TERMINATION CLAUSE
The CITY retains the right to terminate at its discretion
this Agreement by written notice to the PROVIDER of such intent
to terminate at least thirty (30) days prior to the effective
date of such termination. Such right to terminate prior to the
completion of the effective term of Agreement shall be without
penalty to the CITY. If through any cause, the PROVIDER shall

fail to fulfill in timely and proper manner its obligations
under this Agreement, or shall violate any of the convenants,
agreements, conditions or stipulations thereof as determined
by the CITY, the CITY shall thereupon have the right to ter-
minate this Agreement by giving written notice to the PROVIDER
of such intent to terminate at least five (5) days prior to
the effective date of such termination.
ARTICLE V: SUB -CONTRACT
The PROVIDER agrees that no assignments or Sub -Contracts
will be made or let in connection with the Agreement without
the prior written approval of the CITY and that all such Sub -
Contracts or assignee shall be governed by the terms and intent
of. this Agreement.
ARTICLI, VI: CIVIL RIGHTS
The PROVIDER agrees to abide by

status or national origin.
It is expressly understood that
upon receipt of evidence
and determination by the CITY of such
discrimination, in regards
to employment and persons served, the
CITY shall have the right
to terminate said contract.
ARTICI,h, VII: PUBLIC RECORDS LAW COMPLIANCE
PROVIDER agrees that all docurients, records and reports
maintainers and generated pursuant to this contractual re-
lationship between the CITY and PROVIDER shall be subject to
all the provisions of. the Public Records Law, Chapter 119,
Florida Statutes.

In following with the wishes of the City of Miami/University of
Miami James L. Knight International Conference Center Advisory
Committee, we have researched management recruitment firms in
the South Florida area that would be capable of recruiting an
Executive Director for the James L. Knight International Con-
ference Center.
Our review of these firms led us to three finalists: Management
Recruiters of %liami, Inc., Leo J. Shea Associates, Inc., and
Roth Young of Miami, inc. I personally interviewed the principals
of these three firms and discussed with them the process of re-
cruitment for the Executive Director of the Conference Center and
the cost for this type of recruitment.
It is my recommendation that the City of Miami hire Leo J. Shea
Associates, Inc. to perform the recruitment for this position.
Mr. Shea has Offered the City -1 feC,
schedule of 25 percent of the
starting salary for this position. This is the lowest fee among
the three firms. It is m%, estimate that the cost for this recruit-
ment will be approx.imately $12,000.
