WHEREAS, the municipal Auditorium at Bayfront Park is in dire need of physical repair, renovation and review of current usage; and ITHEREAS, the Tunicipal Auditorium at Bayfront Park is a prime waterfront location with good access and has the potential for Greater multipurpose use; and [:TI-_EREAS , the nowntovTn area of Miami is being revitalized with two billion dollars in public and private investments; and t:THEREAS, the Downtox•m Development Authoritv has received a $15,000 National Endowment for the Arts grant to be used with a $10,000 contribution from Iletronolitan made County; the City of T•Iiami is expected to make a $10,000 hatching contribution for the Proposed reuse development studv of the Municipal Auditorium at Bayfront Park. NOW, TI:EREFORE, BE IT RESOLVED BY THE CONrMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute the attached agreement between the Cite of TAiami and the Downtown Development Authority for nrenaring, coordinating, sunervising and performing a reuse development study of the Municipal Auditorium at Bayfront Park commencing Novemher 10, 1980, and ending Mav 1, 1981. Section ?. Attached for your review and consideration are the Study Process Proposal and the Resolution and Agreement regarding the Bayfront Park Auditorium. SIGNATORIES The CITY OF MIAMI and the DOWNTOIIN DEVELOPMENT AUTHORITY have entered into this Memorandum of Understanding this day of , 1980, as a basis of understanding to carry out the Re -Use Study of Bayfront Park Auditorium. NOW, THEREFORE, the CITY OF MIAMI and the DOUNTOWN DEVELOP- MENT AUTHORITY do mutually agree as follows: I - DEFINITIONS CITY ---------------- City of Miami DDA ----------------- Downtown Development Authority II - SCOPE OF SERVICE It is understood that DDA will provide the following services for the City of Miami in conjunction with the imple- mentation of the RE -USE STUDY OF BAYFRONT PARK AUDITORIUM: 1. The DDA will act as overall project coordinator. Coordinating the efforts of consultants and con- tractors which have been or will be selected through the City of Miami and state required pro- ., curement procedures effective at the time of con- — Cf? tracting. w 2. The DDA will be responsible for producing the final RE -USE STUDY OF BAYFRONT PARK AUDITORIUMQ. �'•. � ..I 3. The DDA will establish a technical committee (D which will guide and review the work program of the consultants. 4. The DDA will insure broad base community input from the ;public and private sector. 5. The DDA will act as coordinator for the BAYFRONT PARK AUDITORIM RE -USE COMMITTEE from time to time, as necessary. The function of the Com- mittee will be to review and comment on the possible re -use of the BAYFRONT PARK AUDITORIUM. - The Committee will include the City Commission and other community leaders and organizations selected by DDA. 2 IlI - MAXIMUM COMPENSATION For the services provided under Section II of the Agreement, it is understood and agreed that the City of Miami will pay DDA an amount not to exceed $10,000.00. IV - METHOD OF PAYMENT Upon request for payment from the DDA for this project, the City of Niami will pay a lump sum amount not to exceed $10,000. Bills from the Consultant or receipts from direct expenses should be forwarded to City of Miami for payment. V - TITRE OF PERFORMANCE This Agreement shall be deemed effective as of the date of signature. It will be deemed terminated on May 31, 1981. VI - ASSIGNABILITY DDA agrees to give notification, in writing, to the City of Miami of any proposed sub -contracts. Any work or services sub -contracted shall be subject to each provision of this Agreement. None of the work or services shall be sub- contracted or reimbursed without the prior written approval of the City of Niami. VII - REPORTING REQUIREMENTS Designated DDA personnel shall keep the City of Hiami Department of Stadiums and Marinas informed of their activities by: 1) Preparing a completion schedule for the projects. 2) Submitting Monthly Progress Reports on the pro- ject. VIII - AMENDMENTS The City of Miami and the DDA may, at their discretion, amend this Agreement at any time to conform with any contingen- cies which may require such amendment. Amendments, if required, shall be i.ncorporate(l in writing to this Agreement upon review, approval and execution by the parties hereto. 80-862 ( 0 r - IX - RENEWAL PROVISION The parties, by mutual assent and evidenced by proper- ly executed writing, may extend this Agreement upon thirty (30) days prior to the termination of this Agreement. X - TERMINATION This Memorandum of Understanding Agreement may be terminated by either party at any time upon submission of thirty (30) days written notice if there is: 1) Ineffective or improper use of funds. t 2) Failure to comply with terms of this Agreement. 3) Submittal of incorrect or incomplete reports, and 4) Occasion wherein the implementation of the contract is rendered impossible or unfeasible. XI - MAINTENANCE EFFORT It is understood and agreed that the level of DDA services and activities covered by this Agreement shall be continued and not be reduced in any way as a result of this Agreement except for reductions unrelated to the provision or purposes herein stated. XII - CONFLICT OF INTEREST The DDA covenants that no person under its employ who presently exercises any functions or responsibilities in connection with the activities and the Memorandum herein has any personal financial interests, direct or indirect, in this Agreement. The DDA further covenants that, in the perform- ance of this Agreement, no person having such conflicting interest shall be employed. Any such interests on the part of the DDA or its employees, must be disclosed in writing to the City of Miami. XIII - ASSURANCES AND CERTIFICATIONS 1) No person in the United States shall, on the ground of race, color, creed, national origin, sex, marital status or physical handicap, be excluded from participation in, be denied the 4 benefits of, or be otherwise subjected to dis- crimination under any program or activity for which the DDA receives funds under this Agree- ment, and it will immediately take any measures necessary to correct, any such discrimination ' and to ensure that such discrimination cannot occur in the future. 2) DDA will establish safeguards to prohibit employees from using their positions for a purpose that is or dives the appearance of being motivated by desire for private gain for themselves or others, particularly those with whom they have family, business or other ties. 3) DDA will comply with the provision of the Hatch Act, as amended January 1, 1975, which limits the political activities of employees and in- corporated herein by reference. 4) DDA will comply with the Anti -Kickback Act, Title 18, U.S.C. Section 874, and provisions of the Federal Labor Standards, Title 29, and incorporated herein by reference. XIV - SIGNATORIES IN WITNESS k7HEREOF, the CITY OF MIAMI and DOWNTOWN DEVELOPMENT AUTHORITY have entered into this .Agreement as of the date first above written. Consideration should be given to existing and potential 6ayfront Park(s) uses (Noguchi design plan, FEL, Bicentennial) and their coordination. The issue of demolition (highest and best use of property) should be developed, including cost of dur,ol i t i on. 11. Analysis of Existinq Auditorium Architectural consultants will analyze past uses, as well as understand current ,end future booked renters including rate structure investic:ation. Architectural consultants will provide for AE analysis of strueuture and mechanical systems. A record will be made of past architectural/ interior improvements plus improvements that are known to be needed. Costs will be developed by consultants to improve existing structure* as it is today.
