AGREEMENT
THIS AGREEMENT is entered into this day of
1981, by and between the City of Miami ("City"), a municipal corporation
of the State of Florida, an the General Secretariat of the Organization
of American States ("General Secretariat").
ARTICLE I
The General Secretariat agrees:
a. To assist the City's Department of Leisure Services is providing
a guest artist exchange program between the General Secretariat and the
City by: (1) compiling and providing a list of guest artists from the
General Secretariat's Official Concert Series; (2) cooperating to obtain
such artists for performances in the City; and (3) arranging for such
artists to stop at ;;iami in their travel between Washington, D.C. and
Latin America ur the Caribbean.
b. To provide in its contracts with such artists that they will
protect, indemnify, and forever hold the Organization of American
States ("OAS"), the General Secretariat, and the City, together with
the individual members and agents of the City and the OAS, harmless
from and against damage, penalty, fine, judgment, expense or charge
suffered, imposed, assessed, or incurred for any violation or breach
of any law, ordinance, rule, order or regulation occasioned by any
act or omission in the execution of this Agreement.
c. That it shall receive no monetary compensation for the services
provided under this Article.
ARTICLE II
The City agrees:
a. As total compensation for the above provided assistance in
developing the cultural exchange. the City will recognize the General
Secretariat as a co-sponsor of the concert series provided under this
Agreement. The General Secretariat shall receive no other monetary
compensation for the services provided in compiling said list and
program.

b. To remunerate individual quest artists with an honorarium
not to exceed five hundred dollars per artist. The financial arrange-
ments between the City and the artist shall be independent of the
General Secretariat, and the honorarium will include all transpor-
tation expenses, lodging for two days, and other compensation.
c. To promote the appearance of the artist before and during
his performance in the City.
d. To present the concert series in which each artist appears
at a low cost to the general public and to apply the proceeds from
such series to payment of the honorarium of each artist.
ARTICLE III
All parties agree:
a. This Agreement shall be effective for the period of
through , unless terminated at the request of
one of the parties as provided below.
b. The maximum amount of funding for the guest artist series
shall -not exceed fifteen thousand dollars ($15,000.00) and either
party may immediately terminate this Agreement when the costs to the
City exceed this amount.
c. This Agreement may be altered, extended, or amended only upon
the written consent of both parties hereto.
d. There shall be no discrimination against any artist or person
on account of race, color, sex, religious creed, or ancestry, or
national origin in the performance of this Agreement; and it is
expressly understood that upon receipt of e-iidence of such discrimi-
nation, the right to terminate this Agreement may be exercised.
It is understood that the limiting of the lists to be compiled by
the General Secretariat pursuant to Article 1 (b) of this Agreement
to artists from the Member nations of the Orqanization of American
States shall not constitute discrimination within the meaning of

e. Either party may terminate this Agreement for breach
of same by the other, provided reasonable efforts to remedy such
a breach are unsuccessful.

It is recommended that the City Commission ,
adopt a Resolution authorizing the City -~ ,
Manager to enter into an agreement with the -T
General Secretariat of the Organization of;
American States to co-sponsor a concert
series in Miami to be known as the
of Miami/OAS International Guest Artists
Series"; and further authorizing the City_
Manager to execute the necessary implementing_
contracts and agreements not to exceed a
total of $10,000. as per attached Resolution.
The General Secretariat of the Organization of American States has invited
the City of Miami, through its Leisure Services Department, Cultural Division,
to participate in its ongoing, international guest artists' series with
other North, South and Central American cities through August, 1981. The
General Secretariat of the OAS has agreed to co-sponsor said concert series
and to contribute an estimated amount in excess of $10,000. in air trans-
portation and in -kind services in support of the series.
The "City of Miami/OAS International Artists Series" will enhance inter -
American cultural exchange, heighten the quality of the cultural life in
the City of Miami and serve to promote the City of Miami on an international
level. $10,000. was allocated in the FY 1980/81 Budget for this purpose
from the Special Programs and Accounts -Matching Funds for grants.
