A RESOLUTION AUTHORIZING AND DIRECTING THE CITY
MANAGER TO ENTER INTO AGREEMENTS WITH JAMES E.
SCOTT COMMUNITY ASSOCIATION, INC. IN SUBSTANTIALLY
THE FORM ATTACHED HERETO, FOR THE PURPOSE OF
PROVIDING PROFESSIONAL TRAINING SERVICES IN THE AREA OF
VOCATIONAL SKILLS FOR THE CITY OF MIAMI'S CETA TITLES
II-D & VI PARTICIPANTS WITH FUNDS THEREFOR ALLOCATED
FROM THE CITY OF MIAMI'S CONTRACTS WITH THE SOUTH
" FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM.

WHEREAS, the City of Miami is desirous of complying with the regulations
governing the operations of CETA Programs in providing training opportunities
for CETA participants; and
WHEREAS, there has been demonstrated need by the participants for training
and instruction in the area of vocational skills so as to improve their employ-
ability; and
WHEREAS, the aforementioned skill is necessary to allow these participants
to be placed in unsubsidized employirent; and
WHEREAS, the funds necessary for the execution of this agreement have been
provided for under the City of Miami's CETA Title IID & VI Public Service
Employment Programs;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The City Commission hereby authorizes and directs the City
Manager to execute an agreement with: James E. Scott Community Association, Inc.
for professional training services to be provided for the City of Miami's CETA
Title IID & VI participants, in substantially the form attached hereto and made
a part hereof; and to exercise the Termination Provisions contained therein and
Amendments as necessary.
Section 2. The aforesaid professional training services are in the area
of Training in Parks and Landscape Maintenance and are to be performed in
accordance with the attached schedule, Article XV: Work Statement.

Section 3. Funds for the aforesaid agreements are hereby allocated from
funds being made available under the City's Comprehensive Employment Training
(CETA) Title IID and Title VI Public Service Employment Program contracts with the
South Florida Employment and Training Consortium.

It is recommended that the City of Miami enter into a
professional services contract with James E. Scott
Community Association, Inc., (JESCA) for obtaining a .�
training program in the area of Parks and Landscape
Maintenance for the City of Miami's CETA/PSE participants
as provided for in the City of Miami's contract with the
South Florida Employment and Training Consortium.

Under the City of Miami's current contract with the South Florida Employment and
Training Consortium a minimum percentage of the total allocation is required to
be directed toward the provision of training for the City's CETA/PSE participants.
Of the total $1,535,550 required for this training process, $974,000 was allocated
for training institutions on January 22, 1981 (Resolution 81-56), leaving an
uncommitted balance of $561,550. Of the 20 training institution programs included
in the January 22, 1981, Resolution, 13 were directed to improving skills in the
Clerical/Office, or Basic Education -Language areas, with four programs directed
toward Trades related skills. The three remaining programs offered relate to
specialized skills (i.e. nursing assistance, dental assistance, medical assistance).
In an effort to increase the training opportunities for participants employed within
the Parks Department (approximately 16`) of PSE participants) that would enhance their
ability to gain unsubsidized employment, a Training Program for Parks and landscape
maintenance was designed by Instructors from JESCA in concert with the Parks Depart-
ment. This training program focuses on Time management, Job Maintenance Skills and
Landscape Maintenance Procedures, with all training to be provided by JESCA in
coordination with the management of the City's Department of Parks.
In entertaining the JESCA Training Program for Parks and Landscape Maintenance, it was
recognized that in addition to the need for a marketable skill, many CETA participants
are in need of supportive services, such as credit counselling, domestic counselling,
referal to other governmental services, etc. JESCA has, in addition to operating well -
regarded CETA programs, enjoyed a history of successful supportive services. Thus
the JESCA program will: 1) provide Park's Department CETA participants with the skills
necessary to succeed in a Parks and/or Landscape maintenance industry; 2) provide
participants with other necessary supportive social system services; and 3) provide
the Parks Department with an improved quality of CETA employee.
The JESCA program requires $36,073.00, and will run from March 30, 1981, to September

PROFESSIONAL SERVICES CONTRACT
THIS AGREEMENT, made this day of
by and between the City of Miami, a municipal corporation under the laws
of the State of Florida (hereinafter referred to as the "CITY") and
James E. Scott Community Association, Inc., a Florida Corporation (hereinafter
referred to as "PROVIDER") having principal offices at 2250 N.W. 54 Street,
Miami, Florida, states condition and covenants for the rendering of
Professional Training Services by said PROVIDER, to the City of Miami
Human Resources Department's Federal Employment Division (hereinafter referred
to as "DIVISION") at a cost not to exceed thirty six thousand and seventy
three dollars ($36,073) for the period ;larch 30, 1981 through September 30,
1981.

WHEREAS, the CITY has entered into a contract with James E. Scott
Community Association, Inc., to ensure training for City of Miami's CETA
participants for the purpose of improving the employability of the partici-
pants; and
WHEREAS, the PROVIDER has developed and provides service as described
elsewhere herein which have proven of value to the Community and has
demonstrated effectiveness and qualifications to provide these services;
and
WHEREAS, the CITY is desirous of obtaining such services of the PROVIDER
and the PROVIDER is desirous of furnishing such services
NOW, THEREFORE, in consideration of the mutual covenants and agreements
hereinafter set forth, the parties hereto covenant and agree as follows:
ARTICLE I: SCOPE OF SERVICES
It is understood that the PROVIDER will provide the following services
for the CITY in conjunction with the CITY's CETA Training Program:
A. To provide a program of training in Parks and Landscape
Maintenance that will enable the participants to improve
their employability.
B. To provide educational and personal counseling services
with regards to their course performance to CETA
participants enrolled in training programs.
C. To provide all available placement services of PROVIDER
for utilization by CETA participants enrolled in

D. To provide the Premises of a location acceptable to the CITY in
Miami, Florida, as the location of classrooms for the
course of instruction.
E. To provide all necessary instructional materials for
instruction of participants to include textbooks,
notebooks, papers, pens, and pencils.
F. To provide all training by qualified instructors with
minimum requirements of a Bachelor's Degree from an
accredited college or university and with significant
teaching experience in the field of their subject matter.
G. To provide an initial assessment of each participant at
the time of enrollment to evaluate the present educational
level of the student in the respective area of study.
H. To provide periodic attendance and progress reports as
outlined in Article VII.
ARTICLE II: DELIVERY OF SERVICES
Both parties agree to comply with those stipulations which are
outlined in the "Work Statement" narrative which is attached hereto and
incorporated herein.
ARTICLE III: EFFECTIVE TERM
Both parties agree that the effective term of this Agreement shall
be made from March 30, 1981 through September 30, 1981.
ARTICLE IV: AMOUNT PAYABLE
A. COSTS OF TRAINING AND COURSE MATERIAL
For any professional training services rendered and for expenses
incurred for such services the CITY shall pay the PROVIDER in accordance
with the following terms, conditions and schedule:
1. Training Service Cost
The CITY agrees to reimburse the PROVIDER for actual
costs incurred while providing services as described in
the Work Statement and the reimbursement amount shall
not exceed the budgeted amount shown in the Work
Statement. This reimbursement shall include compensation
for all services provided under the Scope of Services
in Article I of this contract.

B. MAXIMUM EXPENDITURE
The PROVIDER and the CITY hereby agree that the maximum amount
payable under this contract shall not exceed thirty six thousand and
seventy three dollars ($36,073.00) and that either party may immediately
and at any time terminate this agreement when the aggregate training
service cost and instructional material cost here and above provided
reaches thirty six thousand and seventy three dollars ($36,073.00).
C. DESIGNATION OF AMOUNT OF FUNDS FOR PAYMENT
Costs for class hour training and instructional materials
shall be payable one hundred percent (100%) from CETA Title IID Funds
and zero percent (-) from CETA Title VI Funds.
These percentages represent the ratio of participants from
Titles IID and VI respectively.

ARTICLE V: METHOD OF PAYMENT
Payment shall be made in accordance with those procedures as
The CITY agrees to compensate the PROVIDER for services rendered
on a monthly basis in connection with this Agreement and billing should
be made at the end of each month. All invoices shall include the following
information:
1) Description of services provided.
2) Date and time services were provided.
3) Total hours worked for period of invoices.
4) Names of the participants receiving services.
5) Additional information as requested by Division.
Separate invoices shall be provided to the DIVISION on a monthly
basis for class hour training and for cost of instructional materials.
If an invoice is questioned by the DIVISION, the DIVISION shall
notify PROVIDER in writing within seven days of receipt of the invoice
and mutual agreement shall be reached before payment is made.

Unless the invoice is questioned by Division as provided for above,
payment shall be made in full by the CITY within thirty (30) days after
receipt of invoice from PROVIDER.
ARTICLE VI: NOTICES
It is understood and agreed between the both parties hereto that
all notices which may arise in connection with this Agreement shall be
considered sufficient when made in writing and mailed or delivered in
person, to the appropriate address of the respective party:

ARTICLE VII: MONITORING AND REPORTING
The PROVIDER agrees to permit the DIVISION and authorized Federal
Personnel to monitor the program which is the subject of this agreement
according to applicable terms of the agreement. The PROVIDER agrees to
maintain attendance records of the participants in the program as required
and furnished by the DIVISION] and to provide periodic academic progress
reports to the DIVISION upon request. All original copies of reports
and records shall become the property of the CITY.
ARTICLE VIII: AMENDMENTS
The CITY may at its discretion, amend the Agreement to conform with
changes in applicable, City, County, State and Federal laws, directives,
guidelines and objectives. No amendments to this Agreement shall be
binding on either party unless in writing and signed by both parties.
Such amendments shall be incorporated as a part of this Agreement upon
review, approval and execution by the parties hereto.

ARTICLE IX: TERMINATION
The CITY retains the right to terminate at its discretion this
Agreement by written notice to the PROVIDER of such intent to terminate
at least thirty (30) days prior to the effective date of such termination.
Such right to terminate prior to the completion of the effective term of
Agreement shall be without penalty to the CITY. If through any cause,
the PROVIDER shall fail to fulfill in timely and proper manner its
obligations under this Agreement, or shall violate any of the covenants,
agreements, conditions or stipulations thereof as determined by the
DIVISION, the CITY shall thereupon have the right to terminate this
Agreement by giving written notice to the PROVIDER of such intent to
terminate at least five (5) days prior to the effective date of such
termination.
ARTICLE X: SUB -CONTRACT
The PROVIDER agrees that no assignments or Sub -Contracts will be
made or let in connection with the Agreement without the prior written
approval of the DIVISION and that all such Sub -Contracts or assignee
shall be governed by the terms and intent of this Agreement.
ARTICLE XI: CIVIL RIGHTS
The PROVIDER agrees to abide by all applicable municipal, county,
state and federal laws dealing with non-discrimination in regards to
employment, educational opportunities and persons served. In carrying
out the contract, the PROVIDER shall not discriminate against any employee
or applicant for employment because of race, color, religion, sex, age,
handicap, marital status or national origin. The PROVIDER shall take
affirmative action to insure that applicants for employment are employed,
and that employees are treated during employment, without regard to
their race, color, religion, sex, age, handicap, marital status or
national origin. Such action shall include, but not limited to, the
following: employment, upgrading, demotion, or transfer; recruitment or
recruitment advertising; layoff or termination; rates of pay or other
forms of compensation; and selection for training, including apprenticeship.
The PROVIDER shall post in conspicuous places, available to employees

and applicants for employment, notices setting forth the provisions of
this non-discrimination clause.

The PROVIDER shall state that all qualified candidates will receive
consideration for employment without regard to race, color, religion,
sex, age, handicap, marital status or national origin.
It is expressly understood that upon receipt of evidence and determination
by the DIVISION of such discrimination, in regards to employment, educational
opportunities and persons served, the CITY shall have the right to
terminate said contract.
ARTICLE XII: CLASS HOUR
"Class hour" for the purpose of this contract shall be defined as a
period of instruction to a group consisting of at least fifty (50)
minutes training time.
ARTICLE XIII: INDEMNIFICATION
The PROVIDER hereby covenants and agrees to defend, indemnify and
save harmless the CITY against any and all claims, suits, actions for
damages, or causes of action arising during the term of this agreement,
for any personal injury, loss of life, or damages to property, sustained
by reason of, or as a result of the PROVIDER'S, (its agents, employees
or workmen) carelessness or negligence; from and against any orders,
judgements, or decrees, which may be entered thereon; and from and
against all costs, attorney's fees, expenses and liabilities incurred in
the defense of any such claims and the investigation thereof.
ARTICLE XIV: CONSTRUCTION OF AGREEMENT
The parties hereto agree that this agreement shall be constructed
and enforced according to the laws and statutes of the State of Florida.

Professional instructional services in Parks and Landscape Maintenance as
outlined above in Section II shall be given to ten (10) groups of the City's
Department of Parks CETA participants and the maximum enrollment in any group
shall be ten (10) participants. Each group shall meet for seventy (70) class
hours during ten (10) consecutive work days, with no more than seven (7) class
hours in any one day. The scheduling of instructional hours and participants
shall be at the discretion of the DIVISION.
