THEREFOR ALLOCATED FROM DEPARTMENT OF TRADE &
COMMERCE DEVELOPMENT BUDGETED FUNDS IN AN AMOUNT
NOT TO EXCEED $10,000.
BE IT RESOLVED BY THE: COMMISSION 017 THE CITY OF MIAMI,
FLORIDA:
Section 1. The Citv Manager is hereby authorized to
execute an agreement in substantial]-\, the form attached
hereto between the City of Miami and the International Center
of Florida, to assist LATCOM, Inc.. by developing, preparing
and coordinating the opening ceremonies of the Telecommunica-
tions Fair entitled "Comunicaciones EXPO '81" to be held in
Miami during April 26-30, 1981, using funds therefor alloca-
ted from Department of Trade & Commerce Development budgeted
funds, in an amount not to exceed $10,000.

the opening ceremonies of the Telecom-

We have learned that COMUNICACIONES EXPO '81 is already sold
out and all indications are that it will be an extremely
successful event. An event of this magnitude in the telecom-
munications/computer industry will have a permeating impact
on the local economy and will further establish Miami as an
international center of trade and commerce. In addition,
COMUNICACIONES EXPO 181 will enhance the expansion of the market
in this industry locally; an industry in which Latin American
businesses and governments are currently spending billions
of dollars annually.
To this end, it is recommended that the City of Miami join
efforts with the State of Florida, which has contributed
$25,000 toward defraying the costs of the fair, and participate
by lending financial assistance in the amount of $10,000
to this project. These funds are to be used in connection
with the opening ceremonies of COMUNICACIONES EXPO 181
intended to welcome attending buyers, Latin American government
officials and their staffs, VIPs, etc.
Funding for this project will come from the Department of
Trade & Commerce's budget.

WHEREAS, the ICF has approached the City of Miami with
the idea of welcoming attending buyers, Latin American government
officials, and VIP's at the opening ceremonies of COMUNICACIONES
EXPO '81 to take the opportunity to explain Miami's advantages
in the areas of trade and commerce, transportation and finance.
NOW, THEREFORE, the City of Miami and ICF do mutually
agree as follows:
I. DEFINITIONS

II. UNDERSTANDINGS
A. It is understood that through the execution of this
Agreement the City contracts with ICF for professional
services to develop, coordinate and supervise the
opening ceremonies to COMUNICACIONES EXPO 181.
B. ICF further agrees to promulgate the following CITY's
objectives during the program:
1. Projection of Miami as a hemispheric financial center.
2. Miami as a center of world trade.
3. Investment opportunities and facilities in Miami.
4. Miami as a transportation hub of U.S./Latin
American business and transportation.
C. Additional services to be provided include the provision
of reports as outlined in Section VIII.
D. Audit and Records:
1. To maintain financial records and reports relating
to funds paid to any parties for work on the matters
which are subject to this Agreement and submit reports
to the CITY, through the DTCD, as requested.
2. To maintain books, records, documents and other
evidence according to generally accepted accounting
principles, procedures and practices which sufficiently
and properly reflects all costs of any nature expended
in the performance of this Agreement.

AGREEMENT
The City of Miami and International Center of Florida
a non-profit corporation of the State of Florida (hereinafter
referred to as ICF) entered into this Memorandum of Agreement
this day of , 1981, as a basis of understanding
for the coordination, development and supervision of the opening
ceremonies of the telecommunications fair entitled "COMUNICACIONES
EXPO '81".
WITNESSETH, that the City of Miami has entered into an
agreement with ICF to assist LATCOM, Inc. by developing, coordinating
and supervising the opening ceremonies of the telecommunications
fair entitled "COMUNICACIONES EXPO 181" to be held in Miami,
Florida during April 26-30, 1981.
WHEREAS, Miami has been selected as the site for this
annual, international exhibition focused on Latin America; and
WHEREAS, the first COMUNICACIO14ES EXPO 181 will feature
telecommunications, computer and other related communications
systems and equipment. Among the exhibitors will be many
of the major producers in this industry; approximately 80%
from the United States and the remainder from Europe and
Japan; and
WHEREAS, this event is expected to draw in excess of
3000 attendees, among whom will be high-level, Latin American
officials and their staffs; and
WHEREAS, Latin American businesses and governments
currently spend billions of dollars annually on communications
equipment and systems in a market which is projected to
continue to grow rapidly in the years ahead; and
WHEREAS, an event of this magnitude in the telecommunications/
computer industry will cause a beneficial impact on the local
economy and will further establish Miami as an international
center of trade and commerce. Furthermore, the local com-
munications/computer/electronic and tourist service industries
will benefit as well, therefore, making the impact of this event,
and subsequent exhibitions, far-reaching; and it �nRTI`�'

3. The aforesaid records, books, documents and other
evidence shall be subject at all times to inspection,
review, or audit by CITY personnel.
III. MAXIMUM COMPENSATION/METHOD OF PAYMENT
For the rights and benefits realized through this Agreement
the CITY will pay ICF an amount not to exceed $10,000 for
the coordination, preparation and supervision of the
opening ceremonies to COMUNICACIONES EXPO '81. The above
amount is to paid to ICF upon complete execution of this
agreement and upon receipt of an invoice in the aforesaid
amount.
In the event the total amount is not expended for the
purposes of coordinating, developing and supervising the
opening ceremonies, the CITY will be returned all unused
portions. If the CITY takes such action to terminate the
Agreement, pursuant to Section IV, ICF shall be paid an
amount for the cost only of those services which have been
rendered to the date of termination.
IV. TIME OF PERMORKANCE
The telecommunications fair is to be held during April 26-30,
1981. In the event that the telecommunications fair is
cancelled or postponed, the CITY has the option to renegotiate
or terminate this Agreement.
V. AMENDMENTS
The CITY may, at its discretion, amend this Agreement at
any time to conform with any contingencies which may
require such amendment. Amendments, if required, shall
be incorporated in writing to this Agreement upon review,
approval and execution of the parties hereto.
VI. C014PLTArJCE WITH FEDERAL, STATE AND LOCAL LAWS
Both parties shall comply with all applicable laws, ordinances,
and codes of the federal, state and local governments.
VII. EQUAL OPPORTUNITY
ICF agrees that there will be no discrimination against
any employee or person served on account of race, color, sex,

religious creed, ancestry, or national origin in its
performace of this Agreement; and it ir. expressly
understood that upon the r.eceipL of evidence of such
discrimination, the CITY shall have the right to
terminate this Agreement.
VIII. REPORT
ICF will prepare and submit to the CITY the following
report:
ICF agrees to submit to the CITY, through the DTCD,
a final report within 30 days of the conclusion of
COMUNICACIONES EXPO '81 detailing those expenditures
which will be defrayed by those funds to be received
under this Agreement, and expected benefits to be
received by the CITY as a result of the Agreement.
IX. CONFLICT OF INTEREST
No official or employee of the CITY may be admitted
directly or indirectly to any share or part of this
Agreement, or to any benefit to arise from the same,
nor own, or acquire any personal interest in any property,
contract or proposed contract which would conflict with
or relate to the performance, their duties or respon-
sibilities under this Agreement. If any such person
presently or in the future acquires, owns or controls
any such share, benefit, or personal interest, he shall
immediately disclose such share, benefit, or personal
interest to the CITY. Upon such disclosure, such person
shall not continue his participation is not contrary to
public interest. ICF will comply with all federal,
state, and local conflict of interest laws and requirements.
X. OPPORTUNITIES FOR SMALL AND MINORITY BUSINESSES
ICF in the procurement of supplies, equipment, construction,
or services to implement this project shall make a positive
effort to utilize small business and minority -owned business

sources of supplies and services, and provide these
sources the maximum feasible opportunity to compete for
contracts to be performed pursuant to this Memorandum of
Agreement. To the maximum extent feasible, these small
businesses and minority -owned business sources shall be
located in, or owned by residents of the Community
Development Target Area(s) designated by the CITY in
the Community Development Grant Application approved by
the U.S. Department of Housing and Urban Development.
XI. HOLD HARMLESS CLAUSE
ICF agrees to defend, indemnify and save harmless the CITY
against any and all claims, suits, actions for damages or
costs of actions arising during the term of this Agreement,
for any personal injury, loss of life, or damage to
property, sustained by reasons or as a result of ICF's agents,
employees, or workmen, carelessness or negligence, from
and against any orders, judgements or decrees which may
be entered thereon; and from and against all costs,
attorney's fees, expenses and liabilities incurred in the
defense of any such claims, in the investigation thereof.
XII. TERMINATION
The CITY, by giving reasonable written notice specifying
the effective date, may terminate this Agreement in whole
or in part for cause which shall include any one of the
following: 1) Failure, for any reason, of ICF to fulfill
in a timely and proper manner its obligations under this
program and conditions and such directives as may become
generally applicable at any time; 2) submission by ICF
to the CITY of reports that are incorrect or imcomplete in
any material respect; and 3) ineffective or improper use
of funds provided under this Agreement.

XIII. SIGNATORIES
IN WITNESS WHEREOF, the -ity of Miami and the International
Center of Florida, have entered into this Agreement as of
the date first above written.
