RESOLUTION NO. 81 7
A RESOLUTION AUTHORIZING THE OVERTOWN ECONOMIC DEVELOPMENT
CORPORATION TO EXECUTE AN AGREEMENT, IN SUBSTANTIALLY THE
FORM ATTACHED HERETO WHICH HAS BEEN NEGOTIATED WITH THE
M. R. HARRISON CONSTRUCTION CORPORATION TO PROVIDE DESIGN
AND DEVELOPMENT SERVICES FOR THE OVERTOWN SHOPPING CENTER
USING FUNDS AVAILABLE FROM THE FEDERAL ECONOMIC DEVELOPMENT
ADMINISTRATION.
WHEREAS, the City Commission by Resolution No. 81-629,
adopted July 23, 1981, authorized the commencement of negotiations
for an agreement to provide design and development services for
the Overtown Shopping Center; and
WHEREAS, by Resolution No. 81-158, adopted March 17, 1981,
the City Commission authorized the City Manager to contract with
the Overtown Economic Development Corporation (OEDC) for the construction,
leasing, and management of the Overtown Shopping Center;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. A- provided under the contract between the City
of Miami and the Overtown Economic Development Corporation, said
corporation is authorized to enter into an agreement, in substantially
the form attached hereto with the M. R. Harrison Construction
Corporation to provide design and construction services to the Overtown
Economic Development Corporation for the Overtown Shopping Center
using funds available from the Federal Economic Development Administration.

WHEREAS, OEDC has approved this Agreement and has authorized

the President of OEDC to execute this Agreement by Resolution,
dated 1981, attached hereto as Exhibit "A", and
the City has approved this Agreement by Resolution No.
dated , 1.981, attached hereto as Exhibit "B";
NOW, TIILREFORE, for and in consideration of the mutual
promises herein contained and for other good and valuable
consideration, the receipt- and sufficiency of which are hereby
acknowledged, the Parties do hereby agree as follows:

A. The Construction Manager accepts the relationship of
tru::t and confidence established between him and OL'DC by this
Adreem'ollt. Iie covenants with OEDC to furnish his hest skill and
judgment and to cooperate with the Technical Committee in furthering
the interests of OEDC. He ac,rccs to furnish efficient business
ad:ini�,tratiun an! superintendence and to use his.he:;t efforts to
complete the Project in the best and soundest way and in the most
e.:peditious and economical manner consistent with the interest
of OLDC.
B. Extent of Aj_LLemcnt: This Agreement represents the
entire agreement between OEDC and the Construction Manager and
supersedes all prior negotiations, representations or agreements.
This Agreement shall not be superseded by any provisions of the
'— documents for construction and may be amended only by written
instrument signed by both OEDC and Construction Manager.
C. Budget: The City and OEDC have budgeted the amount
of. $1,580,400 for the Total Project. Coat: of the Project. This
amount is distributed as fo11.ows:

D. Bud: t_ Control: The Construction Manager shall be
responsible for controlling the budget amounts allocated to the
Construction Costs and the Construction Contingencies of. the Project.
E. EDA Redui_rement_s_: The Construction Manager shall. be

as "Exhibit C".
F. Pees: The City agrees to pay and the Construction

Manager agrees to accept as paymont in full for all professional.
technical and construction management services rendered, as outlined
in ARTICLE IV - CONSTRUCTION MANAGER'S SERVICES, hereof, the LUMP
SUM FEE of ONE HUNDRED EIGHTY THREE THOUSAND FINE. HUNDRED AND
NO110O DOLLARS ($1.83,500.00).

A. City - is hereby defined as The City of Miami, Florida.
B. OEDC - is hereby defined as the Overtown Economic
Development Corporation, a non -}profit community based
corporation under the laws of Florida, 807 N.W. 3rd Avenue,
Miami, Vlorida 33136, telephone (305) 374-1171.
C. Technical Commi ttoo - .is hereby defined as a committee

L. Project •- is herrhy defined as a new Shopping Center
consisting of approximately 3B4O00 gross square feet
of retail space, including approximately 25,000 gross
square feet for a major. Tenant-, and approximately 13,000
grass square feet for other 'Tenants, plus on -site parking,
walkways;, landscaping, amenities and site improvements,
sited on approximately 2.2 acres, located at NW 15 Street
between NW 3 and NW 4 Avenues, Miami, Florida.
F. Work - is hereby defined as all the professional,
technical and construction management: services to be
rendered or provined by the Construction Manager for
the Project and is further divided into two types.
1. Design and Conf tructlon Management Services as
described in ARTICLE IV - CUNSTRUCTION MANAGER'S
SERVICES, hereof; and
2. Construction Services as described in
ARTICLE TX -- CONSTRUCTION, hereof.
G. Lum_-) Sum Construction Amount - is hereby defined as
the total construction cost of the Project and includes
the sum of all Sub -Contracts amounts, plus all Suppliers'
invoices, plus the General Conditions, plus the Tenant
Allowances,, all as approved by the Technical Committee
and as further described in ARTICLE IX - CONSTRUCTION.

I. Construction Costs - is hereby defined as the amount
of money the City agrees to pay and the Construction
Nanacler agrees to Accept in payment in full for all
professional, technical and construction management
services rendered pursuant to this, Agreement, to
complete that portion of. the Wgrk as further defined
in ARTICLE IX - CONSTRUCTION.
J. Direct Technical. Salary Expense - is hereby defined as
the straight -tide portion of: wages and salaries subject
to Federal Incnme Tax of the Construction Manager's
technical. paruonnul (Construction Managers, Project
Managers, Architects, Engi.nc.ers, Estimators, Draftsmen,
Trade Coordinc toys, Construction Accountants, Field
Clerks) ongayeu by the Conntructi.on Manager in the
Pro iect.. The Di rnct. Technical salary Expense chargeel

K. Consultants - is, hereby defined as those: consultants
engaged by the OEDC to provide special consulting
services for the Project.
L. Sub -Contractors: - is hereby defined as Construction
Sub -Contractors to be engaged by the Construction Manager
by competitive bidding procedures to provide construction
services for the Project.
M. Suppliers - is hereby defined as manufacturers or
wholesale or retail supply bus:;i ne sQs to be engayca by
the Construction Managor through competitive bidding
procedures to proviOn equipment, materials, supplies,
goods or services not: otherwise provided by

MINORITY PARTICIPATION
A. It is the policy of OEDC to encourage and promote the utilization
of black businesses, trades and professions in its projects. To
the extent that this policy can he practically realized by reason
of this Agreement, the Construction Managc!r agrees to use his
best efforts to achieve a goal of seventy-five percent (75%)
black participation in this Project. For purposes of this
Agreement percent black participation shall. mean the summation
of total. amounts of dollars expended by the Construction Manager
to black businesses, trades and professions divided by the

ARTICLE IV
CONSTRUCTION MANAGER'S SERVTCES
A. The Constr.ucLion Manager in close coordination with the
Technical Commih.tce shall perform that }portion of the Work
consisting of professional technical and construction
management services to accomplish the design and to manage the
construction of the Project. In executing this portion of the -
Agreement the Construction Manager shall be fully responsible
for all. the professional and technical aspects thereof. It is
intended that the Construction Manager will perform his services
in close cooperation with the Technical Committee so that -
dc.ci.sions can be arrived at in a timely manner. The Technical

C. Kidding strategy
In implementing the OEDC's policy of: obtaining at least seventy-
five percent (75%) participation in the Project by black
businesses, professional firms and trades peoples, more fully
described in ARTICLE III - t TNORITY PARTICIPATION, the
Construction Manager shall undertake, but not be limited to,
the following actions:
. Meet with local labor unions and finalize an understanding _
with them regarding construction of the Project
Establish bid packages and sub -contracts
11ontify construction trades ruqui.rad. In this regard, the
Technical Committee will furnish the Construction Manager
with a list of available black contractors.
Generate interest among black con-,racto r5 for sub -contract
wort, in this Project. in this regard, the City and CEDC
will be available to guide black contractors in obtaining
financing insurance and other assistance.
Hold pre -bid conferences and workshops for various trades.
In this regard, the City and OEDC will assist the Construction
Manager to the maximum extent possible.
Establish bonding capability and requirements
D. Construction Management.
1.. Scheduling: Develop a Project Time Schedule that coordinates
and inteyr.ates the Construction Manager's design efforts
with construction schedule; in conformance with the
requirements of ARTICLE VIZ - SCHEDULE. Update the Project
Time Schedule, as required, incorporating a detailed schedule
for the construction oporati"ns of the Project, including
realistic act.ivit•! s"quuncwn and du'Ot:ions, allocations of
labor anA watoriols, pri)iosninq of shop drawings and samples,
and delivery of products requiring long lead-time procurement.
Include Tenant's occllli"ncy requiruments, as these become
available, nhowinq portions of the Project having
occupancy priority.

2. Project Cost Estimates: Prepare Project Cost Estimates
during each stage of the design process, as noted
hereinabove, for the Technical Committee's, approval..
It is that purpose of this Agreement: that the Construction
Manager will exert his best efforts to match the program
requirements of thn Project with the budget- amount available
to OEDC to construct the Project. It is incumbent upon the
Construction Manager to keep the Technical. Committee fully
<PPrmi:;ed of this, ohjcctive so that the Technical Committee
will have amble time to ndvi_se the Construction Manager of
alternative actions he may have to take to ensure the
financ.i.al succes.y of the Project. In this regard, the
`technical. Committee n:.y authorize modifications to the
program, select al turuot-.i.vu mat-C' ials or systems, attempt

to find additional funds or rely on any combination of: such

correspondence, transmittal_, payments, scheau3es and related
matters and implement applicable procedures throughout the
course of this Agreement. Coordinate procedures with PhA
requirements. The Technical Committee will assist the,
Construction Manager in this, effort.
G. Cost Control: Implumunt_ and monitor an effec tivo system of
PlAuct cost control. Revise and refine the approved Project.

cost exceeds budgets or estimates. Maintain cost accounting
records on authorized Work performed under unit costs, actual
costs for labor and material, or other bases requiring
accounting records. Afford OUDC access to these records
and preserve them for a period of three (3) years after
final payment.
E. Personnel.
All Construction Manager's personnel in staff- positions shall.
be experienced and competent. The OEDC :hall have the right to
approve staff personnel and to reclllest the Construction Manager
to replace any person who proves unsatisfactory to thn best
interests of OEDC.
F. Additional Services.
The Construction Manager shall provide the following additional
services upon written agreement between OEDC and Construction
I'ianayer defining the extent cK such additional services anti the
amount and manner in which the C en5tructiOn Manager will be
compensated for such additional services. It is lntenGed that
the Direct Technical Salary hxpen5n will be the basis ::or
determining labor costs in any negotiations for Additional Services.
1. Services related to investigation, appraisals or valuation
of existing conditions, facilities or equipment, or
verifying the accuracy of existing drawings or other
City -furnished information.
2. Services related to procurement of furniture, furnishings
or equipment for Tenant Improvements, none of which items
are part of this Agreement.
3. Services for Tenant improvements which are part of approved
Contract Documents and ,pecifications.
4. services for obtaining or training maintenance personnel or

It is recommended that a resolution be adopted by
the City Commission authorizing the Overtown Develop-
ment Corporation to enter into a construction manage-
ment services agreement with the M. R. Harrison
Construction Corporation to provide design and
construction services to the Overtown Development
Corporation for the Overtown Shopping Center using
funds available from the Federal Economic Development
Administration.
The City Commission, by resolution no. 81-629, authorized the Overtown Shopping
Center Management Committee to enter into contract ne(iotiations with the M. R.
Harrison Construction Corporation for the design and construction of the
Overtown Chopping Center. On March 17, 1981, by resolution no. 81-158, the
City Cowmi ssi on authorized the City I'lanager to contract with the Overtowwi

The City Commission is requested to adopt a resolution authorizing the Overtown
Economic Development Corporation to enter into a construction mana«eiiient services
agreement with the I.I. R. Harrison Construction Corporation substantially in the
form attached, after review and coum;ents by the Federal Economic Development
Administration.
